Tax Residency: U.S. Resident vs. Nonresident❓
Now a question we are often asked by our clients is am I considered a U.S. resident or nonresident for U.S. tax purposes.
The first thing to understand is how tax residency applies to U.S. taxes.
The Internal Revenue Code is the governing federal law of the United States that sets out the rules on U.S. taxes.
U.S. residents are taxed on their worldwide income.
In contrast, nonresidents are taxed on two types of income:
1️⃣ income that is considered “effectively connected to a U.S. trade or business” also known as ECI and
2️⃣ “fixed, determinable, annual and periodic income” from U.S. sources also known as FDAP.

🚨Requirements of a Tax Free U.S LLC for Noncitizens🚨
As a nonresident, your business is generally not considered to be engaged in a trade or business within the U.S. if it meets the following:
1️⃣ Has no permanent establishment
2️⃣ Has no employees in the U.S.
3️⃣ Has no dependent agents in the U.S.
4️⃣ All your services or labor are performed from outside the U.S. and
5️⃣ No business activity "in the U.S." that is considerable, continuous, and regular.

    as a retired green card holder, could I visit other states for 5 months without affecting my SSA benefits ?

      If you've been receiving SSI or SSDI benefits in one state, you'll continue receiving benefits if you move to a different U.S. state. If your visiting another U.S. state for 5 months, then you'll want to be sure to use your personal my "social security account" to ensure you receive your benefits. Search Google for "Traveling. You Can Still Access Social Security Resources," for more information. Also, contact your local SSA office for more details. Thank you.

      Hi Kerisha. I'd recommend creating a USCIS account and seeing if a biometric notice was ever sent. Also, check his USCIS case status online. Lastly, you can call USCIS Customer Service. Hope this helps.

    What legal activities can H4 Visa holders can do?

      Hi Nasir. Some benefits also apply to nonimmigrant visas. However, not all the benefits are applied the same. For example, Green card (GC) holders can live and work in the 🇺🇸 permanently, are eligible to apply for US citizenship in 3 or 5 years, can work at any employer that they are eligible and start or work at a separate business as well. H-4 holders cannot live in the U.S. permanently, cannot apply for citizenship, and are generally not able to work, unless they have an EAD. H-4 holders can own a C Corp or LLC, but generally H-4 holders cannot work for their own business, unless it is they have an EAD, otherwise they'd need to hire a manager to oversee the daily operations. There is much more flexibility and certainty with a GC than an H-4. With a GC you have many more benefits and peace of mind.       If you formed your NH LLC prior to Jan 1, 2024, then you can dissolve the NH LLC prior to Dec 31st, 2024, and you would not be subject to the BOI filing requirement with FinCEN. We also recommend that you send a letter to the IRS with your EIN stating that the LLC was dissolved so that the federal government is also notified of the dissolution, so that your EIN won’t get cross referenced with FinCEN. Please note that if you have been operating in 2024, then you may have a tax filing requirement for 2024 which would be filed in 2025. I haven't earned any dollars from my LLC business, and I haven't created a business bank account. Sir, now I want to close my LLC because I don't need it. Do I need to submit (BOI) before closing my LLC, or will my LLC be closed without (BOI) submission?       To apply for an E-2 investor visa, the E-2 company must first be registerd through the U.S. Embassy in Turkey. Also, the E-2 investor can only work for the E-2 company. However, the E-2 company can own subsidiaries including overseas companies which may allow you to continue to transacting business from within the U.S. for your existing businesses. In addition, an E-2 dependent spouse can work for any company that he or she is eligible including overseas companies. Therefore, there may be a few solutions for you.       Generally, you can resell any lawful purchased good and you can also identify the product by its brand name. Please note if purchasing directly from Nike Stores that their "terms of sale" state that buying for purposes of reselling is prohibited.       Please note that each ecommerce platform has its own terms and conditions. Ebay places "selling limits," sometimes called selling allowances, on new sellers to protect its consumers. Google "Ebay selling limits" and you'll see Ebay's selling limits terms and how to request an increase in selling limits. I'd also recommend taking a look at StockX and Flightclub as alternative places to resell shoes. You may also consider creating your own website on Shopify to resell shoes. Also, Nike has brough actions against resellers. As I stated, Nike's "terms of sale" apply to purchases through its corporate owned Nike Stores. Buying from an authorized retailer may not include the same "terms of sale". For example, The Finish Line, Inc. does not have a provision in its terms of sale that prohibits reselling of products including Nike products purchased from its stores. In addition, the cost of a reseller's permit depends on the state or states in which you need a reseller's permit. The information in the video applies to foreign nationals who are considered "non-residents" under the U.S. tax code and who are managing their U.S. business from outside the U.S. A person on H-1B or H-4 is within the U.S. and after residing in the U.S. for 183 days aka the "substantial presence test" then a person on H-1B or H-4 or any other nonimmigrant status is considered a "U.S. resident" for tax purposes. If you want to hire a part-time or full-time U.S. employee, then your U.S. LLC would be subject to U.S. tax. Please note that I stated a "U.S. employee". You can hire a manager from outside the U.S. and the U.S. LLC would need to pay the manager as a foreign employee or foreign independent contractor and in this scenario may not be subject to U.S. tax. Owning a U.S. LLC on F-1 status, you'll need to consider operating agreement provisions on management and immigration compliance, hiring considerations such as whether to employ the manager as an employee or independent contractor, tax considerations, etc. Hiring someone either as a part-time or full-time employee requires considerations on labor and immigration law, payroll, and tax, etc. Hiring a manager as an employee is not always the best choice. You will also want to consider if hiring the manager as an independent contractor is better under your specific circumstances.     Hi Ali! Thank you for uploading this video, it was very informative and helpful…..I just have a few questions and I really hope that you will answer them. So, I am in the USA on F-1 visa, I am in my first semester and I want to start a business. I’ve talked to many immigration attorneys and they say I can start a business on f-1 visa (without opt) but I just can’t work in my own business, instead hire a US citizen to work for me. Now can you please tell me what documents, certifications and proofs I will need to start a business and show the IRS, USCIS and higher authorities of the United States that my business is 100% legal and I am not actively engaged in the business…..also will I need to show them proofs of the money that I transferred to the employee. And, is there any minimum limit on how many hours should my employe work for me. I really hope to see you reply as it will help me a lot to get steps closer to my goals. Thank you

Therefore, an F-1 student can own the company but s/he cannot work for the company until receiving valid work authorization. You can appoint a manager to manage the daily operations and have him or her on payroll or enter into an independent contractor agreement.       Hi Nekkanti. Thanks for your question. After forming a U.S. LLC, you can raise capital from angel investors or venture capitalists. Please note that when raising capital within the U.S. the LLC must structure the deal/offering to fit within one of the regulatory exemptions if it wishes to avoid having to register the offering with the Securities and Exchange Commission (SEC). When raising capital in exchange for equity, you are offering a "security" and therefore must structure the deal appropriately. Companies most commonly use Regulation D to raise capital from U.S. and foreign investors. Regulation S may also be used for overseas investors. Both regulations offer an exemption from registering the capital raising offering with the SEC. Therefore, to raise capital, you'll need to form the company properly, have an excellent roadmap, an experienced team with a proving track record of execution, and have legal documents prepared such as such as Term Sheets, SAFEs, etc. to raise capital. The LLC is formed in a U.S. state or territory. It offers ease of use, avoids double taxation, and limits personal liability. An LLC is a business entity. A business license is something separate from an LLC. An LLC can apply for licenses, permits, banking and other accounts, if needed. Depending on the type of business a license may or may not be needed.       Hi there. Let me provide some clarification. A U.S. LLC is a "pass-through" entity and the LLC is not taxed unless it chooses to be taxed as a corporation. If taxed as a "disregarded entity" or "partnership", then each member may be taxed on his or her distributions and share of net profits. The U.S. LLC if owned by a foreign national may be established as a "tax-free" LLC if it meets certain requirements. Therefore, generally the LLC is not taxed, the owners may or may not be subject to tax depending on the circumstances. In your scenario, the 10% management fee would be considered a distribution or an expense depending on the circumstances and the other 90% would be net profits.
