salam sir, can i ask that if the contract will automatically terminated when either the principal or the agent is insanity, so what if the agent have unforeseen emergency or got ill, does the agent can sub-delegate or it terminates the contract also?
An agent can only delegates its duty IF the principal allows it. Otherwise, agent cannot delegate or appoint sub agent :)

Sir , sorry can i ask if the agent has disclosed the principal to 3rd party, agent and had contracted to 3rd party on behalf of principal however the act of agent is in the breach of his duty as an agent, so now the contract entered into by the agent on behalf of the principal with 3rd party is valid or not? As there is the breach of duty of agent, should i argue that the principal should not liable to the breach acts of agent and the contract will not be liable on principal, and 3rd party should take action against agent?
Hi yee shin, in order to determine whether the contract made is valid or not, you have to see whther the agent have the authority to make the contract on behalf of the principal in the first place.
So, if by breaching his duty would renders him losing his authority to act on behalf of the principal, then the contract made would not binds the principal.. :)

Salam sir, saya nak tanya, kalau situasi tu contohnya agent ni disuruh untuk beli barang tapi dia beli melebihi bajet yg diberi (exceed the authorithy) and then setiap pembelian tu dia kena report kepada principal dia tapi dia tak report. Case ni bawah Keighley maxted v durant ke?
Wassalam. You have to understand what Keighley Maxted v Durant is all about. That case is about one of the requirements for ratification can be a valid one, i.e agent must, at the time of the contract, EXPRESSLY act as agent by the principal. In that case, ratification cannot be made by the principal bcos Robert buying the wheat in his own name. So the bcos of this fact, the requirement that i mentioned above has not been fulfilled. Faham?
Assalamualaikum sir nak tanya, bagaimana orang luar negara ingin mewujudkan sebuah agensi di Malaysia? Cara agensi yang mana lebih sesuai antara kelima lima cara tersebut sir?
Wassalam.. Hai.. What do u mean by mewujudkan sebuah agency? Agency ni bukan macam nak set up business yg u boleh pilih2 nak setup business jenis ape ye. Agency ni adalah relationship andtara principal and agent yg di recognize by law and ade kesan undang terhadap apa2 yg berlaku dalam tempoh wujudnya relationship tu.
@@drasyrafazni maaf sir mungkin saya salah terangkan soalan kot sir. Soalannya begini "Mr. Andrew is planning to set up an agency firm in Shah Alam. He would like to know how an agency may rise or be created in Malaysia. Advice Mr. Andrew in what ways an agency be created."
Answer must be supported with :
1) provision in contract 1950
2) relevant case(s)
3) create a situation to support your answer.
So you have to explain how agency can be created under the law. In this video, i did explain how. :)

Salam sir, pasal agency by ratification if Ahmad stju nak beli rumah Ali tu dgn harga RM450000( which is not exceeding RM500,000) tapi Abu n Ahmad buat deal supaya dalam contract tu harga pembelian adalah RM500000 tanpa pengetahuan Ali. And another RM50,000 tu Abu and Ahmad gunakan utk kepentingan diorang. So, kiranya Ali x bound on such contract la kan sir?? N Abu tu xdianggap sbg agent by ratification kan sir sbb xmemenuhi condition yg no 6. Betul ker sir?
Agency by ratification blh berlaku dalam 2 keadaan. 1) agent exceeds the authority. OR 2) Agent memang takde authority at all in the first place..
If salah satu keadaan tu wujud, baru boleh berlaku agency by ratification.
Berkenaan dengan side deal rm50k tu pulak, contract yg asal masih lagi boleh wujud TETAPI Ali now blh saman Abu dan/atau Ahmad utk dapat secret profit that they obtained and/or claim damages..

Assalamualaikum sir, yang secret profit tu if the principal nak buat action against 3rd party kiranya hanya boleh sue kan. term secret profit also apply dekat 3rd party jugak ke or just for an agent ?
Wassalam.. Term secret profit boleh digunakan bagi agent dan 3rd party. Sebab kedua-duanya know or ought to know that mereka telah mendapat secret profit from the transaction.
And yes, principal boleh sue 3rd party utk dapatkan jumlah secret profit DAN apa2 kerugian yg dialami principal disebabkan contract tersebut.
