- Hello guys and gals, it's me Mutahar again! For the last few months me and Coffeezilla have been investigating a story regarding Omnia media, a prominent TH-cam MCN with rumours of bankruptcy. This story connected us with several high profile creators who have unfortunately been caught in a situation where their money is held back with nearly no recourse. Thanks for watching!

It's laughable that they threaten to sue creators when they are the ones breaching the contracts by failing to make payments on time.

@@dimejammy7691 occasionally they try and get your channel to grow by advertising on websites or ad services, otherwise its utterly pointless. Do NOT sign with them if you are already popular, it is not worth it, although it may be worth it if you do not care about financial gains and want to speed up popularity growth.
They aren’t necessarily even breaking contracts. Contact may very well have a clause that says “payments may be deferred up to 3 months”. It’s just that under old management things were better, and new management tries to milk every penny.

People still sign with record labels. Sometimes, when you have something you know can succeed, it's not a bad idea to find ways to give it a head start of traction. Some methods are better and some worse. Although, seeing how this shitshow is going down, I think most of these creators are going to survive the storm and come out the other end stronger. Most creators are smart enough to weather these storms, and utilize their existing fanbase, stand strong on their foundation, and combined with leveraging the controversy, not only will they continue to be successful, but often, when cards are played right, will experience *more* success.
i used to have good relations with omnia media starting out but in the past year, they had been delaying payments and providing excuses as to why they weren't able to, talking about administrative changes and the like. they essentially held both my main and second channel ad revenue hostage and only paid me when i spoke out about it, probably to keep me quiet lol- thanks for making this video :)

As much as they do suck, they are quite effective at getting rid of things like "my front yard is a parking lot or trash dump haven't decided yet" and "my garage is a 24/7 mechanic shop."

They are quite common in certain niches. A number of record, film, and news organizations run MCNs, Vevo, TYT Network, and Alloy Entertainment all come to mind.

Also worth mentioning is the whole David Dobrik drama. He got his MCN to flag videos that incriminated him through Content ID and automatically submit worldwide blocks on them. Only MCNs wield these kind of powerful tools!
So its basically a pyramid scheme, growing bigger constantly to pay out the previous round of recruited streamers.

This is why I haven't gotten serious with youtube or twitch. Imagine having house payments, etc, and this happens. A late payment won't make Omnia look bad, it will make them look bad. Putting your livelihood in the hands of ad revenue never felt right to me.

And I am now using livestreaming as a hobby to the point that I post a link in the description below for app referrals because I don't want to earn money on ads that if I get in trouble with TH-cam or anyone else, I can get popped... Nope, can't do it.

So "goodwill" is just a made up buff that can show up on a balance sheet and is not actually tangible in anyway. Why is this even legal????
Goodwill is more like a premium that is charged by a company on the basis of its market position. And there are ways to calculate it. Though it can manupilated like any other thing in accounting if they handpick companies to compare.

Bro, giving me Maker Studios PTSD. I was in their smaller creator division when I joined the MCN, and there was so much sketch BS that went on, especially around the Disney XD and Spark program they hosted. People not getting paid, banks freezing creator accounts, it was insane all the stuff I saw and had to deal with. I even had to personally dig for information deep into Disney business management because the folks at Maker wouldn't tell us anything and give us the runaround.
Still haven’t gotten paid months worth of revenue, been making videos for free for a half a year now pretty much

This issue comes down to different factors, it isn't as simple as blaming one party.
TH-cam policy changes back in 2018 impacted MCNs heavily.
Content Creation itself and the change in revenue streams affected this.
It's not like MCNs back then making contracts for a set of years are able to see the future.
Issues with MCNs existed already as far back as Machinima
Now, this does not come as a defense for Omni or other similar MCNs.
But this really isn't as simple as "just sue" / "just pay me"; this ofc shouldn't be an excuse for failing business decisions.
More often than not though business gets really complicated for dumb reasons through corpo.
Just try to imagine the chaos of the following. With example of Rooster Teeth.
2012 - Google invests $35 mil into Machinima (first open backed content company afaik)
~March 2014 - Warner Bros led $18 mil funding round for Machinima
April 2014 - AT&T + Chernin Group establish Otter Media
~Sep 2014 - Otter Media buys majority stake in Fullscreen (AT&T strategic investor)
~Nov 2014 - Fullscreen acquires Rooster Teeth
~June 2018 - Time Warner (parent of Warner Bros.) acquired by AT&T
~Dec 2018 - Otter Media restructures Fullscreen, pledging changes at Rooster Teeth. Machinima to be subsumed into Fullscreen.
~April 2021 - AT&T was looking to sell Rooster Teeth, but got included in the merger that formed Warner Bros. Discovery 1 year later in April 2022.
~March 2024 - Rooster Teeth shut down.
Just imagine the absolute shitfest of corpo playing chess, shifting strategy, workforce, layoffs, firing/hiring, replacing key figures, key figures leaving, transit phase due to acquisition, plans not being realized because oh shit another acquisition.
This is what fcks up a lot in general with companies.
Same reason why CrunchyRoll is in a predicament.
If MCNs made long-term contracts with creators, this was done to lock creators to them, betting that things wouldn't change. That is still their fault.

But that intent can be said about most other contracts.
At the same time, one could also argue about the fact that many creators do not bother to actually get their contracts legally checked. Be it because they are new and easily persuaded or otherwise.
The MCN is absolutely to blame for the most part.
But again it's not just the fault of them alone, it's the result of a convoluted shitfest to say the least.

Even when i dont know or understand what you’re talking about just throwing on your newest upload makes my day when i get off of work. Life has been tough for me lately but your videos are still one of the few things that can lighten my mood.
He’s the perfect combination of “knows _exactly_ what he’s talking about” and “absolute goofball” that makes is uploads so enjoyable, even if it’s some jargon-based cyber-security computer building thing I don’t understand, I just love his presence to brighten the air of dark around me. Best wishes for you, fellow Ordinary Gamer. Despite the multitude of simply awful days, there will still _always_ be good ones, still be good moments in the future that are worth sticking out for. what I've learned being on youtube all the way back to the machinima days is to never be a part of a network, at all. It has never ended well, ever.
It seems to be a standard. A company is boasting publicly about how great they're doing and how they're growing. But then turn around and either lay off or refuse to pay their employees. Citing hard times and troubles. Both things are kinda mutually exclusive. You either do well or you don't. so whichever way you slice it they are lying.

It's very helpful to hear your explanations so that I don't just have to tell my husband when his favorite TH-camrs are MIA "I think TH-cam is doing...something...lately.".
TH-cam is hurting TH-camrs.
Had a similar situation with a company I was an independent contractor for. They had me travel and shoulder the expenses with reimbursement on them, which wasn't taken care of, plus, what they owed me wasn't paid for months. They did catch up, but they haven't hired me for any jobs since the start of the year, and I have mixed thoughts about that.
When you have a Contract with a company, and part of that Contract includes your payment, then when the company breaks their side of the agreement, then the whole contract should be Null and void. The company broke the contract when they stopped paying, so the contract keeping you silent is broken too
Enthusiast Gaming relaunched a platform that covered esports news called Upcomer, that previously shut when its old owners signed writers, terminated contracts, made them re-sign contracts, then terminated them again all within a month of bringing in new writers to the team. In that time, the original editor left and a new editor who is now an award-winning journalist was sending emails constantly implying people would need to get views or lose their jobs, before going on to cry about the company once they also cut his contract and it no longer paid to be their lapdog.
The relaunch saw them sign big name writers in the space on hugely inflated salaries, then eventually letting them all go as it wasn't sustainable and they wanted to pivot the content to video, despite that side of the content they never wanted to focus on, which led to a now-dead TH-cam channel to add the the pile of failed ventures.
The website now, instead of being an 'esports platform with a focus on quality over quantity', is doing the same SEO content every gaming outlet has moved to as that is what gets clicks and requires minimal effort and writers who won't need a high salary to produce bespoke content.
Enthusiast just can't help but destroy what they touch, but the decisions they make are rarely stable in the first place in ANY space they're in.

TH-cam should have a far more proactive system for protecting creators given that they force them into this situation. MCNs should have to pay a large bond payment to held in a trust equal to at least one or two payments per creator. TH-cam's contract with the MCN should include provisions to break a contract on the creator's behalf.

Goodwill is basically just the premium between what you paid and the value of net assets for your stake/percentage in companies you acquired. If you overpaid then it's not really based on anything. It gets allocated to cgu's based on synergies between companies. When a cgu is impaired (carrying amount exceeds recoverable amount). It gets allocated to goodwill first before any tangible assets in that cgu. recoverable amount is higher of fair value or estimated net future cash inflows, which have tanked.
It's not looking good. The biggest issue i see is that while they're still solvent. they aren't liquid since current liabilities exceed current assets which puts their going concern assumption at risk, especially since they have to pay a 70 mill debt within the next 12 months. Their statement of profit/loss will be interesting to deduce where they're headed since future loans or investments ain't likely

the whole foundational business model seems like it's beyond easy for an initially legit business to slide into becoming a straight up ponzi in the blink of an eye... millions of dollars of monthly pass through revenue that they can't touch in 100-0 deals with big creators, it's not too hard to imagine all the ways that could happen. i wonder whether or not if we'll ever find out if something like that's happening here or if there's just a bit of your run of the mill internet business shady mismanagement going on, and after payments go out the situation just quietly disappears. also, seems weird to me as a non-youtuber that there aren't 2 separate agencies that creators contract - 1 for deals and legal/paperwork stuff and 1 for the money side of things, but i'm stupid so maybe that's dumb and I just don't know why...
