Working in finance I don't think its that weird especially if its actually an MNDA. You would assume after signing you'll get access to more proprietary information like locations of supplies, existing contracts, etc. Even after signing you can talk about it without getting into specifics and you're free to challenge anything presented in an NDA before signing.
I hope you move forward, This story is very interesting.

Press is never good during a bankruptcy. While you’re not wrong about being concerned, an NDA for such a public company is standard procedure.

Here's what I would do:
- Definitely email back by the 7/2 deadline to show you're interested.
- Then they'll send over the NDA, which is standard in these types of business sales, nothing sketchy. Review and sign the NDA if you're comfortable. If not, just engage a local attorney to walk you through it (I'd offer to help, but I work at a Maryland based law firm).
- After you sign and return the NDA then you'll be able to see the Inventory. At that point if you're interested in submitting an offer definitely hire an attorney if you don't already have one. They'll be able to work out the entire deal for you, probably set you up with an LLC to buy it through, etc.
-- And if you're not interested after seeing the inventory, well then that's that really.....
But if you do move forward and are looking for ideas of what to do, these are just some things I was thinking about:
- For the grails, if there are any (like prootype cards, Silver ticket) I would use those as an add-on for the highest tier of a new Kick Starter for the first 2.0 set as incentive for the newest set.
- Keep one or two Topps Chrome set rotations, those seemed to be hits at the time.
- Changing the gameplay mechanics would probably be a top priority, as well as getting a Steam type PC video game.
- Removing the Reverse Holos may be something to think about.
The trickiest part of this all will be what to do with the old product. A lot of that product is a reminder of the past ownership that just about everyone can't stand to even think about. It would be easy to think and say, just burn it. But then that artificially makes those products scarce, and that would make people both past & future collectors, weary of who might be holding that stuff in their closets (i.e. prior ownership/employees, etc.). For that stuff it might be good to just periodically bundle it free when people spend over 'x' amount $ on the website on new product.
If you bought MZ outright or as a majority partner, I'd be back in collecting it. Anyone else, no thanks, I will pass. You're the only one who is transparent enough to trust, plus incredibly active and responsive, and has been around since the beginning. I won't even waste my time on anyone else honestly.

An nda is pritty standard in regards to buying a bussiness.
$100k isnt a whole lot in the grand scheme of things. If you invested for example the $100k into owning the company or found a partner to go 50/50, I dont think it would be difficult at all to fund all the extra expenses such as storage, transportation and the startup costs of a new set by offering shares in the company to us average joes. If a percentage or 2 was for sale I would personally be comfortable with buying in at $5k.
Honestly I think once you own the IP, you could easily kickstarter a brand new set, fans of the IP will show up.
I think the purchase of Metazoo would also get people talking.. especially with trustworth new ownership. Theres inevitably angry former fans who might not hop back onboard unless they got their money back though too. Its hard to say how it would play out overall
Doesn't matter. The IP is rock bottom any type of emotion from people means they are attached to it. At this point any people talking is a good thing for the IP
I honestly don’t think it’s uncommon to sign an NDA when you go into a negotiation like this, if you’re serious. They’d be trying to display the company’s value and that might require sensitive accounting and inventory numbers. I don’t think anyone who just asks to buy the company/assets is going to get all-access from an inquiry.

Also, what if you added grails into the mega set? That would generate tonnes of sales, for grails that can't fit in the pack you could use redemption cards? Just bouncing ideas because i feel Metazoo could be wonderful under you.

2,500 is the correct print run amount for any Booster box set for the time being. Anything greater than that would still be too much. IF you were to release any new sets after ownership they would need to feel very generous to get people interested. Maybe providing free product with an order that might be hard to sell otherwise, however I don't believe a thing Metazoo has said it has done. Likely they never made or printed any of the other sets such as Legacy or scp. The funds were probably mismanaged by Mr. DJ cool millionaire and the other clowns. Getting the ownership of Metazoo would still be very good in the long run. So much potential. There was no reason why anyone who owned that company couldn't keep making sets of less than 5k Booster boxes once or twice a year. It had a very loyal following . I love the artist and all but they could all very easily be replaced and printing in the USA with very small print runs would also be the way to go. The company always needed a guide as they lacked any conscious about what was good for the company and its followers. Hiring the right people from the get go will really decide Metazoo 2.0's Fate.

Here's what one of my best friend and I think of this (and we have been heavily invested in the Zoo for a few years):
1. Nick, you should buy it. We can't think of any other who would run it correctly (and not lie, obfuscate or inveigle us)
2. Sign the NDA, and if it looks bad, tell them to pound sand. Then, if you feel the need, make a video not breaking the NDA, however I can't see a scenario where you can't give clues that from what you gathered, this is a GREAT deal or a TERRIBLE deal. The end.
3. If you can't get Metazoo, we can't think of another company that would do it right. Bandai? Nope. WOTC? HELL no..."other streamers" - ummm...no. As in...NO.

One idea would be to finally establish art contest winners from last year and include cards of their designs as possible hidden promos in the first new set.
Also, ideally, wouldn't be such a bad idea to discuss updates to how the game plays and fixing issues with the mechanics up to this point. The 4th wall idea was kinda neat, but nobody is going to play this game after you get it up and running again unless real effort goes into a solid reboot. That's really what this needs, a reboot.
Metazoo was great at one point. But idk if it can be alive again. I think maybe if you could partner up with the right people it could be good again. We missed the yoki island set and so many more sets that we’re gonna happen.
Signing an NDA is standard procedure when buying any business. If you go to biz buy sell And inquire about any business the first step is going to be signing an NDA. All I’m saying is don’t let that deter you or make you feel like there’s some red flag. It’s literally gonna be the first step in buying any business.
I can understand the concept of an NDA, and it doesnr automatically mean it is bad. Seems more standard business, possibly. But I'm assuming good faith.

I’d focus on buying just the IP and toss the bulk product and keep the important stuff. Make sure you have capital to launch a set and start from that. Obviously 100k isn’t fun to be down on but think some people paid 150k for a cyber truck 😂
NDA is standard. I could be mistaken, but if/when they file BK, I believe the assets will be public.
NDA is how they protect the secondary market. If you win the “auction” for the company, you don’t want some sour second place leaking your inventory list and potentially tanking your market price.

Sidenote: Make sure you have a lawyer review the NDA before you sign it, Nick. Surely there will be lots of fine print and clever wordage. Metazoo could very well make it so that you can't talk about Metazoo in general, not just in regards to the inventory. That will really screw you over if you decide not to buy it.

I'd say all of those sample packs are long gone. I was buying the the 2nd wave packs for $20 a piece from Box Mountain like 3 years ago. 1st wave packs were given out like candy in 2020 and I'm assuming they moved everything they had at the time. I even bought the first sample Chaos Crystal at auction for just over 100 and I thought I was overpaying haha. The only thing I would wonder is how many non alt boxes they might have. One of Mike's very early streams, he showed a pile of non alt KS boxes that he was keeping to sell on the site (that's what I was buying in 2021). Unless he cashed out when they were 2k a piece I would imagine he had some left.
By the way, all of those 2nd and 3rd wave packs were easily searchable with a flashlight to the side of the pack, I tried to tell them on the Discord but they didn't want to hear it of course. I've always told people to avoid them.

I'm only following Metazoo for the drama and because of that I would LOVE for Nick and Umu to team up and buy Metazoo. Umu's videos are just about seemingly constant waves of bad choices so his content following investing big money into Metazoo would be EPIC. PLEASE DO IT.
though to be clear, Nick seems like an alright guy and I wouldn't enjoy watching him lose any more money on this. So maybe Umu should be the one to buy it.
What if they want to keep all the grails, samples etc so if it takes off under the new owner. (Which i hope yourself and or umu get it) they'll make bank off selling them
I would want to see the TCG return + a collectible battle style video game in 3D (preferably -- more similar to palworld than pokemon), but a 2D maplestory style would work for me too (but then mobile needs to be added too)

Man l would love for there to be better playability. I feel like players keep a game thriving long term. Ex. Yugioh, Magic. I know pokemon has that collectability thing going on but it's pokemon. The strong cards were always more expensive as well because the card raised the chance of winning.
If the sale goes through, and once everything is steady financially, maybe he could hire a game designer to rework the game in some manner. Because I agree it is overly complicated, not very playable for most.
There’s already so much work done on something that still could be amazing if implemented and overseen properly. I believe you could put together and outstanding team to make this happen if you choose to.
It would be really nice to see someone take over metazoo and have it come back. I really loved the product and art of metazoo. I wish you luck with your decision and hope it works out for the best.
Nick these are all great ideas and I really hope it somehow works out that you can buy it, even though there are a lot of downsides. I will be 100% behind you, ordering new releases and buying up the old product
Just found your channel recently and love the enthusiasm you have towards collecting and Metazoo but I’ll be honest in my opinion there’s no chance Metazoo IP and PHYSICAL product sell for only 100k. I’m just imagining their physical product left, IP, what the game used to be and the current fan base still.

Its part of business once you own it you can talk about it until then it is propriety information, who ever buys it might not want that information out there and for many reasons and you may not end up owning Metazoo, it is up to whoever owns it what information they want public.
At this point you should get the inventory its the only way you will ever know if it will / would have been a good deal, its costs you nothing to sign the NDA, I doubt there would be much supplementary stuff apart from sealed products
If you're serious you sign it, read the NDA there are normally large holes in them and you can ask them to add clauses, if they are reasonable they shouldn't say no.
NDA always happen in these deals , 100k the price is low for the IP and with partners even better

As to your last question, if you don't buy it - I'd like to see someone like SpeedRobo that has some more experience in the TCG industry to buy it to get the right people into restarting up the logistical parts of Metazoo. Large TCG companies like BANDAI or Bushyroad would also be great but I feel that ship has sailed already.
Partner with Rudy at Alpha Investments 😊 he has the warehouse space and logistics to handle large scale inventories.
Hey, coming from a business background, your first immediate action shouldn't be to recoup your money right away. In business, it can take 1+ years to see a return on investment (ROI). Expecting to go in, buy something, and immediately make your money back isn't a smart move, as businesses take time to develop and grow.
I think whoever buys MetaZoo needs to make right by the community with the skateboards that were paid for but never shipped. I know it’s not fair to whoever acquires MetaZoo since they weren’t the ones you f’d up. I guess it could be considered “inherited debt”, but it really would be a show of good faith.
If they are introuble for not paying back people for who didn't get shipment then they probably don't want to disclose how much they still have. Not sure why they'd hold onto it when it's owed to people unless that's not exactly the case. But during bankruptcy they'd have to surrender all known assets to pay back what they owe.

Maybe the old artists can combine their powers, nom nom has printers in America so imagine Victor Larson steps in and takes over. The artists made MetaZoo great so maybe nom nom and chronicles or arcane tram up to bring MetaZoo back.
I should've mentioned in this video, maybe you can mention in one of yours, that 4 metazoo artists, good ones, have already reached out to me saying if I bought it they would 1000% come back.

They still own the code for Cryptid Clash. And they have infrastructure already for dealing with shipping out product and fulfilling orders.
I'm not experienced in buying businesses but I would think signing a NDA for something like that would be a standard. Not saying it should or shouldn't be. As far as the loose wording on what you get, I would also assume that's pretty standard until you get further in the process, past a copy and paste email. Personally, I still think 100k/150k is an absolute insane steal for the MZ ipo. They were making crazzzyy money, 7mil a year or whatever, while running that company as horribly as they did. You could even put together a type of "fund the new metazoo" set that could be your version of a sample set. I think 100% of the disdain is for Mike and other owners and how they treated the mz fan base. Theres still a bunch of love for the zoo. I definitely think it would be worth the money to consult with someone who deals with buying bankrupt business professionally that way you know if any of the shyt they're asking or doing is shady. Only thing I could think of is them trying to hide the fact that they were still printing KS boxes / that’s been pretty obvious though for a long time. Would be great if you could buy it but I think it’s just a continual sinking ship. Too many stipulations and BS like this NDA crap, just like Metazoo to always make things so difficult.
Personally I'd be very interested in what kinds of work files would come with the sale, do you get the logos, card templates, packaging templates, full resolution artwork, fonts, etc etc etc?
The owners of the company don't want proprietary information going to the public. Obvi a non employee needs to sign an NDA, it's not a red flag.
I think you'd be able to bring it back from the dead, but I also think it'd require a lot of help. If you do end up buying it, I think the gameplay should be addressed so easier to grasp, and it needs to be appealing to kids to ensure it's longevity. Couldn't hurt to consider a Kickstarter campaign too, the community would likely comeback if they knew it was in good hands.
Maybe "As Is" is referring to the partially/unfinished sets.

Don't buy MetaZoo man, do your own version instead, it will be easier and better for the community in the long run. Here's some free ideas. Instead of calling it Cryptid Nation, call it Cryptid Country or Cryptids Unite and start your own parody tcg, you don't have to buy MetaZoo, you just have to try harder than they did. Ask the community for feedback, incorporate the feedback, let them participate in content creation and lore development, and you'll be more successful than MetaZoo. I'm a published sci-fi author and offered Mike free writing help for MetaZoo, and he thumbed his nose at the offer, but at one point I was excited enough about the cryptid lore that I was willing to help out for free. You could probably organize both writers and artists together pretty easily . . . I even know some artists we can commission for cheap that might be interested in helping out with some cryptid themed artwork for cheap, probably artists willing to help out for free if you asked the community.

When you look through the comments, there a fans out there that are offering to help. Some are able to help with logistics, some are artists, some are lawyers and investors. All are fans, why not consider bringing fans in to this? Buy the company for 100k if you can, get the first 50k back by offering shareholdings to fans and put Metazoo in fans hands. A game bought by fans, now made for tcg lovers seems like a story in itself.
Sell the IP to Rockstar games. Let them make a game. Hope the cards do well if the game does.

I’d like a collectible card game. The concept of the cryptids was great. If making a tcg with consistent 10000 print run serialized boxes is profitable I think it will do fine.

They don't specifically want YOU to sign an NDA. NDAs are standard procedure in business transactions. It's just a copy paste email. Call them. Talk to them about the NDA. See if there's any wiggle room. They may write up an exception for you, being that you are a popular news channel.

A company with resources and experience needs to pick it up. Store the product long term and forget about it. Work on the IP first and rebrand to a darker adult theme. New set needs to be new metazoo. After a few years start to sell the old product as bundles, or use it for giveaways/promotions.
100k is a good deal, fuck the product at golden. Buy the IP and make new sets. The company will be a million dollar IP again, once the brain trust combining to total 70iq is gone.

Buying the company and the product is just the tip of the iceberg. You will have to dump more than double your initial “investment” on marketing alone nvm hiring employees and additional overhead.

Every single business does this. Because they do not want their financials and or stock amounts all over the internet. Let alone their failures as a business. Obviously your not really interested, or else you would sign and NDA, I have signed 11 over the last decade, all business related. It is the norm in the bigger business world. You will not make your money back immediately, hence why they went out of business...because it did not generate money and was not liquid.

I understand that you would like to buy meda zoo and help it evolve into something really big. However, it seems like you just want. All the best stuff so you can sell it and make a profit. I'm not saying that's bad. I'm just saying that if meda zoo wants to be something big, a big card company like topps Panini or donruss should buy it because they have the ability to market it and distribute. I'm with you. I would like to buy meda zoo and get access to all the goodies. However, I think if metazoo wants to stay alive, the big dogs need to come in and save the day.
