How to create LLC Annual Report reminders using Google Calendar

  • Get instructions on your how to file an LLC Annual Report in your state: www.llcuniversity.com/50-stat.... Select your state and then click on the annual report lesson.
    In this video I demonstrate how we use Google Calendar to set repeating reminders for LLC Annual Reports.
    You will need to create a Gmail account in order to access to Google Calendar. You can sign up for free here: www.google.com/gmail/about/#
    After your Gmail account is created, here are the steps to setting up your Annual Report reminder calendar:
    1. Go to Google Calendar: calendar.google.com/calendar/r
    2. Click the gear icon, then click "Settings".
    3. On the left, click "Add calendar", then click "Create a new calendar".
    4. Give your calendar a name and click "Save."
    5. Go back to Google Calendar, click the gear icon again, click "Settings", select your newly created calendar on the left, and then look for "Event notifications" on the right.
    6. Under "Event notifications", click "Add notification". Change it to "Email - 1 - minutes" (the changes are automatically saved).
    7. Return to your calendar and you can begin creating events/reminders.
    8. When adding an even to your calendar, make sure to change the calendar to your newly created calendar (and not the default calendar). And then click "More options".
    9. In the individual event settings, again, make sure the proper calendar is selected. Then choose the date and time at the top. Underneath the date and time, you'll see a "Does not repeat" drop down menu. Click that and select "Custom". Now you can choose the repeating frequency settings of your event.
    10. Save your event and you're good to go!

    Great video Matt! Your video on accountants was also helpful. Me and my wife already have 2 LLCs taxes as s-corps.. our accountant does our personal and business.. But the accountant is not the greatest... How would you recommend switching accountants without any disruptions??

      Hey Carlos, thank you! Yea, I hear you man... it needs to be done, but it feels "sticky". Talk to as many new accountants as you feel necessary (to whittle it down), then meet a few in person. Once you find the account you'd like to hire, ask them what they recommend for the "hand off".
      Then send an email to your current accountant and tell them you are switching services to a new accountant (you could say the new accountant specializes in your business niche, for example, to keep things calm). Hopefully, the two accountants can coordinate the passing of any documents, information, etc. Maybe even pay the old accountant to help the new accountant file the 2021 taxes (not actually help file, but to be available for questions) to lead to a smooth transition.     Hey your article "how to get an EIN without SS" helped me so much! However when I try to send the fax the fax number of the IRS is always busy now- bc of covid I suppose.
    Do you have any insight: are all irs fax machines off? Do you know any other way how I can get an EIN now faster or do I just have to wait?

      Hey Trobes, you're very welcome! A this time, we don't have an update either. Their phones lines are also super busy. It's covid-19 + tax season.     Hey Matt, great video. i have a question
    so i have an existing LLC but i want form a DBA under that LLC. my question is does the dba under the existing llc get the same tax benefits? for example i have a dba under my llc but i have to buy supplies for the dba business do i get back money used to buy supplies for the dba business in taxes?

      Hi Kaylia, a DBA is a "fictitious" name. Aka, a nickname for the LLC. It's not "another" business. It's just a nickname for your LLC. So the only real entity that exists is the LLC. This article will help clarify that more: www.llcuniversity.com/dba/do-i-need-to-file-a-dba/

    Hi! I saw your video on operating agreements. Curious, because I formed my LLC in New York State and the Secretary of State is my registered agent listed on my Articles of Organization, would you be able to tell me how to fill out the Registered Agent section of my operating agreement? I was unsure of what address to put for my registered agent (secretary of state). Thank you for all this helpful information!

    I have a question I formed a llc now I need to publish you said I can use agents address to cut cost but can I still use agents address if I already filed the the llc with my address but my agents address is also on paperwork will it still work that way

    Hey Nick I have a question?! when should I change the state of my LLC?! Can I do on the annual report? So what i means is my llc is in NC but I want to sit up in Florida , Delaware or Texas.       Hi Orlando, what is the reason you want to move your LLC? You don't move the LLC via the Annual Report. Moving an LLC can be done 3 different ways. Also, do you need to retain the company history (bank account, EIN, contracts, etc) or are you okay with starting over (dissolving the old LLC and forming a new LLC in the new state)?

      @@llcuniversity Hey Nick! And thanks for getting back with me. So I was wanting to change my LLC because of NC taxes!! Now I am not a big company just a signal truck driver and I thought that if I change my LLC location it would save me on my taxes. If I have to reform my LLC then I am ok with that but if I can keep everything intact like my Bank, EIN, and contracts, etc... that would be awesome Nick! Again I remember you telling your viewer that having your LLC in TX, FL, etc... could help you with taxes and a few other thing. Just so I'm clear and you have a good understand I just form my LLC in January and this was before I came upon your TH-cam . my income for this year is about 75k and I am looking to double my income next year.       Hi Orlando, with an LLC, income taxes flow though to you and you'll pay in your state no matter where the LLC is formed. So you wouldn't want to move the LLC to another state as it would cost money and have no benefit. I recommend having some conversations with an accountant. If you're net income is growing, electing for your LLC to be taxed as an S-Corporation will save you self-employment taxes.       Hey Lil Big, there are a few forms that may need to be filed, but it depends. And it depends if things are filed by paper or online. These are tax filings, so it's best to work with an accountant.

      You'll have to just be patient and wait. Don't send another ​application as that may cause issues and add more delay. There is no time frame at this point. The IRS has been delayed since covid-19. Please allow up to 1 month. You can also try calling the IRS and getting a 147C: www.llcuniversity.com/irs/ein-verification-letter-147c/

      Hi Kulshreshtha, yes, you can use a US mailing address or you can use your actual address in India. In Form SS-4, 4a and 4b are simply a "mailing address" for the IRS.     I filed my LLC with a DBA in my state (IL) at the beginning of the year but due to the pandemic and the IRS shutting down mostly all of their processing centers I still have no EIN. It's been pending for months now. I did all my registration through a 3rd party who mailed it in and when the shutdown started my tax number has been in limbo. Is there any way I can get my EIN or am I forced to just wait longer?

      Hey, jeez... that company sounds old school with the mail-in SS-4 filing. Here's what I would do. I'd just go online and get another EIN myself (instructions: www.llcuniversity.com/irs/apply-for-ein-for-llc-online/). Then when the other EIN gets approved, don't use it and just cancel it: www.llcuniversity.com/irs/cancel-ein/. Hope that helps! Let me know if you have any followup questions.

    Legalzoom or incfile which service is best for forming an ein without ssn or itin.Northwest is super expensive for foreign ein, is there another better with low cost and faster foreign ein delivery service

    Hi, I have been reviewing your articles and wanted to leave a comment with a quick question regarding DBAS, but luckily I found your TH-cam. I am operating my LLC as “The __________” (my real name). Under this, I plan on having a few media platforms like different TH-cam channels, podcasts, blogs, a promotion team all operating under the LLC. I may sell some merchandise for these channels and platforms, but nothing major. DBAs where I’m filing at are expensive and I don’t feel that I need one considering I am willing to always reference back to my LLC, which does have my name in it. Even if I decided to sell something else, I wouldn’t mind referencing back to my LLC. This LLC is for everything I plan to venture into and I don’t mind the name for everything. Is it really necessary for me to ever file a DBA considering my feelings towards my future ventures.

      As a non-US resident, you can really pick any state you want (as long as there isn't an office or employees). What kind of business is it? Regarding your taxes, we can't answer for sure, as it varies, depending on how the money is earned.

      We are not able to say 100% for sure, since we're not a tax firm, but many non-US residents with LLCs may not need to pay US taxes if they are not engaged in a trade or business in the US (ETBUS). However, there may be other benefits in your country if you use a C-Corporation. The state you choose should not affect any federal taxes. There is some more info on ETBUS here: ustax.bz/non-us-entrepreneurs/. We really recommend speaking with a few accountants (who work with non-US residents) to double-check. Since there is a slight chance you may have to pay 30% in taxes up front, and then that number is reduced (if there is a tax treaty with your country) and you can get some of that money back. I apologize. But we don't think there is a simple answer or immediate simple solution. We hope to research and cover this topic more in the near future.

    Hi. If I have a foreign-owned single member LLC, am I considered a US person or a non-US person by Amazon? When going through tax interview on AMZ they are asking to choose between US and non-US person, however it's unclear as they are stating: US person - if you are a company created in the US or under the US laws. Non-US person if you are a non resident alien individual. What is the option for a foreign national who owns a single member LLC? Please help. even Amazon associate cant help. She said she escalated to internal team to reply to me but no reply for a while. I guess they are also confused.

      We are not familiar with all the Amazon FBA policies right now, so we cannot say for sure. However, if you if you meet the US tax requirements of being a non-resident alien, then you are not a US person for federal income tax purposes. Hope that helps.

    Hi Matt, In these difficult times of Covid19, hope this msg finds You well and safe.
    Thanks for all Videos and for sharing such valuable information.
    1 - If i choose a Registered to Complete LLC Articles of Organization using their name as "Organizer", Their Adress to receive my mail and also as LLC Company Adress + if they also sign pay Articles of Organizagin (E-filling into respective State Website, in my case Wyoming), how can I prove and where it will be stated that the company is in fact mine?
    To open a bank account, most probably bank will ask for Articles of Organization and there will be nothing related to my name there. Owners name is only inserted into Operational Agreement, however, this doccument is only an internal doccument (anyone can print and sign). Can You give me Your oppinion about this? (Tks).
    2- If I compete and Pay Articles of Organization by myself, use registered agent adress and MY Name and Perform the Payment using my credit cargo, in this case, my name will be included into Articles of Organization. (as organizer and payment).
    There is a section also asking for "Title", most people use "member", can I use "owner"?
    Wyoming is not Public record. What does this exact means? Anyone can type the name of my LLC and check who is the owner, download my Artiles or Organizagion? Check State website? (I have no problem to have a record / track of transaction with Wyoming State, all ok with my doccuments, company etc.. I just don`t want this info become public for anyone to check).
    Even if I complete by myself (using my name), the info remain not Public Record on this case?
    Sorry for this long question but this is really confusing for a non- resident.

      Hi Daniel, the company you hire will sign the Articles of Organization as the LLC Organizer and they'll give you a "Statement of LLC Organizer" or "Initial Resolution". This document says that the Organizer organized the LLC, their duties are finished, and then they list the Members (owners). That form, along with your Operating Agreement show that you are the owner.
      BANKING - We have some recommendations for non-US residents here: www.llcuniversity.com/foreigners/open-us-bank-account-llc-non-resident/
      TITLE - No, "owner" isn't a the correct title. It depends on the state form. It's typically Member, Manager, Organizer, or Authorized Person.
      PUBLIC RECORD - It just means information about the LLC is available to the public, via the Wyoming Secretary of State website. If you hire a Registered Agent and hire a company to form your LLC (they'll sign as Organizer), all that information will be on the Wyoming Secretary of State website, but your name won't appear. So while the LLC information is on public record, your name won't.
      The Wyoming Secretary of State doesn't ask for Member or Manager information, but if you do sign as Organizer or list yourself on the form, while it doesn't say you are the owner, your name is connected to the LLC in some capacity.

      Reading the Article You sent with recomendations for US Non Residents & Bank account, I understand that now Mercury is a Good option. But I have a question, which I thank You beforehand for your attention and support.
      My case is Non Resident, open an LLC in USA, to Sell on Amazon USA.
      In this case, if I open my LLC using my Registered Agent Address (Virtual Office) as my Principal LLC Address, Mercury will be fine oppening my US Business Account (as long as I have an LLC with US address and EIN Number), however, when Amazon request me an Utility Bill under my Business Address. them I will have a big problem (Once registered Agent cannot provide an Utility Bill in my or in my LLC name and business address).
      Another Option would be to form LLC using my Home Address in my Country as LLC Principal Address in Article of Organization and use Registered Agent address only for correspondence/ mail with respective local Secretary of State.
      On this case My home Utility Bill will match my business Address (as Amazon is now asking for Utility Bills).
      However, probably Mercury Bank will not open a bank account if LLC is formed using an Foreing Address (my home address here in my Country instead of Registered Agent Address in USA).
      I was wondering if Wells Fargo would accept to open a Businesss Bank Account (Article of Organization + EDI ), using another Country utility bill address. In this case I would have to take a flight to USA. ( Not sure if Wells Fargo could open online account or if is it possible to use a letter of attorney to ask someone to open my business account....
      Do You have any idea, or can give me any suggestion / direction about how to solve this situation.
      Sorry for this long msg, but i`m sure that there are many many people in similar situation.

      Hi Daniel, we don't yet know of a solution for the Amazon requirements (utility bill). You will need to reach out to customer support at Mercury and at Amazon in order to figure out the best solution (since we don't know the solution at this time). Wells Fargo doesn't allow for an account to be opened online by a non-US resident. We recommend calling a few different Wells Fargo locations and asking to speak to the branch manager. I hope that helps a little bit. I know it's an annoying situation.

    Can you please offer me to a legal office that belong to IRS and offer services to non-US residents to create an llc?

    can i put my home country address which is india in northwest registered agent mailing address of contact details if i am forming LLC in wyoming USA.Will there be any problem
    If i put USA mailing address what service should i use,as i live in india and not want to visit usa

      Hi Kulshreshtha, yes, you can use your address in India to give to Northwest. It's simply the contact information they'll have for your account. It doesn't get listed on the Wyoming LLC filing. If you're using Northwest, you can actually choose to list Northwest's Wyoming address in your Wyoming LLC Articles of Organization. They have that option available when you're checking out.       Hi Kulshreshtha, if you hire Northwest, they have the option to use their Wyoming address as: Physical Address of Registered Agent, Mailing Address of LLC, and the Principal Office Address. Basically, all address fields on the Articles of Organization. Hope that helps.
