We have a saying in our native tongue that roughly translates to "justice is only for the rich" in which rich people will play the long game for trials and seek extensions and stuff so that the opposing party would be forced to settle out of court since he/she is running out of money to pay for his/her lawyer.

This contract sheds light on the behavior of some Niji talents about what happened. Literally, if they said something that the company considered "not appropriate", their income went out the window. It also clarifies a lot about what happened with Doki and how she had to endure months there even if she wanted to leave, literally one is trapped by that contract. Some defend the company by saying that the leaked contract is just a basis and can be modified, but if the basis is a literal slavery contract, that says a lot about how Niji operates. The truth is that I feel that many of the talents who criticized Doki only did so under threat, it is not known who is really honest when saying something "bad" under the company's criteria (basically anything applies) leaves them without support, payment, etc
As I have been saying, a lot of the companies that are spoken highly of by the talents are companies that place an emphasis on talent-management communication. Sakana has streamed with his talents multiple times, he has pulled practical jokes on phase connect talents, and the talents have been comfortable with talking to him, and even ribbing on him, as one would do with a good friend. I have heard similar interactions with management and talents in Idol and VShojo as well. Not that I can really speak from experience, but as a casual viewer, it seems pretty evident that agencies that prioritize interaction and communication with their talents are typically some of the best rated agencies.

The EN livers should contact their local lawyers (not Niji's/Anycolor's) to review the contract asap for their rights & wellbeing in their work if it is real.

Funny thing about leaked insider information -- by definition, the leaker is an insider. Which means that unless Nux is an Anycolor employee, he is not and cannot be the leaker. Even if he willingly publishes the documents the leaker gave him.

Oh, definitely. As it's worded, "anything" means just that. As long as it's associated with the model in any way or fashion, then as far as Niji is concerned, it's their property. If she did urm..... play, but no one knew, then it's hers as the person behind the model and not Niji's. But the second anyone brings it up and she says or expresses anything that confirms its existence, then since its now part of the story that is the vtuber, it becomes their property. Quite honestly, it's evil as fuck. They made sure to leave the wording just vague enough to cover anything their models do, including intellectual actions. Example, say fan-based hearsay starts rumoring its way around the interwebs. The moment that the vtuber engages with it is the moment it becomes part of the canon of that vtuber amd by proxy of that engagement, makes the interaction with and everything going forward that's a result of the engagement also part of the vtuber entity's canon, thus making it property of Niji as far as Niji is concerned. Yeah a lot of the 'you have to provide us with certain information' stuff is preemptive file padding. Its one of those things that can theoretically be a good idea, as a way to deal with bad employees so if they start saying something about an unjust firing you can pull out a folder and drop it on the desk, but its also one of those things that is massively used by shady or exploitative companies. A lot of US companies do something similar (again, just in reference to file padding) even if you don't sign a contract by having a massive list of rules in the company guidelines that no one follows but can be brought out to defend basically any firing.

You are wrong about non compete you cant hire a freelance carpenter, tell him he can't freelance anymore and at termination he can't carpent anymore for 6 months that's that employee's main mode of sustenence you can stop them from joining another company maybe maybe but you can't stop then from going solo they need to eat. This is even illegal in Japan. I think non compete is more about joining another big agency than going solo.
No Non-Compete means the signer can't work in the same job anymore for the duration agreed upon in the contract. No idea how it is handled in Japan or the US. Where I live the employer has to compensate you for the entire duration with 50% of your salary including bonus payments and other monetary perks

Re: non-compete: I get the validity of a non-compete, but 6 months is really bad. 30 days is the norm in Japan and you're supposed to get paid during that. A non-compete that extends into time when they're not paying you and haven't given you some sort of severance is impeding your livelihood. I did research on this specifically and I believe it would be unlikely to stand up in Japanese court as most of the 5 factors used in determining the validity of a non-compete are very much not in Nijisanji's favor. Per JP law, companies need to make clear why the fuck they need a non-compete, and there are five determining factors generally considered in court: 1. Nature, specificity, validity and depth of the proprietary information/trade secrets that the employee has access to. This one is iffy. A liver may know a few minor trade secrets, like aspects of their app and perhaps some future plans, but they're not things that will significantly affect the company like say, internal financial info that might damage their stock. I think 30 days is sufficient here. 2. The position and seniority of the employee in question. Livers have no seniority by definition unless they happen to also be a manager. This should contribute zero percent towards any non-compete. 3. Regional scope and duration of time of limitation to be imposed. The non-competes under Nijisanji are global, which doesn't 4. Clear scope on what activities are prohibited, and with which parties such activities are limited. This is VTubing, as in the thing they are known for and make money doing. The non-compete is prohibiting them from practicing their established trade. This by itself is a significant reason why an non-compete past the point of actual payment is unlikely to hold up in Japanese court. 5. Importantly, the compensation that the company will pay the employee postemployment for bearing the restrictions. Under the best circumstances they will only be given a standard monthly payout. Hey Nux, just wanted to comment on the Non Compete clause, and how I understand as learned from my father, who used to be a business broker(someone who sells business) and had to deal with them a lot. Note, I'm only talking from my countries point of view(Australia) and even more specific from my state, and also might be slightly out of date as well. No Compete clauses are iffy because they are meant to prevent competition against them, how ever here we have laws that you can't prevent people from working in their chosen field as they still need to make a lively hood. This is why usually here it's based solely around within a certain location from the old business. however this isn't concrete here, as an example he used was when a Real Estate Agent sold his company to another with this clause. His had business, however, covered a large area, so when he instantly turned around and started a new business, the other company didn't seek legal actions against because Legal thought it would fail in court due to how large of an area covered meant that the clause would lose out to the "Can't prevent working in their chosen field.". And this is where I think the point here is, because Vtubing is basically a global job, it's impossible to work else where in the field without tripping over Nijisangi. Some would say "work a different job" that would be irrelevant in this case as skills don't carry across between jobs and most people would only get low end jobs which might not be able to cover the expenses of what their previous job had. That being said, I could see it being upheld here, but only because of the Time Frame(6 Months) wheres the usually contracts are about 2 years, otherwise it would be considered illegal I feel. But Yeah, to me, that "Chosen Field" is an important part of "No Compete Clauses" and why in this case I personally disagree with it here. Hope you found this comment interesting at least.
To the people who are currently a Nijisanji Liver as well as everyone who used to be one, if you are in Japan(whether it be because you're a citizen, have dual citizenship, are there on a work visa, or some other reason), you need to get out of there. When I say that, I mean both quit the company and flee the country. I don't know if seeking asylum or refugee status would work, but none of them should be in Japan. When I saw FalseEyeD cover the leaked Nijisanji contract while showing footage from Legal Mindset, I hated the contents of the contract. Not only do I hope that Canadian law rescues Dokibird from every contract she signed, I hope that the countries of the other talents follow suit. Yes, I'm including the former Nijisanji talents in addition to the current talents. If the horrors of this contract and the silencing contract are two of the 4 things that Nux knows, I cannot comprehend what could possibly be the remaining two things. If it's anything like what we've learned about Wactor these past 15 months or so, anybody and everybody should be concerned about health, safety, and well-being of current and former Nijisanji talents, more so if they live in Japan. I know that a lot of people have problems with various people who are still Nijisanji VTubers, especially when it came to the people formerly known as Zaion LanZa and Selen Tatsuki. That doesn't change the fact that they should not be employed by Nijisanji. I understand that it's not easy from just a financial perspective for the current and former Livers that are living in Japan to just gather their belongings & funds and move to another country. That, and it's difficult to move from one country to another. I don't even know which country I would recommend them to move to. I just don't think any substantive change is going to occur any time soon in Japanese law or especially AnyColor & Nijisanji that will benefit the affected VTubers. Non-competition agreements are very universal and commonly used in all industries. They're just never ever enforced because it's usually way too costly for the company and the gain is little to nothing.

So many bad things in this contract. Most if this is probably not enforceable in most places. As for sending an amendment to the contract, if they do that while you're streaming it could automatically count as accepting the new terms. The survivability clause isn't listed as survivable. It looks like they can order you to get whatever equipment they want you to get, no matter how expensive it might be, and will only reimburse you $1300, and only the first time. They can order you to get a pair of the latest iPhones to use for streaming and you would have to get them without any reimbursement if they'd already paid you that $1300. Just to name a few. It's absurd.
Just wanna add a small thing. Niji is also famous for debuting new multiple talents so frequently, which is a bad move because those talents will not have time to grow themselves. Platform? Nope, you'll have difficulty to grow once you're joining them and unless you're lucky, you'll simply be buried under other talents.. The point is, other than model and maybe some thousand of subs, you're only getting huge demerits by joining this company...

I was pretty certain that *finalized* contracts would be different than this unfilled version. Considering what it says, this would *not* fly anywhere outside Japan. Hell, I'm not sure if it'd fly in Japan either.
From what the talents have described, this is the copy they have to sign and Nijisanji does fun stuff like giving just a three-hour window to sign their contracts once you have received them, basically ensuring you can't have a lawyer look over it.

Many of these talents are basically kids. This is also likely why Nijisanji's job opening for a bilingual part-time manager for 7 dollars an hour was only open to students. They are specifically looking for children to dupe into these contracts.

This is insane. Nijisanji isn’t only ignoring anything about their talents, like saying selen/doki was insignificant and didn’t impact them, they’re just completely controlling their talents by holding a contract that can let them do anything to them.
The way the Nijisanji contract is written kind of reminds me of how the Netherlands deal with "the green stuff" (if you catch my drift). Consuming, buyign and owning small amounts is perfectly legal, but selling, buying or owning more than a few ounces is still illegal and can be prosecuted. Technically, police could just wait at the backdoor of a coffee shop and search the courier. What this leads to is an atmosphere where the coffee shops have to try extra hard to not get on the authorities bad side because essentially, they can get f'ed over without any reason at any point. Just like the Nijisanji contract has so many ridiculous points the livers have to look after that it is practically impossible to not breach it from time to time. As we have seen with Zaion. I am absolutely certain that they could look at any liver they want to get rid of an make a list of half a dozen bullet points to put into a termination notice. Doesn't matter who, Vox, Ike, even Rosemi. Which would also explain why Luca and Uki are still in Nijisanji. It has never been about not breakign the rules. It's been about beeing a useful asset and submissive litte pet for the company.
So I am a fan of multiple stuff and I am drawing some weird parallels. Some of you might know of nopixel, its a RP server in gta 5. Long story short, there is rules the police officers need to follow and policing captians that enforce those using dabs. Which is an acronym for something. To much of those write ups means suspension or being fired. There has been talk about captians enforcing those rules maliciously to persecute people they don't like. The longer they are live the more they can use against you. Especially when you are doing stupid but Ultimately harmless stuff for the entertainment of your audience. The speculation, discussions and actions there gives me a sense of what it would be like working for ninjisanji.

We have a saying in our native tongue that roughly translates to "justice is only for the rich" in which rich people will play the long game for trials and seek extensions and stuff so that the opposing party would be forced to settle out of court since he/she is running out of money to pay for his/her lawyer.

This contract sheds light on the behavior of some Niji talents about what happened. Literally, if they said something that the company considered "not appropriate", their income went out the window. It also clarifies a lot about what happened with Doki and how she had to endure months there even if she wanted to leave, literally one is trapped by that contract. Some defend the company by saying that the leaked contract is just a basis and can be modified, but if the basis is a literal slavery contract, that says a lot about how Niji operates. The truth is that I feel that many of the talents who criticized Doki only did so under threat, it is not known who is really honest when saying something "bad" under the company's criteria (basically anything applies) leaves them without support, payment, etc
As I have been saying, a lot of the companies that are spoken highly of by the talents are companies that place an emphasis on talent-management communication. Sakana has streamed with his talents multiple times, he has pulled practical jokes on phase connect talents, and the talents have been comfortable with talking to him, and even ribbing on him, as one would do with a good friend. I have heard similar interactions with management and talents in Idol and VShojo as well. Not that I can really speak from experience, but as a casual viewer, it seems pretty evident that agencies that prioritize interaction and communication with their talents are typically some of the best rated agencies.

Oh, definitely. As it's worded, "anything" means just that. As long as it's associated with the model in any way or fashion, then as far as Niji is concerned, it's their property. If she did urm..... play, but no one knew, then it's hers as the person behind the model and not Niji's. But the second anyone brings it up and she says or expresses anything that confirms its existence, then since its now part of the story that is the vtuber, it becomes their property.

They made sure to leave the wording just vague enough to cover anything their models do, including intellectual actions. Example, say fan-based hearsay starts rumoring its way around the interwebs. The moment that the vtuber engages with it is the moment it becomes part of the canon of that vtuber amd by proxy of that engagement, makes the interaction with and everything going forward that's a result of the engagement also part of the vtuber entity's canon, thus making it property of Niji as far as Niji is concerned.

Yeah a lot of the 'you have to provide us with certain information' stuff is preemptive file padding. Its one of those things that can theoretically be a good idea, as a way to deal with bad employees so if they start saying something about an unjust firing you can pull out a folder and drop it on the desk, but its also one of those things that is massively used by shady or exploitative companies.
A lot of US companies do something similar (again, just in reference to file padding) even if you don't sign a contract by having a massive list of rules in the company guidelines that no one follows but can be brought out to defend basically any firing.

You are wrong about non compete you cant hire a freelance carpenter, tell him he can't freelance anymore and at termination he can't carpent anymore for 6 months that's that employee's main mode of sustenence you can stop them from joining another company maybe maybe but you can't stop then from going solo they need to eat. This is even illegal in Japan. I think non compete is more about joining another big agency than going solo.
No Non-Compete means the signer can't work in the same job anymore for the duration agreed upon in the contract. No idea how it is handled in Japan or the US. Where I live the employer has to compensate you for the entire duration with 50% of your salary including bonus payments and other monetary perks

Re: non-compete: I get the validity of a non-compete, but 6 months is really bad. 30 days is the norm in Japan and you're supposed to get paid during that. A non-compete that extends into time when they're not paying you and haven't given you some sort of severance is impeding your livelihood. I did research on this specifically and I believe it would be unlikely to stand up in Japanese court as most of the 5 factors used in determining the validity of a non-compete are very much not in Nijisanji's favor. Per JP law, companies need to make clear why the fuck they need a non-compete, and there are five determining factors generally considered in court:
1. Nature, specificity, validity and depth of the proprietary information/trade secrets that the employee has access to.
This one is iffy. A liver may know a few minor trade secrets, like aspects of their app and perhaps some future plans, but they're not things that will significantly affect the company like say, internal financial info that might damage their stock. I think 30 days is sufficient here.
2. The position and seniority of the employee in question.
Livers have no seniority by definition unless they happen to also be a manager. This should contribute zero percent towards any non-compete.
3. Regional scope and duration of time of limitation to be imposed.
The non-competes under Nijisanji are global, which doesn't
4. Clear scope on what activities are prohibited, and with which parties such activities are limited.
This is VTubing, as in the thing they are known for and make money doing. The non-compete is prohibiting them from practicing their established trade. This by itself is a significant reason why an non-compete past the point of actual payment is unlikely to hold up in Japanese court.
5. Importantly, the compensation that the company will pay the employee postemployment for bearing the restrictions.
Under the best circumstances they will only be given a standard monthly payout. This only justifies the standard 30 day non-compete.

Hey Nux, just wanted to comment on the Non Compete clause, and how I understand as learned from my father, who used to be a business broker(someone who sells business) and had to deal with them a lot.
Note, I'm only talking from my countries point of view(Australia) and even more specific from my state, and also might be slightly out of date as well.
No Compete clauses are iffy because they are meant to prevent competition against them, how ever here we have laws that you can't prevent people from working in their chosen field as they still need to make a lively hood. This is why usually here it's based solely around within a certain location from the old business. however this isn't concrete here, as an example he used was when a Real Estate Agent sold his company to another with this clause. His had business, however, covered a large area, so when he instantly turned around and started a new business, the other company didn't seek legal actions against because Legal thought it would fail in court due to how large of an area covered meant that the clause would lose out to the "Can't prevent working in their chosen field.".
And this is where I think the point here is, because Vtubing is basically a global job, it's impossible to work else where in the field without tripping over Nijisangi. Some would say "work a different job" that would be irrelevant in this case as skills don't carry across between jobs and most people would only get low end jobs which might not be able to cover the expenses of what their previous job had.
That being said, I could see it being upheld here, but only because of the Time Frame(6 Months) wheres the usually contracts are about 2 years, otherwise it would be considered illegal I feel.
But Yeah, to me, that "Chosen Field" is an important part of "No Compete Clauses" and why in this case I personally disagree with it here. Hope you found this comment interesting at least.

To the people who are currently a Nijisanji Liver as well as everyone who used to be one, if you are in Japan(whether it be because you're a citizen, have dual citizenship, are there on a work visa, or some other reason), you need to get out of there. When I say that, I mean both quit the company and flee the country. I don't know if seeking asylum or refugee status would work, but none of them should be in Japan.
When I saw FalseEyeD cover the leaked Nijisanji contract while showing footage from Legal Mindset, I hated the contents of the contract. Not only do I hope that Canadian law rescues Dokibird from every contract she signed, I hope that the countries of the other talents follow suit. Yes, I'm including the former Nijisanji talents in addition to the current talents.
If the horrors of this contract and the silencing contract are two of the 4 things that Nux knows, I cannot comprehend what could possibly be the remaining two things. If it's anything like what we've learned about Wactor these past 15 months or so, anybody and everybody should be concerned about health, safety, and well-being of current and former Nijisanji talents, more so if they live in Japan.
I know that a lot of people have problems with various people who are still Nijisanji VTubers, especially when it came to the people formerly known as Zaion LanZa and Selen Tatsuki. That doesn't change the fact that they should not be employed by Nijisanji. I understand that it's not easy from just a financial perspective for the current and former Livers that are living in Japan to just gather their belongings & funds and move to another country. That, and it's difficult to move from one country to another. I don't even know which country I would recommend them to move to. I just don't think any substantive change is going to occur any time soon in Japanese law or especially AnyColor & Nijisanji that will benefit the affected VTubers.

Non-competition agreements are very universal and commonly used in all industries. They're just never ever enforced because it's usually way too costly for the company and the gain is little to nothing.

As for sending an amendment to the contract, if they do that while you're streaming it could automatically count as accepting the new terms.
The survivability clause isn't listed as survivable.
It looks like they can order you to get whatever equipment they want you to get, no matter how expensive it might be, and will only reimburse you $1300, and only the first time. They can order you to get a pair of the latest iPhones to use for streaming and you would have to get them without any reimbursement if they'd already paid you that $1300.
Just to name a few.

I was pretty certain that *finalized* contracts would be different than this unfilled version. Considering what it says, this would *not* fly anywhere outside Japan. Hell, I'm not sure if it'd fly in Japan either.
From what the talents have described, this is the copy they have to sign and Nijisanji does fun stuff like giving just a three-hour window to sign their contracts once you have received them, basically ensuring you can't have a lawyer look over it.

The way the Nijisanji contract is written kind of reminds me of how the Netherlands deal with "the green stuff" (if you catch my drift). Consuming, buyign and owning small amounts is perfectly legal, but selling, buying or owning more than a few ounces is still illegal and can be prosecuted. Technically, police could just wait at the backdoor of a coffee shop and search the courier.
What this leads to is an atmosphere where the coffee shops have to try extra hard to not get on the authorities bad side because essentially, they can get f'ed over without any reason at any point. Just like the Nijisanji contract has so many ridiculous points the livers have to look after that it is practically impossible to not breach it from time to time. As we have seen with Zaion. I am absolutely certain that they could look at any liver they want to get rid of an make a list of half a dozen bullet points to put into a termination notice. Doesn't matter who, Vox, Ike, even Rosemi.

So I am a fan of multiple stuff and I am drawing some weird parallels. Some of you might know of nopixel, its a RP server in gta 5. Long story short, there is rules the police officers need to follow and policing captians that enforce those using dabs. Which is an acronym for something. To much of those write ups means suspension or being fired. There has been talk about captians enforcing those rules maliciously to persecute people they don't like. The longer they are live the more they can use against you. Especially when you are doing stupid but Ultimately harmless stuff for the entertainment of your audience. The speculation, discussions and actions there gives me a sense of what it would be like working for ninjisanji.

Finally i can pretend i didn't already understand this contract i never seen based on the black book of Karma due to the fact it has been leaked! This corporation named in the black book that my sisters Kari and Mai showed me in a vision regarding their sins then too make matters worse they marked me as the karmatic agent even though i am not technically a karma agent, they did this mostly because i decided to use my spiritual power to punish them by influencung emotions against the corporations, free will of course conters this power by the way you control your emotions not the other way around, so yes this corporations is doing serfdom against the talents which is just slavery with extra step you are slightly better than a slave but only slightly!
