sir in sec 149(d)(iv) the limit is 2% of gross turnover or total income of the comapany... doesnt it means
a) 2% of gross turnover ..or
b) total income
otherwise total income will always be less
one more doubt that the bare text says
none of whose relatives has any other pecuniary transaction or relationship with the company, or its subsidiary, or its holding or associate company amounting to two per cent. or more of its [ here its is related to turnover of relative ..... like in other subclauses
eg 149(c) it is his total income .....149( e)(ii)(B) ten per cent. or more of the gross turnover of such firm; ] gross turnover or total income singly or in combination with the transactions referred to in sub-clause (i), (ii) or (iii

Thank you sir 🙏 .. Sir recently companies act amendment bill 2020 has been introduced into loksabha. Are amendments mentioned thereon relevant/applicable now or it is only applicable after being passed on both houses?
Any Act becomes applicable once it’s passed by both the houses and approved by the President of India. Notification in official gazette is published after the assent of the president and specified date of applicability.

Sir I have a doubt. ABC company has 2 subsidiary companies PQR and LMN. ABC holding company also has associate company XYZ. Mr. A is independent director in subsidiary company PQR. Mr. A is also chartered accountant by profession who is a partner of statutory auditors of associate company. Now, whether his independence to act as independent director in subsidiary company will be valid or will become invalid sir?. I think, his independence will get lost because he is reporting to same management. Kindly please provide your guidance on this issue.
If he holds singly more than 2% of total voting power of the Company...in that case will he be disqualified to be an Independent Director of the Company?
