The 'Company' isn't what you're being loyal to it's the people in the company and if you really respect them and they're over at your house every other friday having a bbq and sports night or you're out at the lake with your boat all together that's your loyalty, to your friends and your community in the work place. Dave is right that most companies don't have great accounting. Especially for a company that acquires companies, because most of the time, those new companies are smaller and on smaller systems.
I'm in accounting as well, and I've seen it myself. I've been at companies where I've said "I've never seen anyone do their books like this!" And switched companies, and then said the same thing. Accounting is, honestly, one of the easiest jobs that people make SO difficult.
Dave is also right, he should approach management (as a controller, he's pretty high in management, and should have some pull) and say "here's what we need" and if they don't listen, THEN you can start looking and even be real with the CFO and say "hey sir/madam, I've voiced my opinion, it's not going in the direction I want, so I'm putting some feelers out there."

Sounds like the guy is over-worked and super stressed based on what I'm hearing. When you get like that (and I've been there), all you can think about is getting away from it. And the huge bonus actually makes it easier to leave because your financial pressures are suddenly reduced. But I agree with Dave, your 1st solution has to be to talk with management and let them know how you are feeling and get a solution in place. Sounds like they are decent folks to work for and that is not all that easy to find.
