There are a couple of reasons, Kisuke is the one who got him out of the Maggots Nest. Mayuri thought that Kisuke being the one who turned Squad 12 into the R&D unit had a dangerous mind and he needs to keep his guard up. Another is that he knows he only got the position as Captain because Kisuke was framed & exiled. He remains guarded because he feels Kisuke could come back at anytime and challenge him to get back what was wrongfully taken from Kisuke.
