    I'm not kidding, their hardselling is so obviously bs and wayyyyyyy toouch like several calls/emails every damn day so obviously a tactic to pressure and panic me. That's why I'm seeking more info so thank you. This was very helpful

    OMG I'm so disappointed that I didn't read their reviews and see this you-tube video before I decided to have them start my LLC. After talking to them yesterday I felt something didn't seem right so I did a little digging and read some reviews. After I read some reviews and realized what they were trying to do, I immediately emailed them back and told them that I did my research and moving forward I just want them to file my LLC and I ABSOLUTELY DO NOT WANT THEM TO BE LISTED AS MY REGISTERED AGENT. They tried to upsell me the membership certificate and the legal separation documents and said if I don't do so I would not be compliant in Texas, and I refused. They also were trying to get me to utilize their free service for registered agent and I expressed how I wanted to be my own registered agent. I just hope that they file my LLC and not give me a hard time. I should have just did everything myself because now I don't trust that they will file my paperwork with out me getting all the extra BS that they were trying to sell me.

    I’m so happy you did this review the way they were trying to upsell me was so obnoxious. He told me that I would be fined $500 a year if I didn’t get an legal separation and operating agreement But I am in Florida and I am a single member LLC that was it for me! That is very untrue because it’s not required I definitely did my research

    Yesterday I filed an LLC for a business my husband and I starting in South Dakota. We are the only members and I added both of our names while registering. Suddenly, I get a call from an aggressively "helpful" sales agent who is trying to upsell me a compliance bundle for around $400 more, saying that if these two other documents are not completed we could be fined daily by the government. We will be operating a local dance studio, not a conglomerate retail corporation like Amazon! I felt very alarmed because I filed an LLC with Inc Authority in the past and never had a sales rep call me using scare tactics to get more money before.

      If I were to guess what they are selling you, only one is required.
      This is the Beneficial Ownership Information (BOI) report which is a federal filing that became required at the beginning of this year. It's free to do yourself - startup101.com/a-guide-to-boi-report-filing/. If you want to have someone do it for you, it should be well under $100.
      The other two that may be needed are the operating agreement and Employer Identification Number.
      An operating agreement is the rules for how the LLC will operate. This isn't required in South Dakota. It's not a bad idea to have one, but since it's you and your husband and no outside owners, it's not as critical in my opinion. We have a free template here - startup101.com/south-dakota-llc-operating-agreement/, and there are a lot of others that you can find online.
      The EIN is a unique number that is assigned to the LLC, like how a social security number is assigned to an individual. As long as you don't want to elect S corp taxation (you probably won't gain much with this in the early stages of the business, but talk to your accountant).     So if I didn’t need any of the add ons. As I run a business from home, I don’t need help with a website or have any employees. I’m just looking to get LLC registration and an EIN. The reason of needing an EIN for me particular if some wholesalers that I want to buy from require you to have an EIN to shop through them. Is Inc authority going add on anything even though I buy the basic package for just wanting the LLC registration and EIN? I don’t need an agent or a website through them…

      They won't add anything that you don't select. You can double-check by looking into your account to see if there are services that you don't want and cancel them from there.

    I got my llc this week and they called me righr away since , I declined the add ons... I need an operation agreement, membership certificate and Corporate Veil and Financial Documents totally over $300. They gave me my EIN for free I was going to do it myself but glad they did that. It is frustrating bc everyone I was I talked to tried to make me feel bad that I didn't get yhe upsell, saying i wasnt really forming my llc I was just paying for my company name. They said it would take 45 days to het the information back, the lady said she wouldn't submit my llc till i got the rest of thd up sells. Im honestly a bit scared I just want to get mt llc to get producst for my e-commerce shop. So I dont see why I would need all that other documents. Im kot sure what to do and I'm scared.😢

      That sounds very frustrating and unnecessary, and I'm sorry you had to go through all of that.
      Without knowing all of the details of your business and background of what all happened, I'll give you some info that should help, but you may want to get a second opinion just in case.
      The operating agreement is only required in a handful of states, and fewer require one for a single-member LLC (more info - startingyourbusiness.com/when-does-an-llc-need-an-operating-agreement/). A membership certificate isn't required (but a very good idea if your LLC had multiple members) and the LLC itself is the corprate veil as this entity is separate from you personally. There are things to do to keep the separation, and here is some more info - startingyourbusiness.com/what-is-piercing-the-corporate-veil/.
      Last, I'm not sure what financial documents were being referred to.
      Alabama is the only state where you have to pay to name the LLC, so I'm a bit confused. Assuming you were using the free plan, the money you are paying is for the state to process the articles of organization and create the LLC.

      Thank you for the resources! I did get the free package paid $125 for my state filing fee or so inc Authority said. I'm in Pennsylvania and since I sell online I didn't think I needed the extra documents. I haven't received the article of organization. They won't give me any paperwork saying the business is mine, they want me to pay extra for the article of organization which is what I was confused about, every time I get them on the phone explaining the situation they become very rude. They keep insisting the $125 I paid was just to reserve the name but that doesn't sound right. I'm unsure what to do, as I budget the $125 for getting my LLC. My online shop has been shut down simply because I don't have the article of organization or anything providing my business is formed correctly. 😢
      So they still won't file my business until I pay an extra 300-$400 for the articles of organization operations agreement and a few other paperwork. That's got to be illegal

      @@preciousbey The name reservation fee in Pennsylvania is only $70, while the fee to submit the Certificate of Organization to create the LLC is $125 - www.dos.pa.gov/BusinessCharities/Business/Resources/Pages/Fees-and-Payments.aspx.
      I would ask about this since the numbers don't line up. Also, check your receipt to see what you had signed up for. Hopefully this clears things up!

    I have an appointment with inc authority tomorrow. After watching this video and reading the comments I’m not sure if I should have them help me! What would you suggest I do if I want to open my esthetics business? Get an attorney for my LLC? It’s just so expensive

      You will get an LLC with this company, but you know ahead of time that they are likely going to aggressively upsell you. My recommendation would be to either work with them and not make any decisions until verifying what you actually need, work with a different company, or do it yourself (startup101.com/how-to-form-an-llc/)

    I have a question my office is in an apartment building 10 miles from my house. Will that be an issue since it’s not an actual office office? even though it is in downtown

      You don't have to run a business from an official office. For instance, a home-based business run from a spare bedroom or the garage isn't an "office." If you are looking at the qualifications for a registered agent address, the only things that are important include having a physical street address and that there is a adult generally at that address during normal business hours.

    I am planning to sell on Amazon, but I am from the Philippines. The barriers for me to enter are high due to my nationality and location. From the videos I have seen on TH-cam, some people use LLC formation services to have an entity in the United States, but from watching your video about "Inc. Authority," I have learned that some of the services they are trying to sell are not needed. Could you please give me some advice? Thank you!

      There are two other LLC formation services that I like better that only charge the state filing fee, which are Incfile and ZenBusiness. Also, you don't have to use a formation service because you can file directly with the state.     hey man, thanks for the video, i am looking to start a business currently that will be primarily online i to test different way of making income through the use of different DBAs and once something is profitable i will break it off into its own LLC. the dilemma i am having is weather i should open my LLC in the state i currently live in (virginia); the state i technically am a resident of (Florida) i am active duty military on orders in VA OR; should I open it in a state like NV or Wyoming due to the benefits of having an LLC there ? this business will be primary online so i don't technically plan on generating income in any physical location, again thanks for the video and any input you can provide to me.

      The same thing happened to me yesterday. I've filed an LLC with Inc Authority in the past and I never had a sales person aggressively reach out to me like that before. I felt a huge red flag go up when he was demanding another $300 but really $400 for a compliance bundle while using a scare tactic of being fined by the government if I don't!

      I'm assuming we are talking about the same document, but Bizee (who was formerly Incfile) will file the Certificate of Formation form, which is the state paperwork to register a new LLC. Once it's approved, you will get an official document back showing the LLC is registered.

    This is super interesting. Im looking to start my own drug testing business and phlebotomy. Just like a LabCorp for different types of drug testing. Wether it be for a job or something different. Any tips on that would be cool

      That is a type of company that I don't know much about, but imagine there is a lot of potential. Requirements probably differ in each state depending on what services you offer, but while I would have thought there would be a lot of requirements, I can't recall any specific state licensing for this kind of business. Keep in mind, though, that I haven't searched for this specifically and may be totally wrong.
      Before starting this type of business, have you talked to potential customers to see what they like and don't like with the existing vendor? It may be hard to compete on price against the large companies like LabCorp, so what can you do better or different? If you don't have a lot of experience in this field, working for one could give you a lot of insights. Another aspect of this type of business would be knowing how to bill insurance to get reimbursed. There is a bit of a process to get set up and understand how to do medically billing right to get paid quickly.

      Both a corporation and LLC are separate legal entities so they wouldn't mix funds, but one of the nice things about the LLC is you can choose to have it taxed like a corp. There are two choices of corp taxation which are C corp and S corp, but it may be advantageous to have it taxed like a sole proprietorship until you are making $40k or more in profits. The actual number varies by person, but is where an accountant can come in handy to help figure out which is most beneficial.       As an FYI, you can set up as a sole proprietorship and open a separate business bank account to keep funds separate. At the end of the year you are going to file a Schedule C tax form, which reports your business income separatley from your personal income.
      Regardless of which entity you choose, the profit or loss is going to show up on your personal tax return.
      This is a complicated subject, but I hope this helps a little.

      An LLC ownership or member certificate is essentially the same thing as a share of stock. It's not required, but if you have multiple investors or members, they may like one. As a single-member LLC, it's not necessary.
      There are a few ways to prove ownership in an LLC. The most common is in the LLC Operating Agreement, where each member's roles, amount invested, and percentage of ownership are recorded. In some states, a member's ownership is also listed in the Articles of Organization (when first forming the LLC) or in the Annual Report (when updating the entity with the state).

      Yes thankfully i knew that much before I filed. But when speaking to the man over the phone after I filed I fell for the $400 up sell because he told me it was important for me to do so that my LLC file with the state would be legitimate and just a bunch of nonsense. Me not knowing any better gave my card number. I even asked if it’s a free file (not including state) what am I paying $400 for and he basically said it’s all the legal stuff that I will be needing down the road. Now I know what it was and after complaint after complaint I spoke with one of there reps who basically told me I have to wait until January to part ways. They even submitted the wrong entity name on behalf! Could you perhaps provide some insight on how I can correct my name through the state. I’m in Florida

      Most accountants will help with an LLC formation. A lawyer, while the most expensive, is the best option. They will not only file the formation paperwork, but they will also create customized documents (like the operating agreement) that will provide the best protection for the entity and its members.

      The LLC is what creates the legal separation between the member and business. A membership certificate is not required, but is a nice looking document that shows an individual's ownership in a company. Pretty easy to figure out as a single-member LLC :) I'm not sure if this is the doc your rep was talking about, but a separation agreement outlines the terms for how a business would be valued if one of the owners wanted to sell. As a single-member LLC, you wouldn't obviously need one.

    I just got called and they aound legit buy they want to charge me between 500 to 1200 for some add services. And that terrified me specially because my sis just paid like 200 in incfile. And told me that the bussiness company will call me later to pay 3500 to create my business credit.

      I'm not sure what all is included, but that sounds really expensive.
      There are a lot of companies that promote business credit and most small businesses don't need it. Business loans are based on the on owner's personal credit, history of the business (of course new businesses have no history), and collateral. Great business credit isn't going to help, unless your business is going after non-recourse debt (meaning the owners aren't personally responsible to pay it back), which most banks aren't going to do.
      Business credit is useful for some businesses, but it's normally used to get large lines of credit from vendors and suppliers. Unless you have a specific case, it usually isn't worth messing with and definitely not paying for.

      Please dont pay nothing the tax number are free form IRS i was stupid for going through INK Authoity i didnt know it was free . they keep threatening me they would terminate my llc liscence or tax number Hang in there

      @@_StartUp101 hey man is their a way to contact you privately because I need a lil guide through on what actual documents I need after setting up an llc because they called me just now saying the package I bought which was the ownership package he said their able to for an extra 299$ and I was confused on what to do and now he said I would have to do it on my own but he doesn’t recommend me doing it if I don’t know the legal language so I just want to know like what I actually need after setting up an llc because I’m kinda confused right now

    All they do is upsell, and try to take advantage of new business starters, dont use them. My experience has been very mediocre.

    I already paid incAuthority $169 for My Handyman Business $100 for the state of Georgia and $69 for My operating agreement. I was so excited and just waiting for the state to approve Me so I could get out there and start making a name for Myself and making a living UNTIL I got that phone call where they put the brakes on all that real quick by telling Me I NOW have to pay another $300 to officially have My LLC with a bunch of other BS. Now then... is there ANYWAY now that I just watched this video to get refunded and do things differently now that I'm more educated. I really feel like a Dumb@$$ and would love nothing more than to Be an OFFICIAL LLC Owner and get to work.

      They won't likely refund the $100 filing fee since that is paid to the Georgia Secretary of State. Once the articles of organization are filed the LLC is live and active. There are a few other things you will need to look at after the LLC is formed, but it these have nothing to do with the LLC itself.
      One thing you may want to do is see if the LLC is active on the Secretary of State's website -ecorp.sos.ga.gov/BusinessSearch. This way you can see if the the LLC has been registered.
      I have a list of things you may need to do once the LLC has been registered - startup101.com/georgia-llc
      Of these, the EIN may be required if you want to be organized as a partnership, or taxed as a C or S corporation.
      The Beneficial Owner Information (BOI) report is a new requirement for all LLCs and corporations.
      You will also want to look at any licenses and permits, which would be required of any business, regardless of legal structure.
      My guess is that the $300 fee is the EIN, BOI, and operating agreement. That would be pretty high, though I show you how to do these yourself, and all are free.
      While working with IncAuthority may be been less than ideal, it's a small bump in the road. It may end up taking a little longer, but you will get through it and on your way soon!
