Make sure you call them! My application went nowhere the website stuff was not easy...took me weeks and instead of a llc i was asked howni would like to proceed? Uh thought i ordered an llc? Then got charged twice for trial phone that initially said was free! They did call me but my phone acts up and i missed it..by then i just gave up!

I recently helped a client set up an LLC through Incfile. She also needed “a certificate of Good standing” In order to open her bank account. Which was a separate cost outside of Incfile, but Incfile allows you to file for it through the app. Incfile also did not allow us to set up a foreign registration in Puerto Rico, but North West Did. We got to experience both formation companies. Even though Incfile couldn’t do the foreign registry, they did include a bank account with their silver package 😉 they might not be able to deliver your documents as fast as North West, but Incfile offers the option to expedite for $50 and they offer more bang for your buck!

@@ElizabethPWCan't someone as easily file for an EIN with the IRS than going through one of these companies. Fun Fact: LegalZoo has been around since the late 90s,. I remember being high school and seeing Robert Shapiro ( that Robert Shapiro) doing ads for LegalZoom , I'm pretty sure he's one of the founders.

Wow great video! I wish I found this 6 months ago before I went to Legal Zoom could've saved me a few hundred dollars. Plus I ordered a DBA for my sole proprietorship but the bank would not let me open an account with all the licenses and certificates that I had cause I needed my DBA Certificate which I did not receive from my county clerks office but was told by (not one) but 3 Legal Zoom employees that I didn't need the certificate and that I WOULD NOT be getting a Physical DBA Certificate. THEY WERE WRONG! All 3 of them. I called the County Clerks office and they said they sent me one but will send me another one in which I did receive. Long story short my Bank was right and Legal Zoom was wrong. Thank you for this video.

After watching countless TH-cam video contests about forming an LLC from LLC Buddy, Life Accounting, etc., I've decided to use a professional service as I will definitely spend way more money doing it myself. 🙄 Articles of Organization is $200 for my state, Certificate of Publication costs $50, Biennial Report/Statement is $9, and plus the registered agent along with the virtual business address which varies. These are required! Hiring Northwest Registered Agent for $125 per year is not that painful. Offering legal services including this price would've been amazing. I started using iPostal1 basic plan, but I'll cancel it and choose Northwest. It'll be way less complicated.

I believe i may have jumped the gun and created my EIN before creating LLC. im hoping to create multiple LLCs under an umbrella organization. I created the EIN thinking it could be the umbrella. i was wondering if i could still create my other LLCs and just have the EIN and the multiple LLCs share a dba? this way the EIN could be used accross all the created LLCs. Is that possible?
If you want multiple LLCs under one umbrella, the umbrella has to be its own LLC. Or it could be a partnership of the multiple LLCs. But an EIN and a DBA -- those are not a legal entities.
@ElizabethPW thanks a bunch for the feedback... you got me as a subscriber 😀... i was trying to save dollars and avoid creating the other LLCs, 😒... but i guess there is no clear way... my company will be in the real estate industry and will hold real property... one LLC will capture commercial, the other residential, the other service... but all will be under the umbrella of a single "holding company" which is where my i created my EIN... so what im hearing is that i need to create LLCs for each entity and pay the registration agent fees for each, ☹️... if I created the EIN already do i need to modify the DBAs in the EIN application for the holding company to include all the other LLCs?

I am relocating states in about 2 or so months, Do you have a recommendation on if i should file in my current state, or future? Hm if you are moving in the next 2-3 months, and you're not ready to launch anyway, I'd set it up for the new state. Also then you can set it up to be effective in January, so you don't have any awkward tax paperwork for the two months of this year.
@@Denis-zp2hp i did mine through Tailor Brands and Marathon is right. Not just price. Their whole structure sucks!! 1) they post a contact phone number that they never answer. And then they told me they dont have a phone number. 2) good luck getting a reply when u have a question. 3) they double charged me, then said my payment failed. I had to send them proof the money was taken from my account. 4) i paid $800 for them to expedite it (they promised 3 days), took nearly a month….. and the list goes on. I have all the emails and everything to prove it.
Hello Elizabeth! Thanks for all your help! I applied for my LLC and EIN via Northwest to start next year as you suggested, but unfortunately, they filed my start date incorrectly (Nov 2022) and are now recommending to dissolve the LLC (per the CA Sec of State), refile the LLC (at the expense of Northwest) and once that happens the EIN will transfer to the "new" LLC (with the same company name) ... does this sound right? I'm worried that 1) if I keep it as is, it will cost more money because I would have to file taxes this year and lose out on the first year $800 filing fee waiver...2) it would make it look like my company had no profit the first year....3) it would have a negative effect when clients look up my company....but if I refile, I'm worried the EIN won't transfer....and I have already submitted applications with the EIN for licenses, etc. I'm feeling extremely discouraged. Please help! Thank you so much for everything!
Sorry to hear that happened!! If the LLC can be dissolved within *15 days* of formation (and you didn't do business with it), then you don't need to file a tax return for it for this year (www.ftb.ca.gov/about-ftb/newsroom/tax-news/december-2019/what-is-the-15-day-rule.html ). As far as no profit, I don't think anyone would really know -- the business would then not exist for 2022 and 2023 would be year one. For the EIN, I'm not sure of what the actual IRS rule would be, but I know of people who have done that (dissolved and re-formed) and the IRS didn't have a problem with it as long as the taxes on profits were paid on time and stuff was filed on time as required.

My tax person recommended an interspecies transfer (are you familiar with this?), but I can't find any information about that anywhere, and if I go with my tax person he will charge me a large fee, yet Northwest is offering to dissolve and refile the LLC at no cost. Any thoughts on this? Thanks so much for all of your help!! You are truly a godsend ❤❤❤
Hm I am not sure what the tax person is meaning. Well if the LLC is dissolved now and you earned no income, you would just file a tax return with all zero's for 2022. One aspect to ask Northwest is to confirm the name of the LLC will be available (and not locked up as allocated to the old dissolved LLC), in time for them to refile.

So I see that these services offer to take care of your Annual Compliance for your business for a fee which I understand is optional. Do you think this is something that is simple enough for us to take care of ourselves or is it necessary to just pay the annual fee and let the LLC service take care of it? Last Question: Are we able to use our Registered Agent address as our business's physical address or do we need to keep it separate and get a virtual business address as well? If a virtual address, should I purchase one right before I create my LLC and then apply it?
1 - it is simple but easy to forget. The main aspect of signing up for annual compliance is so you remember to do it (and know what to do). 2 - it depends on the registered agent -- each one has their own rules.

You can form the LLC in your current state and move it to the new state later. It is a bit of hassle and paperwork to move an LLC to a new state, but it is possible.

Have ever used legaldepot for an operating agreements or if you know of any websites that could offer this guidance to properly fill out or create these forms properly. From what I have read so far this is the most important part of the process. The others services like applying for ein take about 2 minutes and when you have that you can proceed to get a bank account...I think. I really want to accomplish this task my self, the best way possible. I would think that Incfile and others just have basics forms that you have to end up getting the information to fill out and then they are more of the processors?
That's a great question - I do plan to do a video in the future about how to create your Operating Agreement, and also videos reviewing the various create-your-agreement sites. LegalDepot does seem to be legit - the main issue is the same as with any document service -- it is DIY so you're not getting legal advice about it.

After hours and many many videos here is what I have learned to form a sole proprietor LLc 1: Manager managed 2: No forced Distributions 3: Non-Pro Rata Distributions 4: No Charging language 5: Restrictions on transfers 6: Tax provisions inline with what LLC you want to run 7: No right to return of capital 8: Appointment of officers What I am really trying to find the definitions, for and these are worded in the in the operating agreement so that i can fill it out properly. Honestly Being a CA lawyer puts you in a place to make a lot of revenue just by creating forms that auto fill themselves. lawdepot kind of this but it really doesn't have senerion that people could understand in layman terms. After watching your video, this has def made my life much easier. I was attempting to do this on my own, and my brain was just phew* - So def looking into these companies for some peace of mind! - I do have a question or in need of advice! I am relocating states in about 2 or so months, Do you have a recommendation on if i should file in my current state, or future? I haven't launched as yet-only gotten supplies and materials so far for the business.
Hm if you are moving in the next 2-3 months, and you're not ready to launch anyway, I'd set it up for the new state. Also then you can set it up to be effective in January, so you don't have any awkward tax paperwork for the two months of this year.

@@Denis-zp2hp i did mine through Tailor Brands and Marathon is right. Not just price. Their whole structure sucks!! 1) they post a contact phone number that they never answer. And then they told me they dont have a phone number. 2) good luck getting a reply when u have a question. 3) they double charged me, then said my payment failed. I had to send them proof the money was taken from my account. 4) i paid $800 for them to expedite it (they promised 3 days), took nearly a month….. and the list goes on. I have all the emails and everything to prove it.

Hello Elizabeth! Thanks for all your help! I applied for my LLC and EIN via Northwest to start next year as you suggested, but unfortunately, they filed my start date incorrectly (Nov 2022) and are now recommending to dissolve the LLC (per the CA Sec of State), refile the LLC (at the expense of Northwest) and once that happens the EIN will transfer to the "new" LLC (with the same company name) ... does this sound right?
I'm worried that 1) if I keep it as is, it will cost more money because I would have to file taxes this year and lose out on the first year $800 filing fee waiver...2) it would make it look like my company had no profit the first year....3) it would have a negative effect when clients look up my company....but if I refile, I'm worried the EIN won't transfer....and I have already submitted applications with the EIN for licenses, etc.
I'm feeling extremely discouraged. Please help! Thank you so much for everything!
Sorry to hear that happened!! If the LLC can be dissolved within *15 days* of formation (and you didn't do business with it), then you don't need to file a tax return for it for this year (www.ftb.ca.gov/about-ftb/newsroom/tax-news/december-2019/what-is-the-15-day-rule.html ). As far as no profit, I don't think anyone would really know -- the business would then not exist for 2022 and 2023 would be year one. For the EIN, I'm not sure of what the actual IRS rule would be, but I know of people who have done that (dissolved and re-formed) and the IRS didn't have a problem with it as long as the taxes on profits were paid on time and stuff was filed on time as required.
@@ElizabethPW Thank you for replying. Unfortunately, the LLC was filed on 11/8, so I am past the window. My tax person recommended an interspecies transfer (are you familiar with this?), but I can't find any information about that anywhere, and if I go with my tax person he will charge me a large fee, yet Northwest is offering to dissolve and refile the LLC at no cost. Any thoughts on this? Thanks so much for all of your help!! You are truly a godsend ❤❤❤
Hm I am not sure what the tax person is meaning. Well if the LLC is dissolved now and you earned no income, you would just file a tax return with all zero's for 2022. One aspect to ask Northwest is to confirm the name of the LLC will be available (and not locked up as allocated to the old dissolved LLC), in time for them to refile.

I have a question about "Annual Compliance".
So I see that these services offer to take care of your Annual Compliance for your business for a fee which I understand is optional. Do you think this is something that is simple enough for us to take care of ourselves or is it necessary to just pay the annual fee and let the LLC service take care of it?
Last Question: Are we able to use our Registered Agent address as our business's physical address or do we need to keep it separate and get a virtual business address as well? If a virtual address, should I purchase one right before I create my LLC and then apply it?
1 - it is simple but easy to forget. The main aspect of signing up for annual compliance is so you remember to do it (and know what to do). 2 - it depends on the registered agent -- each one has their own rules.

You can do that, as long as you don't start using the LLC (you won't be able to get bank account etc)

You can form the LLC in your current state and move it to the new state later. It is a bit of hassle and paperwork to move an LLC to a new state, but it is possible.

Have ever used legaldepot for an operating agreements or if you know of any websites that could offer this guidance to properly fill out or create these forms properly. From what I have read so far this is the most important part of the process. The others services like applying for ein take about 2 minutes and when you have that you can proceed to get a bank account...I think. I really want to accomplish this task my self, the best way possible. I would think that Incfile and others just have basics forms that you have to end up getting the information to fill out and then they are more of the processors?
That's a great question - I do plan to do a video in the future about how to create your Operating Agreement, and also videos reviewing the various create-your-agreement sites. LegalDepot does seem to be legit - the main issue is the same as with any document service -- it is DIY so you're not getting legal advice about it.

6: Tax provisions inline with what LLC you want to run

What I am really trying to find the definitions, for and these are worded in the in the operating agreement so that i can fill it out properly.
Honestly Being a CA lawyer puts you in a place to make a lot of revenue just by creating forms that auto fill themselves. lawdepot kind of this but it really doesn't have senerion that people could understand in layman terms.
