    All Tesla shareholders should remove any and all money they have in Vanguard funds asap if it turns out they voted against it. In fairness though they voted against the pay package back then too and it still got 70+ % approval so Vanguard isn’t going to make or break the vote but if they aren’t in line with our interests we should be out of Vanguard.

      In 2018 Tesla was not in the S&P 500 so vanguard had negligible shares. This time around they have a significantly greater amount of shares and their vote this time would definitely make a big difference

      The only people who should vote no are those who voted no previously. I don’t think any party should change the decision they made in 2018 and I’m very very pro compensation package. What’s right is right, if you have any morals than no one should change their previous decision now.

    As much as i want to invest in T$LA, I think it has some short term pain ahead. Currently sitting on about 250k, do you still think T$LA is a good buy right now or I have I missed out on a crucial buy period?

      Don't be in a hurry to get in. The market needs several days of strong performance to signal that the downturn might be over; i still think It's a time to be largely, if not entirely, in cash

      The economy and stocks are two different things these days, but i agree, I think it's brilliant to have a portfolio advisor for investing! The market's instability makes DIY risky. You don't need to find the next NVDA to succeed in investing. I've turned 480k into $32,000 in quarterly dividends using one, a major milestone.

      I'm cautious about giving specific recommendations as everyone's situation varies. Consider independent financial advisors like "JENNIFER LEIGH HICKMAN" I've worked with her for 9 years and highly recommend her. Check if she meets your criteria.

    1061 shares T$LA. First purchase [at least that I can easily pull up] was 11/6/22. But I have split adjusted price shares in one account with an average purchase price as low as $78.22. All of my shares voted YES on all the BOARD proposals and NO on all the "shareholder" proposals. It isn't hard. VOTE!!!!

    For anyone who has ever played the game “risk“ you will know that when one player dominates the game the rest of the players must gang up and attack the most powerful player or they have no chance of winning. I think this is happening with Tesla and, certainly for Elon Musk personally, since the Twitter acquisition.
    Unfortunately, even some of the investors in the mission purchase, the last three years seem to be true self interest and union supporters., nationally and internationally.
    Luckily, I believe Elon is uniquely steadfast against these attacks.

    21:32 returning Elon’s compensation is of greater moral and ethical imperative.
    Reincorporating to TX gets us away from MissJudge and is forward looking to avoid more attacks from other vultures in the Delaware courts, maybe it could even enable the creation of preferred shares, to help swing a little more control to Elon without diluting share value, don’t know, don’t care, moving to TX feels like the right thing to do, but voting to restore the rescinded compensation IS the ONLY right thing to do.

    Retired EE & executive, fortune 500 tech since 1976, seen so many poor CEO’s stay 3 to 4 years, have big plans but then have lousy or negative performance yet get big parachutes to leave. Hell, gotten one myself. TSLA stockholder since 2017, this package was the most interesting and capitalistic CEO comp pkg I had ever seen. Almost impossible to achieve but Elon did it. Board relationships were normal and known. Delaware made a mistake. The problem Delaware has introduced is much bigger than Tesla.

    I was not invested in TSLA when Elon's pay package was voted for but a CONTRACT is a contract, and what is right is right. Pay the man what he was PROMISED and put the screws to that corrupt activist judge. Lets put DELAWARE in our rear view mirror. *My 1500 shares are aligned with the board,* even though it's a pee hole in a snow bank.

    Voting against the pay package is shooting yourself in the foot. Even if you think it is too much money a NO vote is going to send the stock price tumbling down and it's going to take time to recover. A yes vote would send the stock price higher along with a July rate cut and earnings it's going to compound the effect of the vote.

    FSD has the potential you talk about but the adoption is still slow. It’s not an overnight money maker. There is a ramp for the fleet and for acceptance.

    Herbert - Contrary to Alexandria's commentary on how the major institutions will vote, I see that Dillon Loomis contends that Vangard voted against the prior vote for Elon's compensation package (about 1 minute into this video) -> Tesla Is Really Going to Do It / Regulators Waking Up / Read Between the Tesla Lines. Perhaps you could pass this along to Alexandria for validation.

    Shareholders should have a shared interest in having the value of the company go up. Very difficult to find any rational reason for voting no if your objective is to increase value of the company. Ridiculous if Shareholders rather vote no inspite and accept the reduced value as a consequence. Better choice in that situation is to simply sell your stock and invest in something you believe in more

    Thanks, great podcast. What are the least and most radical scenarios Elon could consider if he gets the 56 billion? I appreciate Alexandra's focus on the 2 objectives of this vote is to see how badly shareholders want Elon to get the comp and how badly they want to get the heck outta Delaware. Leaving Delaware will have broader complications than people realize.

    Question you should pose to Tesla team. Why not start self driving now with food and grocery delivery services? Grocery stores all use delivery services and so do restaurants. Team up with current companies to provide localized services without passengers

    Great point about Institutional Shareholder Services and Glass Lewis. They will do the proxy voting for a portion of the institutional investors that delegate that duty to them. What direction will they take to act in the fiduciary interest of the pension plans that use them.

    I voted the shares for which I'm responsible to support Elon and support the board. I was not a shareholder during the original vote for Elon's compensation, and I'm curious how the number of retail shareholders today compares with 2018.
    Redomesticating Tesla to Texas is hugely consequential. It's not solely the Tesla/Delaware situation at all. Texas is quickly expanding its already important status among many industries and is the doorway into Mexico and more industries and labor markets and sales markets further south, all the way to Argentina. I hope Tesla can scrape off decaying connections with U.S. East Coast obsolete thinking and dive deep into the exciting future south of the Rio Grande.

    The North American Free Trade Agreement is going to be a touchy subject. BYD could just as easily build in Canada. But right now Honda is investing in an entire EV chain of facilities from processing lithium to making batteries and finally EVs in Ontario. How will they allow Japan and Korea to benefit from free trade but not China?

      So, Elon, Kimball and perhaps other BOD members cannot vote on SOME of the proposals. That just sets the upper limit of "possible votes" [think "eligible voters" in an election]. Just like in an election, those that do NOT vote are NOT counted. It is a simple majority of voters that determines the outcome. But, in this case, it is one vote per SHARE of stock, so some people do have out-sized influence. But that is also true, somewhat, in elections [think religious leaders, Taylor Swift, social media influencers/the news, incumbents]. But those people also have more "skin in the game". They bought more shares and thus votes. Some proposals might need a super majority to pass. Some states have that for constitutional amendments and perhaps initiatives. But MOST things will pass with at least 50% + 1 votes of votes CAST. I think if Kimball gets 10,001 yes votes and there are only 10,000 no votes, then Kimball is elected for another term on the BOD, no matter that there are 3.2 shares outstanding.

    If Elon doesn't; get his compensation, I sell the stock. If Elon makes noise about leaving or actually leaves, I sell the car and forget Tesla as a car choice. I lived through Apple when Steve left. If Elon starts another public company, I'll invest in that, though I doubt he'll ever do that again.

    We should consider voting against the current proposal. If this vote fails, the board will need to develop a new compensation plan for Elon Musk that takes into account both his past achievements and future contributions. This approach might ultimately be the best for Tesla (TSLA). While it may not be entirely fair to Elon, as a small shareholder, I admit it is my selfish desire to have him work even harder for us.

    My concern is that Elon will take a loss as a sign that he will be unable to have sufficient control over the direction of the Optimus bot and any other AGI product produced by Tesla. Logically, he would move most of the AGI work, including Optimus's AI/brain and the AI talent, over to xAI. So, Tesla will be stuck with the low margin bot manufacturing business while xAI gets the high margin AI/software business.

    The vote could be decided by institutions against their investors wishes or even their knowledge. Just because the vote fails does NOT mean that a majority of investors want that… don’t be dense.

    It is immoral to vote against restoring Elon Musk’s previously contracted compensation, regardless.
    MissJudge over in Delaware is highly selective in how she applies her rules about fairness. On the one hand she argues that there were possibly some stockholders who voted in 2018, but hypothetically may not have been fully informed, so the deal was off. SIX YEARS AFTER IT WAS STRUCK.
    On the other hand: when Elon discovered how sick Twitter was, and tried to back out BEFORE THE PURCHASE, her nibs essentially said, “sorry, boy, you should have done your homework before voting… I mean before offering to buy that ailing robot ridden social media mess. A deal’s a deal”.
    MissJudge was wrong on both decisions, and the logic of each is reverse of the other. It is clear she simply wants to hurt Elon.

    I am, and many others, are under water in tesla. I will vote for the package as that is only fair, but tesla, or someone, needs to tell shareholders what the impact to the books that the compensation package would r create. We hear $60 billion and freak, but that is not the impact...it is a red herring. Does it cost us $5 a share, $200 a share?, tell us. I am not one who earned the 1100% increase.

    I voted to give Elon the money. I think the judge in DE was trying to make an example of Tesla with regard to ridiculous CEO compensation, but she picked the wrong example. This deal was 100% performance based, and the performance had to be extraordinary for Elon to get an extraordinary level compensation. Can’t get more fair than that. Problem is: that was then, but this is now. Elon has given many investors a reason to question whether his flights of fancy, impulsiveness, weirdly offensive statements on X, and giving every indication that he will support someone (Trump) who has vowed to ‘kill’ EVs and promised to implement the oil industry’s agenda (which won’t be good for EVs), have introduced a new level of risk around Elon’s continued service as CEO. But what is up for vote is what happened in the past, and as far as I can see, the comp package was fairly devised and fairly earned.

    My belief is the Mexico plant will be sacked. If they could have sped off quickly and got it done maybe it would have happened, but now Tesla does not need that plant. An automated plant won’t really need a large number of human workers. You know why.

    12:00 Xander is totally confused. The votes are not individual votes like a U.S. Presidential election. The votes are counted based on the number of votes that are owned. In other words you can have 50 individuals that vote yes but one manager that owns more shares that votes no. You will have far more people upset with the outcome of a no vote as most individual retail voters want Elon to get his money (and stay).

    I would like the vote to pass but just barely to show how much distrust he brought to shareholders.
    Most important reason to vote against is the fact that he DOES NOT CARE for shareholders he said it himself to David Faber. So why should I care?
    Asking for 25% to be able to control AI in Tesla, what about all the other AI companies he would not control that can do whatever they want with AI.

    I am based in UK unfortunately I can't vote as Hargreaves Lansdown doesn't allow this feature. Regarding Elon's renumeration I invested Jan 2023. I think it was wrong for the judge to change what was an incredible offer for both parties. We need Elon. What we are seeing now is probably yesrs behind what Elon has planned for Tesla. I'm looking forward to seeing what happens...

    I would say China can ship their cars into the US out of Mexico as long as they employee only Mexican workers to work in those plants. Help build up Mexico so that people that live there or that come from South America want to stay there and work there. Two birds one stone.

    To me, there is no Tesla without Elon. If he doesn't get paid and leaves the company or is ousted, I'm out too. Forever. I'm not investing in a generic car company which is what Tesla will become without Elon. Might as well invest in GM or Ford at that point.

    Herbert you care too much about stock! It will never rise as long as this sentiment and mindset remains. If you wonder why it doesn’t go up - ask yourself- you’re a bull! When did you buy last time!? Are you continuing buying? In order for stock to go up there should be a significant shift in sentiment. So that even long time non-buyers start buying again no matter the price. But if you and people around you are not buying why would anyone else do?

    i'm planning to sell all my tesla stock one week before the key vote on musk's compensation. i know it might go up after the vote if shareholders vote yes, but worth the risk as the alternative is a massive crash after a No vote and possibly worse if for example musk indicates he's leaving as CEO. i'm willing to lose 5% when i buy back in.

    The way these podcasts are ended is just bizarre. It’s like some weird combination of loss of signal and total disrespect of the guests. I’m not sure if it’s some kind of cultural, social hiccup or just really really awkward editing. I’m sure that it is not intentional, but nevertheless, it continually provides some very uncomfortable moments at the end. No thanking of guests, cutting people off, and parting last jabs. it’s not every time, but it is definitely consistent. Not trying to be a Karen, but it is worth considering a correction. maybe there’s something I just don’t know.
