Older art definitely more appealing to me, but with all the expansions being made for the new version, it seems like you'd want to get the newer edition.
I just spoke with Iello at Origins and they clarified that the dice I have I this video from the 1st edition were replaced by slightly smaller rounded dice in newer editions. This was since the older versions of the dice had some color chipping.Therefore if you have one of those newer editions they would be the same size.

There are also rule differences. In the first edition the first player who rolls smash gains control of Tokyo while in the new edition the first player must enter Tokyo.

The reason is to make you buy the same game all over again. It's what game companies these days love to do. Make a game, crank out a million expansions, and then do a new version that's not compatible and start all over and keep that money coming in.
Do you know if the card backs and cut of the evolution cards in the second edition of Power Up are the same as the evolution cards that came with the first edition of the Halloween pack?
Does the new version include the promo cards that were added to the market (Intimidating Roar, Thunder Stomp, Super Jump, etc.)?
I'm at Origins so I can't check. My guess would be no since their press release talked about needing sleeves for previous promo cards that they will be offering in the near future.
Is the game box insert the same as the first edition? The first edition's insert is annoying that everything will fall out if I don't carry it horizontal, so I'm just gonna make my own insert for the game.

I like the old style better, new one looks pretty generic.
They could've at least included power-up with this version...I mean seriously?!? Forcing to buy for Cyber Kitty and Space Penguin, along with removing the Kraken, is just asinine.
If anything, print graphics are usually a higher quality and bigger artwork size than digital graphics so that reason is filler. I think the only reason they changed it was cause they were forced to. Like you said with the legal issues with Cyber Bunny, that forced them to make a new cover, new character, and new item cards (because they had the original cover on them). The only change I like is Cyber Kitty, I like the design of the new character, and the new box looks neat. The other character changes do nothing for me, I like their originals more. I have nostalgia for the old box, so I like it more, but I see the appeal of the new one. The new dice look lower in quality. I also struggled to get a Space Penguin, but I care less that it's easier to find. If anything, that makes getting Power cards for it a greater possibility, so I like that. I heard they were planning on just doing a Cyber Kitty/Space Penguin small box as an upgrade for players that have the original game, and I'm all in for that.
From what I read from Iello, for the app the old art wasn't created layered enough to make the animation up to snuff.
At the same time, did the app art have to be identical to the physical game? Why not just have the app art a bit different, rather than having to change the board game completely and cause all sorts of compatibility issues? Also, what's the story with Cyber Bunny and Kraken? They are someone else's IP?
Apparently Cyber Bunny must be someone else's IP. For the Kraken it was removed in favor of the Space Penguin for no other reason than they mentioned it just was decided to be the one removed.
People are thinking it might be Killer Bunnies IP. They said Kraken was just removed to make room for Space Penguin. Honestly, Kraken and Mecha Dragon were my go-to characters.
Mackerachi Yeah, I'm, personally, glad that I have the original version, as I like Kraken and I have one friend who ALWAYS plays as that character and would be sad without it. heh
the new illustrations don't mesh together giving the new edition a fragmented feel.

Cyber Kitty looks cooler. RIP Kraken though. I want to see Pumpkin Jack revamped.

Whaaaat Cyber bunny has gone due to legal issues ??? WTH !!! who owns the rights to such a well known franchise (note sarcasm). I think I'll stick to my 1st edition :) What the App meant to do in the future ? automate other players for solo play and housekeeping / tracking ?

Seriously, why would those of us with the first edition be upset? Or why would anyone "upgrade"?
As I mentioned I don't think people will go an upgrade. This was mainly driven for the new app that needed the new art for technical reasons. So new people will be getting this version which will be more future proof, and those with 1st editions will need to keep up on the compatibility issues when buying any more future expansions.
I was actually considering getting a copy of King of Tokyo but I'm not sold on this new addition. Space Penguin seems out of place. I thought the old artwork was too cartoony and the new artwork has some nice flair too it. I like the design of most of the characters. I even like cyber kitty better then cyber bunny.
I am not a fan of space penguin though. He seems very out of place and is the most cartoon. His art style matches the 1st edition and that doesn't sit well with me. I also don't see how a space penguin fits in with giant monsters. I just don't understand why they would replace the Kraken. I always hated alienoid and no one in my group ever used him. They should have replaced alienoid instead.
I am also not happy about the whole power up situation now that there are new characters. Its a hard pass for me.
Why get rid of Kraken? He is my favorite. They should have just make an expansion fixing the batteries adding the cyber kitty and it's power up cards and also adding the penguin and it's power up cards. If the legal issue with cyber bunny caused them to cease printing of the original, then I guess making the 2nd edition is the only way. But I like the original, there is something about the new art for the King that bugs me. When comparing the art, the new one looks like a cheap knock off of the original, not an improvement. I feel that this is also a way to milk the game for more money.

Reminds me of when Pandemic decided they needed to change the game. Now you have to be careful to not buy the wrong expansion, since it may not be compatible with your base game, unless you get the one made for your edition. Annoying.
Don't think I like the new version, I actually prefer the artwork of the old version because they are looking more bad ass. IMO They didn't need to change the artwork at all.
I haven't got a copy of KoT yet but with the new art I'm not sure about that anymore. sad face.
I prefer 2nd ed.
