      The company does not decide what the share price will be for the IPO; rather the audited financials will dictate the offering price which could be substantially lower than what the issuer would like it to be.

    what requirements are looked into a company to qualify for a SPAC listing?
    Lets say I have small Local bank in Africa, and I wanted to take it public in the U.S via a SPAC.
    1. How do you find SPAC's to merge with?
    2. What do they see in your company to accept the merger (say x amount of revenue ;1bn revenue needed, or x number of employees)
    3. Averagely what percentage of the company will the SPAC own after the merger?
    4. Is the PIPE like additional money that is usually raised in a direct listing (like 16Bn in FB IPO)?

    Hi if a company wants to go public through SPACs how do they do it? Like do they just show up to some investment bank or hedge fund and tell them to take the company public or what's the process like?

      Great question. Yes that is pretty much it. You still need to find an exchange to list on and find the money to do it. :)

    The easiest way to go public is to do a reverse merger with a public shell. What this instructor doesn't tell you that once the reverse merger is completed there could be large amounts of shares in unfriendly hands. You have to water those shareholders down to nothing with a 10 or 20:1 reverse split. After the reverse split new shares are issued to the insiders..
