    Yay! I got the same conclusion as you! I just watched an M&A workshop where they stress the fact that unless you can get the seller to pinpoint a reason to sell, your chances of the deal cratering are astronomical because they can pull out whenever.
    New sports has no inherent incentive to sell, so the onus to incentivize all falls on the buyer and makes what is already a higher than average CPM acq. even more pricy.

    Initial framework was great but when you got to later part of the video like mitigating risks for eg. the answers quickly became very vague like if we are not fully integrating with newsport (letting them stay full time-employees contrary to our free-lancing culture, how are we planning to utilise the synergies ? What benefit do we get from merging the two companies ? ). I felt these questions should have been addressed at that point of time.

    This is awesome, so helpful! But, it would be great if the interviewer can refrain from "uh-huh"ing at everything the interviewee says.
