    This has been quite an insightful video.
    One of the most prominent ways to make a profit is to buy an asset/ investment instrument at a price that increases the chances of making a profit in the long run.
    Adani's purchase of bankrupt companies seems like a strategy that will most probably bear fruit in the long run.
    Buying the companies/ brands/ competitors for a throwaway price, unlocking value with merger of other group companies, getting assets, market share, data and other benefits will stagger as operational efficiencies kick in.
    How else would Adani manage to create ports/ power plants in places where these defunct/ loss making businesses were operating?
    Land is the most crucial asset in the market of Mumbai.
    Adani has won the game of buying at a discount. Now, the game of wait and watch begins where the operational efficiencies kick in and the profits start showing up in the balance sheets.

      Well valid points. But what also needs to be noted is
      1. IBC process is an open market process. When any company buys up a bankrupt company, it has bid the highest among the prospective bidders. This also means that the best possible value has been arrived at for the assets in contention (even if they are a fraction of loans due).
      2. The haircut is indicative of condition of underlying assets of the company under IBBC. Companies with best assets are sold at high bids (Essar Steel, Bhushan Steel) whereas bad assets fetch the least bids (Sometime close to scrap cost). So haircut should be looked at from that angle.

      Yes this is a big concern, very soon 70-80% of large hospitals will be owned by American VCs, all the big hospital chains are under them already. Hospital costs have gone up in most hospitals in last 3years with price increases way higher than the inflation(say 2x of CPI)
      Soon the insurance lobby will also start similar to what is in the US.

      All hospitals in the US (Government owned, PE, Non PE) have become much more expensive. Stupid to blame this on PE when 90% of of hospitals in the US are not owned by PE. The rise in US healthcare is due to several reasons: Inefficient Insurance Market, Government Regulation, Skyrocketing cost of drugs, too few doctors and nurses, government price fixing schemes that shift the cost to private patients, frivolous malpractice lawsuits, Doctors Union (American Medical Association) limiting number of medical students.

    If u make a list of NCLT sold accounts, debt amount, sale price, final buyer.. and voila.. d present REAL BENEFICIAL OWNERS of these companies.. it will make a mother of all scandals together together. If you want to delve a little bit deeper, see which were major reasons/ debtors/ changed govt policies, which led to the original downfall of these companies.

It's really interesting to see "The Butterfly Effect" in Indian Government functioning. I'm waiting for a detailed and exhaustive analysis of such examples from a reliable source.

    5:05 - 5:32 So basically... HDFC bank invests public money in the companies that then it goes bankrupt and then Adani (or the likes of him) buys it out at cheapest possible rate?
    But this doesn't make any sense to me, I have so many questions...
    What happens to HDFC bank's owed money then? How do they recover this? Or does it gets counted towards NPA? If yes, then how will HDFC will pay it back to the depositors if this keeps happening? Or Adani becomes liable to pay the owed money in future? If yes, that's how Adani has become so much debt laden company? If not, then can we consider IBC law was made to benefit just the rich businessman's?

      Don't just look on how much buyer pays, it depends on how much worth of asset the insolvent company hold
      , just take an example
      You purchased a car of 50 lakh on EMI, then you lost your job and unable to pay, go on court and declare your self insolvent, then bank comes at your home and take that car , and then car will get auctioned in public, whoever bid highest will get the car , 5lakh is the highest bidder then he will get the car at 10% of the original value of car ,
      Minimum floor price is also get set depending upon the condition of asset

But the resolution adopted by the creditors (Home owners included) is that adani has to finish constructing the home at no extra cost to the home buyers. So it's 76cr and whatever amount adani will have to spend out of its own pocket to complete the project as costs have obv inflated otherwise the older builder would have completed it at cost.

      Read up on the law. Banks have taken a haircut on the loan. So there is no debt that comes from the asset.
      Basically rascals are buying up things at 95% discount (that too with another loan taken from a bank)

    So who is actually loosing money?

      @@ddhaval010 In order to understand that you have to time travel to the past and experience airports being run by the Govt or you can read in the newspaper articles. In present, you can get a BSNL mobile number or broadband & experience their customer service. Air India had a great potential but it could never realize it and was running in losses every year. The issue is not the airport being sold; but it being bought by Adani. Thanks Indi alliance for creating that perception.

      Nah, this shows how deluded you are. Those companies were startups which had taken loans from a bank, and then went bankrupt. Now, the bank is in loss, so the bank takes control of the assets of those companies. Those companies have spent too much money and time to develop those assets, but if the bank has to sell them then I will be sold for cheap, and it will be a wastage of those assets. So the bank takes control of the bankrupt company and resells it to some other big company which can handle the short term losses, for getting those assets. This is a remarkable strategy to not waste the outcome of the efforts of so many entrepreneurs. It is not some killing of competition, because those companies were already bankrupt. A bidding was done for selling those companies, and the largest bidder won. Tata group, or any other group could have easily purchased those companies, but they decided not to purchase for a high price because they did not want to expand their business in that line. Please learn how companies and economy works before blindly blaming the government or anyone in general. People now a days are so deluded that they don't even think properly, they just try to prove their preconceived notions to themselves.

    This is precisely how efficient markets are expected to work. Bring living-dead bankrupt companies without the resources to put capital assets back to productive use. The creditors don’t have the time or the expertise to do it either. Otherwise, they would have done it long time ago.

      The main reason is all these companies especially real estate took loans spent the money somewhere else became bankrupt and bank haave been saddled with bad loans which adani buy at dirt cheap price how come a real estate company take a loan of 1700 crore and be sold for 76 crore the land itself would be worth 1700 crore now

It's just that back then if a company went bankrupt all of its employees were fired and its assets were sold to compensate for the loans taken, but after the new insolvency code the employees are not fired, rather the owner of the company is changed and the company runs as it is. This is a great way of saving your nation's companies, and most developed nations use this kind of model, including the US, Japan, and Germany. First learn about the economy and business, and then bluff. Don't make baseless allegations without thinking through, just to self propel your preconceived notions.

Now, the bank is in loss, so the bank takes control of the assets of those companies. Those companies have spent too much money and time to develop those assets, but if the bank has to sell them then It will be sold for cheap, and it will be a wastage of those assets. So the bank takes control of the bankrupt company and resells it to some other big company which can handle the short term losses, for getting those assets. This is a remarkable strategy to not waste the outcome of the efforts of so many entrepreneurs. It is not some killing of competition, because those companies were already bankrupt. A bidding was done for selling those companies, and the largest bidder won. Tata group, or any other group could have easily purchased those companies, but they decided not to purchase for a high price because they did not want to expand their business in that line. Please learn how companies and economy works before blindly blaming the government or anyone in general. People now a days are so deluded that they don't even think properly, they just try to prove their preconceived notions to themselves.

      @@arahul4045 What kind of strategy is that? Some of the strategies that companies adopt is expansion by integration, forward and backward integration. Here they are trying to expand by buying out all their competitors after they go bankrupt and how do they become bankrupt? Simply kill the competition by pricing. There are two main types of pricing, one is in the early stages of market entry where you kill the competition by penetration pricing even if you are making losses initially once the competitions die out, you skim the market by higher prices and make huge profits. Perfect example is Jio.
      Here Adanis know that the companies who are bankrupt due to operation inefficiency or the present market situation itself which does not have much scope. Hence they buy these companies mainly to cover the internal cash problems and apply for more bank loans, The second objective is to create a hype in this sector and raise their value. But you know what happens in the long run since the fundamentals do not change and the over value will become a liability. The real value of Adani Enterprises is estimated at 1.5 -1.6 k and see the last few months performance. The retails investor is stuck for no reason. See who is blindly accepting all the wrong doings by them, if not for this government, they would be counting the bars by now

      When the whole steel sector was under recession in 2016 the government brought this ibc and forced steel companies to go bankrupt which has resulted in loss of crores to bank
      Same is with power companies they signed ppa with state discoms, supplied them electricity but we're not paid due to which they could not pay intrest on loans and became bankrupt

    IBC has been a boon for Indian bankers . Previously Essar , JSW and other became billionaires just by defaulting on loans , restructuring and then keeping there own equity intact . While bankers lost billions of loans. In India companies became sick , not the promoters . However now going forward many borrowers pay up due to the fear of IBC and losing control over a good earning asset. We may criticise Modi Government as much we want , But only a non corrupt regime could bring in laws like RERA and IBC

    take yourself as a creditor of that co.
    situation 1. you will not receive even a single penny because other party is bankrupt.
    situation 2. you can get a little recoverable amount on proportionate basis after the highest placed bids.
    here the dealing is in crores not pennies even some crore can be a major change.
    and more over a creditor (co.) have to represent thier performance in front of their shareholders......

    very informative video, throughout the years adani port became no.1 private player I guess now they are bullish on power sector. After government Adani will be only power supplier in India. They are importing coal, they have coal mines overseas as well in India which can supply coal uninterruptedly. They are solar panels mfg. so they can install solar projects and they have power transmission and distribution lines. They are ranked 2nd in cement manufacturing. I guess they want to become no.1 private power supplier in India.

    , just take an example
    You purchased a car of 50 lakh on EMI, then you lost your job and unable to pay, go on court and declare your self insolvent, then bank comes at your home and take that car , and then car will get auctioned in public, whoever bid highest will get the car , 5lakh is the highest bidder then he will get the car

      Because I guess.....that was the highest bid. And I don't think it's just 76 Cr. This was the amount paid to the financial creditors but I guess the suppliers were also paid some amount and other stakeholders also received some.
