    Thanks for great presentation. What are the impacts of voluntary dissolution on third party investors who had bought commercial papers in the dissolved company?

      Thanks for the question.
      In an instance where a company's directors apply to strike off a company without properly dealing with the debts, the creditors can legally object to the dissolution of the company so that they can recover any monies owed.

    I was trying to work out how to close my company down so this is very useful. Do I have to inform my bank if I close my company down?

      Yes. It is after all the asset of a separate legal entity that you perhaps run on behalf of the shareholders? If you're no longer trading and strike off any money left in the account will be bona vacatia or in simple words property of The Crown.

    My limited company was dissolved by Companies House in April 2024, for failing to file. What can I do about it? I am now thinking of continuing trading as a sole trader. Is this possible? Thanks, Uwa

      Whilst it is possible to restore your limited company after it has been dissolved via the process of Administrative Restoration, please note that this can be a costly and time-consuming process. You may wish to set up a new company with the same structure and company name if it is still available. This can be a quicker and more cost-effective option.
      There are advantages and disadvantages to making the switch to sole trader. We'd recommend taking a look at our blog post on this subject - www.1stformations.co.uk/blog/sole-trader-or-limited-company/.

    Thank you for the video Nick and Co! I set up a company but ended up not doing any4hing with it. Should I go voluntarily dissolve the company or can I just leave it be and let Companies House close it down due to inactivity?

      Thanks for the question! You would want to avoid letting Companies House compulsorily dissolve a company as it can have a negative impact on the directors. If a company is solvent and meets the necessary requirements, the company should opt to dissolve voluntarily.
