Why are these contracts so thick with legalese you NEED a lawyer to understand them? Why can't they be written in plain, simple-to-read English (...or Spanish... or Portuguese... or German... or Klingon... ) instead?

Yes... because a good surgeon left a healthcare provider, and then was unable to get another job elsewhere because the noncompete clause made it nearly impossible for him to find another place he could work at near where he was living... if not impossible... He said he'd have had to leave the state to practice. He was not obliviating. That's actually what these clauses do! This'll seem cliche if you're reading my posts... but imagine someone flipping burgers at Burger King deciding to leave, and being told they can't work for another restaurant within 50 miles of a Burger King. That's what these noncompetes are doing to the average person.... So yeah - this is a doctor... Highly trained... Skilled... And suddenly finding it difficult to find a place he can legally work because of the noncompete clause. How will that help ANYONE? Need a surgeon? Too bad you can't hire this one... or any of the others that were working at the same business. What a joke, indeed! So funny.... A surgeon unable to practice within 25 miles of any part of that company's facilities... A PREVIOUS facility... Or one they're LOOKING to purchase... Oh, he found one? My son paid for office visits himself, cash. A year later a statement arrives that my son owed the office additional money --- 2/3 more per office visits in the past --- because the doctor had joined a group with a fancy name "Best Value". What they got was a "GO POUND SAND". America's health system is a disgrace for all the money that is involved.
Healthcare is a service exactly like everything else. The government being the biggest payer of healthcare instead of the individual patients screws up the cost system because if people were actually paying for it they couldn't charge outrageous prices and they would have to be upfront with the pricing. But since a third party pays they can play games with the prices and charge insane prices.

Companies aren't going to buy you out just to have you set up shop next door. Contracts have specific language for a reason. This doctor is an adult, entered into a contract as an adult, and must abide by his agreement to the terms of the contract. He brought a nothing-burger to the show.
The non-compete was for two years. As the good Dr. found out, breaking the provisions of the buy-out, caused him to repay the payment he received. He should have abided by the 2 year stipulation.

My Japanese mother immigrated to this country at the age of 19, with only having an 8th grade education. She taught herself how to read and write the English language. When I was 19 years old, she asked me to teach her how to write a check and to how to establish a line of credit. Less than 4 years later, she was a small business owner of two successful Japanese restaurants. Years later, she was struggling with arthritis from handling very large pans and woks. A loyal customer had made repeated offers to buy her out, along with the name of her restaurants and her recipes. She finally accepted it and had to sign a non-compete clause saying she would not open ANY Asian related business within a 100-mile radius for a minimum of 10 years. She honored that agreement. She passed away 13 years ago. I drive by her main restaurant every day. It's still open and carries her name proudly. This man's victimhood with that amount of education is as laughable as he is infuriating.
But there's another side... And that's what Senator Kennedy and many others are missing. Many jobs are now putting noncompete clauses in as part of the work agreement. Using your mother's business as an example.... The reason they wanted a noncompete clause was to prevent her opening another restaurant, with the money gained from the sale of the existing two, and competing in the same market. Obviously she already knows the recipies, the way to garnish the plates to the customers' satisfaction, the taste of the product, and has working knowledge of the industry...Word could get out that she opened another location, which would meet her standards, while the old ones might falter for a short time under the new management. Suddenly they're out of business because they can't make it against the person who had the businesses beforehand. However... Let's say a cook working for her had a clause that they couldn't work at another restaurant within 50 miles of her restauarants for 5 years? They migth learn the recipies... they might know how they are plated, etc.... but they aren't running the businesses, nor are they creating the menus for other restauarants. For that matter, McDonald's is a restaurant..... they can't flip burgers? These are the noncomptete clauses that they're trying to end. It's wonderful that your mother ran the businesses, and honored the agreement - - but it would be different if she were merely working as a cook or server, and couldn't work within 50 miles of either restaurant after they changed hands. That's an undue burden on people today. And can you imagine a person working the frier at McDonald's being unable to then go work at Burger King or Wendy's because they're in the same market? That's what these clauses are doing... that's the fight.

You are somewhat wrong .. Most all companies and corporations you are required to sign a contract in order to get the job ...just take a look at computer industry, you are required to enter into a contract, and when you leave you have to sign a exit contract !
Doctors are not rich. When 95% or more goes to admin they are not pulling tons on money into a bank. That's why they sold to the equity group that stripes out more money.

@@chriskane8625 After he was outvoted by his partners, he had 2 choices: 1. Accept the money and continue at a practice he founded many years earlier; 2. Move to another state and start a brand new practice from scratch. That's a pretty tough choice. And for the record, he ended up giving the money back later when he bought out his non-compete agreement. That sounds like integrity to me.

The problem with a non-compete is it's torsius interference on its face. It's just like paying somebody to not sell product to your competitor. The baby boomers somehow that tortious interference was a thing. So there is a lot of corruption in the system that needs to be weeded out.

This was some slimy questioning. Doc had a partnership agreement with the other doctors. You can't just leave without getting sued. Lost the vote on signing the non compete. Paid the money back to get out of it. Why paint him as someone trying to game the system? Also why are we allowing these companies to buy up our doctors in the first place? Are these non doctors going to ensure patients get the best care? Or are they going to cut as many corners as they can to save as many pennies as they can to pad their pockets? Congress SHOULD be going after THEM. I don't care that this guy went to an ivy league school, and is making tons of money. I'd only care if he was doing that and was a BAD doctor. Senator Kennedy obviously makes a good point about contract law. Here’s the thing: noncompetes are immoral because they hamstring the worker, be it a registered nurse or high end surgeon, keeping them tied to and enslaved by the corporate private equity companies. On the other hand, the company has no obligation or loyalty to the workers. The Federal Trade Commission has already adjudicated that these types of contracts are immoral and declared them illegal. It should come as no surprise that the corporations have done a full court press litigating and challenging the overturning of noncompetes. Here’s one more thing to consider: we already have critical physician shortages and this nonsense isn’t helping. I steered both my children away from my field (medicine) so that they might have a chance to actually make money on their terms
Something happened to me but as a person looking for medical care closer to my resident, I was told that I could (not) make an appointment because I had seen a year previous another doctor in the same field but from a different group in another town 20 miles away, It was explained to me I would have to stay with the 1st group of doctors from the previous year and I'm not eligible to change, So now it's coming practice for corporations to tell me who (doctors) I can see is absurd.
No matter what you think of this doctor, private equity is an absolute blight on healthcare. There is not one redeeming thing about it. Physician payments are constantly cut. Insurance companies are predatory. There is more and more bureaucracy and the cost of employees, rent, utilities and insurance goes up and up. Unless you are a physician you have no idea. It’s only because the environment is so difficult that private equity can have such awful contracts. This is no different than predatory lending that victimizes the poor and ill informed. Private equity is ruining healthcare in America. Anyone defending it is being paid to do so. Would love to see who is giving to Kennedy.

I often admire but in this hearing he has missed what the issue is a non-compete agreement written the way that one it was meant the doctor would probably have to leave the country in order to be a doctor. Noncompete agreements should be for a narrow area let's say 25 or 30 mi from the original location of the practice. Not to include Offices of the Purchaser of the Practice Which includes every location or any potential location that the practice would have Is absolutely ridiculous. So shame on you John Kennedy. I’m a Physician Assistant and had to turn down a position when presented with a no-compete clause in the contract… fortunately, they returned with another contract that did not contain the clause. If the deal isn’t right for you, then don’t enter it. If you enter it, you must abide by it.
While I usually agree with Senator Kennedy, in this case, I do not. The problem with non-compete agreements is not at the high end, illustrated by this exchange, but at the mid- and lower-level of corporations where non-compete agreements have become a condition of employment in the first place, which is a form of coercion given the imbalance in power between employer and employee. That employee's choices are then to work under conditions that may have become unbearable, or not to work at all in their field of expertise. Worst is when they are then terminated because the business is failing AND to be unable to work elsewhere. Those not already independently wealthy often have no choice in the short run except to agree to such terms, and at the mid- and lower-levels, they may not have either the legal knowledge or the resources to hire counsel to represent their interests. Private equity is particularly pernicious in this regard because their sole interests are financial, reworking the balance sheet and income statements, and not in the underlying social purpose of the business, e.g. building widgets or providing orthopedic care. This is amplified by the business model of private equity, which is to purchase a business, strip out the equity via "management fees" and dividends to themselves, and to spin the company off either to public markets or to "qualified investors" loaded with debt. There is no other reason for private equity to buy a medical practice, or any other business.
Private equity buying up hospitals is damned sure a problem for exactly the reasons the doc is detailing. In the DFW area all the ones with "Regional" in their name are affillited and run terribly.

Suddenly they buy in with another widespread company and thier ability to practice is obliterated. It's one thing if someone is selling a car detailing business to have a noncompete that says they can't open or work for a car detailing business within 50 miles of the one they're selling for five years... They could just let people know that they've worked with in the past that they are now running business Y instead of X, and provide the same services at the new as the old, taking the customers from the old location with them... It's another thing for someone working AT one of these businesses to be unable to work for another company detailing cars for 5 years if their job is eliminated, they are fired, or they decide to leave. And these are the noncompete clauses that we're looking at - the ones that destroy livelihoods by making it impossible to perform the job you're trained to do with any competitor. See the difference? I think that nuance is what Senator Kennedy is missing.
He fibbed: he said the patients in that region wouldn't have a surgeon in his specialty - no, they wouldn't have HIM, the university could have simply FOUND SOMEONE ELSE - he thinks too much of his unique contributions. He knew WHEN HE SIGNED that non-compete agreement that it would effectively require him to leave the region. He's just whining about the limits of what he agreed to.
On this point whilst the basis of Kennedys view is indeed correct, I have to say that whatever the incentives for allowing private equity takeovers is (usually money), it is fact that they damage the outcomes for consumers at the very least particularly when it comes to access to healthcare. The same is happening in the UK under the NHS umbrella which is now in effect just a bunch of private equity companies who are only interested in assisting those who are sick enough to generate income for the business, but neglects those who are so sick that they are classified as 'not cost effective'. My son falls into that category and has received the most disjointed, disrespectful and quite frankly damaging healthcare and I know he is not alone. So whilst I have so very much respect for Kennedy and his ability to highlight that these issues have come about due to greed, lack of foresight, pressure or inability to bear sufferance for the greater good, all of which I would agree is deplorable, it does not address the outcome which is poor quality access of healthcare for the most needy in our society. Someone should be looking at that because, once again, if it were you or your loved one your stance would likely be very different, particularly if finances did not allow to seek alternative healthcare.
But they are paying you. And the non compete clauses have a limited time effect and that is fair, otherways you are not giving them what they are paying you for.
If you buy a company producing a product and the name of the person you buy from is associated with a high-quality product and they don't have a noncompete agreement, they can open the same type of business and your purchase would be worthless
Agree. My former employer was a government agency, and they had a "rule" that we were not allowed to practice our trade/craft for FIVE years once we left their employ. Many of us said eff you and did off the books work. So many employers like to think they own you.

Buyers remorse. As an attorney, I have run into this problem countless times and there are at least two sides to the story. I practice in NC where a non-compete agreements must be reasonable as to territory, length of restriction (term) and other factors more relevant to the particular type of activity which is restricted. NC is very pro-consumer oriented where professional services are restricted; especially in the medical setting (doctors, dentists, medical specialists) however, less so with regard to retail competition (dry cleaners, convenience stores, oil & lube operations). For professional services, 2 years is generally considered a benchmark. A statewide.prohibition in the medical setting would be absolutely void and unenforceable. NC is more interested in making professional services available to consumers, hence the 2 year cap. A longer term non-compete contract covering hotels, restaurants, or vending operations, etc. would be acceptable for much longer period. Additionally, the restriction must serve a LEGITIMATE purpose. There are multi-volume treatises on this topic since it is generally regulated on a state by state basis. Let me summarize by saying based on the testimony, the described restrictions would be illegal in NC. We usually limit professional restriction agreements to a defined market, limited number of counties, or a radius in terms of miles from a given location; otherwise, the whole contract is at risk of being voided. I am guessing that the Doctor was not fully forth coming, I don't think he lied but he clearly only wanted to narrate his side rather than answer the questions asked. Sen. Kennedy is usually on the money and smelled the rat! Restrictions /non compete matters-have always been state law matters. My curiosity was piqued when I saw that this hearing was before the US Senate. There is more to this than the video has revealed. Sounds like these folks practice in NY, FL or CA where crazy stuff like this can happen. NC has it's issues, but here, the big issue is relevant market. 2 adjoining counties would be about the most largest territory where restrictions would be allowed here - and in most moderate size states. The doctors likely got greedy and didn't hire competent employment lawyers to review the contract and negotiate on their behalf. They saw $$ signs and signed the contracts without even reading them thoroughly. I also smell some sort of multi-state conglomerate or hospital chain that saw some know-it-all doctors full of themselves. Doctors hate lawyers and they likely didn't realize that some high powered employment firm was behind the scenes and laughed all the way to the bank. I have practiced for 46 years and wouldn't represent myself on a parking ticket. Doctors need to practice medicine and have a good general attorney on retainer simply to hire the right attorneys for them when they have legal issues. I could ramble on for pages but I think Senator Kennedy said it all.
As an non-American citizen - I am Maltese - so I can speak without being called racists, I hope!. Healthcare is a service exactly like everything else. The government being the biggest payer of healthcare instead of the individual patients screws up the cost system because if people were actually paying for it they couldn't charge outrageous prices and they would have to be upfront with the pricing. Companies aren't going to buy you out just to have you set up shop next door. Contracts have specific language for a reason. This doctor is an adult, entered into a contract as an adult, and must abide by his agreement to the terms of the contract. He brought a nothing-burger to the show.

My Japanese mother immigrated to this country at the age of 19, with only having an 8th grade education. She taught herself how to read and write the English language. When I was 19 years old, she asked me to teach her how to write a check and to how to establish a line of credit. Less than 4 years later, she was a small business owner of two successful Japanese restaurants. Years later, she was struggling with arthritis from handling very large pans and woks. A loyal customer had made repeated offers to buy her out, along with the name of her restaurants and her recipes. She finally accepted it and had to sign a non-compete clause saying she would not open ANY Asian related business within a 100-mile radius for a minimum of 10 years. She honored that agreement. She passed away 13 years ago. I drive by her main restaurant every day. It's still open and carries her name proudly. This man's victimhood with that amount of education is as laughable as he is infuriating.

But there's another side...
And that's what Senator Kennedy and many others are missing.
Many jobs are now putting noncompete clauses in as part of the work agreement.
Using your mother's business as an example.... The reason they wanted a noncompete clause was to prevent her opening another restaurant, with the money gained from the sale of the existing two, and competing in the same market. Obviously she already knows the recipies, the way to garnish the plates to the customers' satisfaction, the taste of the product, and has working knowledge of the industry...Word could get out that she opened another location, which would meet her standards, while the old ones might falter for a short time under the new management. Suddenly they're out of business because they can't make it against the person who had the businesses beforehand.
However... Let's say a cook working for her had a clause that they couldn't work at another restaurant within 50 miles of her restauarants for 5 years? They migth learn the recipies... they might know how they are plated, etc.... but they aren't running the businesses, nor are they creating the menus for other restauarants. For that matter, McDonald's is a restaurant..... they can't flip burgers?
These are the noncomptete clauses that they're trying to end.
It's wonderful that your mother ran the businesses, and honored the agreement - - but it would be different if she were merely working as a cook or server, and couldn't work within 50 miles of either restaurant after they changed hands. That's an undue burden on people today. And can you imagine a person working the frier at McDonald's being unable to then go work at Burger King or Wendy's because they're in the same market? That's what these clauses are doing... that's the fight.

The problem with a non-compete is it's torsius interference on its face.

This was some slimy questioning. Doc had a partnership agreement with the other doctors. You can't just leave without getting sued. Lost the vote on signing the non compete. Paid the money back to get out of it. Why paint him as someone trying to game the system? Also why are we allowing these companies to buy up our doctors in the first place? Are these non doctors going to ensure patients get the best care? Or are they going to cut as many corners as they can to save as many pennies as they can to pad their pockets? Congress SHOULD be going after THEM. I don't care that this guy went to an ivy league school, and is making tons of money. I'd only care if he was doing that and was a BAD doctor. Kennedy didn't let him answer most of the questions, because it would be harder to spin his narrative, when truth comes out. But then again what would you expect from a lawyer? Senator Kennedy obviously makes a good point about contract law. Here’s the thing: noncompetes are immoral because they hamstring the worker, be it a registered nurse or high end surgeon, keeping them tied to and enslaved by the corporate private equity companies. On the other hand, the company has no obligation or loyalty to the workers. The Federal Trade Commission has already adjudicated that these types of contracts are immoral and declared them illegal. It should come as no surprise that the corporations have done a full court press litigating and challenging the overturning of noncompetes. Here’s one more thing to consider: we already have critical physician shortages and this nonsense isn’t helping. I steered both my children away from my field (medicine) so that they might have a chance to actually make money on their terms

Something happened to me but as a person looking for medical care closer to my resident, I was told that I could (not) make an appointment because I had seen a year previous another doctor in the same field but from a different group in another town 20 miles away, It was explained to me I would have to stay with the 1st group of doctors from the previous year and I'm not eligible to change, So now it's coming practice for corporations to tell me who (doctors) I can see is absurd.

No matter what you think of this doctor, private equity is an absolute blight on healthcare. There is not one redeeming thing about it.
Physician payments are constantly cut. Insurance companies are predatory. There is more and more bureaucracy and the cost of employees, rent, utilities and insurance goes up and up.
Unless you are a physician you have no idea. It’s only because the environment is so difficult that private equity can have such awful contracts. This is no different than predatory lending that victimizes the poor and ill informed.

I often admire but in this hearing he has missed what the issue is a non-compete agreement written the way that one it was meant the doctor would probably have to leave the country in order to be a doctor. Noncompete agreements should be for a narrow area let's say 25 or 30 mi from the original location of the practice. Not to include Offices of the Purchaser of the Practice Which includes every location or any potential location that the practice would have Is absolutely ridiculous. So shame on you John Kennedy. I’m a Physician Assistant and had to turn down a position when presented with a no-compete clause in the contract… fortunately, they returned with another contract that did not contain the clause.
If the deal isn’t right for you, then don’t enter it. If you enter it, you must abide by it.

While I usually agree with Senator Kennedy, in this case, I do not. The problem with non-compete agreements is not at the high end, illustrated by this exchange, but at the mid- and lower-level of corporations where non-compete agreements have become a condition of employment in the first place, which is a form of coercion given the imbalance in power between employer and employee. That employee's choices are then to work under conditions that may have become unbearable, or not to work at all in their field of expertise. Worst is when they are then terminated because the business is failing AND to be unable to work elsewhere. Those not already independently wealthy often have no choice in the short run except to agree to such terms, and at the mid- and lower-levels, they may not have either the legal knowledge or the resources to hire counsel to represent their interests.
Private equity is particularly pernicious in this regard because their sole interests are financial, reworking the balance sheet and income statements, and not in the underlying social purpose of the business, e.g. building widgets or providing orthopedic care. This is amplified by the business model of private equity, which is to purchase a business, strip out the equity via "management fees" and dividends to themselves, and to spin the company off either to public markets or to "qualified investors" loaded with debt. There is no other reason for private equity to buy a medical practice, or any other business.
Private equity buying up hospitals is damned sure a problem for exactly the reasons the doc is detailing. In the DFW area all the ones with "Regional" in their name are affillited and run terribly.

But on this one, I have to disagree with him - - Noncompete clauses in work contracts can destroy a person's ability to make a living if something happens to their job.
It's one thing to ask Elon Musk to not work on autonomous driving technology for 10 years if he eaves Tesla... that would be fair as he's the one that put the technology together, built the company, and knows the ins and outs...
It's another for someone working AT Tesla building the cars, connecting the batteries, putting on the tires, to be told they can't work for another car manufacturer for 5 years.
Or to have a contract with a doctor that they can't perform orthopedic surgery within 25 miles of a facility that this company owns, is looking to own, or has owned... Suddenly they buy in with another widespread company and thier ability to practice is obliterated.
It's one thing if someone is selling a car detailing business to have a noncompete that says they can't open or work for a car detailing business within 50 miles of the one they're selling for five years... They could just let people know that they've worked with in the past that they are now running business Y instead of X, and provide the same services at the new as the old, taking the customers from the old location with them...
It's another thing for someone working AT one of these businesses to be unable to work for another company detailing cars for 5 years if their job is eliminated, they are fired, or they decide to leave.
And these are the noncompete clauses that we're looking at - the ones that destroy livelihoods by making it impossible to perform the job you're trained to do with any competitor.

I think that nuance is what Senator Kennedy is missing.
He fibbed: he said the patients in that region wouldn't have a surgeon in his specialty - no, they wouldn't have HIM, the university could have simply FOUND SOMEONE ELSE - he thinks too much of his unique contributions. He knew WHEN HE SIGNED that non-compete agreement that it would effectively require him to leave the region. He's just whining about the limits of what he agreed to.
On this point whilst the basis of Kennedys view is indeed correct, I have to say that whatever the incentives for allowing private equity takeovers is (usually money), it is fact that they damage the outcomes for consumers at the very least particularly when it comes to access to healthcare. The same is happening in the UK under the NHS umbrella which is now in effect just a bunch of private equity companies who are only interested in assisting those who are sick enough to generate income for the business, but neglects those who are so sick that they are classified as 'not cost effective'. My son falls into that category and has received the most disjointed, disrespectful and quite frankly damaging healthcare and I know he is not alone. So whilst I have so very much respect for Kennedy and his ability to highlight that these issues have come about due to greed, lack of foresight, pressure or inability to bear sufferance for the greater good, all of which I would agree is deplorable, it does not address the outcome which is poor quality access of healthcare for the most needy in our society. Someone should be looking at that because, once again, if it were you or your loved one your stance would likely be very different, particularly if finances did not allow to seek alternative healthcare.

If you buy a company producing a product and the name of the person you buy from is associated with a high-quality product and they don't have a noncompete agreement, they can open the same type of business and your purchase would be worthless

Agree. My former employer was a government agency, and they had a "rule" that we were not allowed to practice our trade/craft for FIVE years once we left their employ. Many of us said eff you and did off the books work. So many employers like to think they own you.

Buyers remorse. As an attorney, I have run into this problem countless times and there are at least two sides to the story. I practice in NC where a non-compete agreements must be reasonable as to territory, length of restriction (term) and other factors more relevant to the particular type of activity which is restricted. NC is very pro-consumer oriented where professional services are restricted; especially in the medical setting (doctors, dentists, medical specialists) however, less so with regard to retail competition (dry cleaners, convenience stores, oil & lube operations). For professional services, 2 years is generally considered a benchmark. A statewide.prohibition in the medical setting would be absolutely void and unenforceable. NC is more interested in making professional services available to consumers, hence the 2 year cap. A longer term non-compete contract covering hotels, restaurants, or vending operations, etc. would be acceptable for much longer period. Additionally, the restriction must serve a LEGITIMATE purpose.
There are multi-volume treatises on this topic since it is generally regulated on a state by state basis. Let me summarize by saying based on the testimony, the described restrictions would be illegal in NC. We usually limit professional restriction agreements to a defined market, limited number of counties, or a radius in terms of miles from a given location; otherwise, the whole contract is at risk of being voided.
I am guessing that the Doctor was not fully forth coming, I don't think he lied but he clearly only wanted to narrate his side rather than answer the questions asked. Sen. Kennedy is usually on the money and smelled the rat! Restrictions /non compete matters-have always been state law matters. My curiosity was piqued when I saw that this hearing was before the US Senate. There is more to this than the video has revealed. Sounds like these folks practice in NY, FL or CA where crazy stuff like this can happen. NC has it's issues, but here, the big issue is relevant market. 2 adjoining counties would be about the most largest territory where restrictions would be allowed here - and in most moderate size states.
The doctors likely got greedy and didn't hire competent employment lawyers to review the contract and negotiate on their behalf. They saw $$ signs and signed the contracts without even reading them thoroughly. I also smell some sort of multi-state conglomerate or hospital chain that saw some know-it-all doctors full of themselves. Doctors hate lawyers and they likely didn't realize that some high powered employment firm was behind the scenes and laughed all the way to the bank. I have practiced for 46 years and wouldn't represent myself on a parking ticket. Doctors need to practice medicine and have a good general attorney on retainer simply to hire the right attorneys for them when they have legal issues.

This is exactly what is wrong with US health care. Too much crap. This doctor needs to be working. Now. Get rid of all the crap that prevents people from succeeding.
He got the money for not working in certain areas so he had the whole world to go to work to.... with the money he received, in his pocket. Why complaint afterwards, he agreed to that.
We should have "free" healthcare right Rick? that way everyone gets underpaid and we have a real shortage of qualified doctors.

Didn't this doctor have a lawyer who read and negotiated the contract?
They were likely was paid 100s of millions, but they wanted the people involved to not create a competitive business to one they were purchasing…. So they pay people to not work, and pay you to not be competition.
I had a colleague who was jn medical development, created a product … sold it to a national manufacturer, who also bought his services for a year (full paid consultant over above his buy out for the product).
A year later, he changed 1 value in his formulation and created a competing product … so I understand and investment firm wants to neutralize any competition of their purchased venture
