I love Tool and Opeth and they are both in that prog metal category so there are similarities, but they are very different to me, mostly in tone (not to invalidate your observation at all). Opeth has more pronounced death/black metal and jazz influences. It may be an odd connection, but I always think of them as Pink Floyd, if PF were a prog metal band.
It's a shame that Opeth has gone more in a prog rock direction since the album Watershed came out. Ghost reveries and Deliverance are my favorite Opeth albums.
