@@spencercooper-thorn2624 Well obviously not a lot if they've sold 60 units in 10 months of trading, where as Brian (the inventor) has sold hundreds on his own. I'm not business savy in no means of the word but from my understanding he got that 79% because he's the majority share holder in the other bigger company which has more revenue than the inventors company. So when both companies where gonna be combined they would've had to factor in that the other guy already had a large share of a existing company and the inventor had a invention that could possibly make them both money. That inventor dodged a bullet with those two "partners". He produced and hustled the most and had the smallest equity in the company. In that scenario, they could have forced him to sell his shares back to the company for less than fair market value. Two fly chancers is 100% correct. The guy with 79% is a right muppet.

This wasn't a merger. This was a hostile takeover. The inventor looked like he was kept hostage by the MD and Ops manager. SMH.
What does SMH stand for?
rogersevers123 ‘Shake My Head’ I believe
Well they threw Brian out of the hostage van and he had to walk home
Hold on....If the inventor owns 100% of his own company which has sales and the merger will make the three equal partners....Then he's losing 67% of his business and gaining nothing...So the two others are just complete thieves.
Luckily Deborah showed him the light so he called off the merger.
Not necessarily. You don’t know wat the others can provide .
@@spencercooper-thorn2624 well all it seemed like is that the gentleman on the right taking 79% was just saying okay I'll partner with you but I do nothing and you do all the sales, I'll just sit here and take 79%. The other chap in the middle only took 1% whilst the inventor would be making a huge loss merging!
@@spencercooper-thorn2624 Well obviously not a lot if they've sold 60 units in 10 months of trading, where as Brian (the inventor) has sold hundreds on his own. Their margins are decent, so using that one example they gave for costings, their gross profit for those 10 months would be around $7500USD which isn't great. But they obviously have little value in terms of contacts to help get exposure or sales for the product. That 79%-1%-20% made literally no sense, based on performance, Brian is by far the most valuable of the trio. There is no clear value to Brian in having the other two merge with him, diluting his share in his company.
@@jamesw9873 They didn't say how long it took Brian to make those sales. The 79% is based on that guy bringing in capital to help Brian expand the business, the same reason they were going to the Dragons now. I doubt he was bringing in enough to be worth 79% though especially since he appears to be a clueless moron, so it was best for Brian to pull out of the merger.
Well done Deborah! Tell them! The inventor has 20% and sold 500 units and the other bloke who sold bugger all has 79%, this is crazy!
How is that even possible, someone explain, is it that he bought 79% stake or what? How could he possibly own 79% when he hs done nothing compared to the original inventor?
@@iidentifyasaPSLGoddess I'm going to guess that he told the inventor that he was going to try to get outside investment and those shares would come from his 79%, with the inventor keeping the 20%. That's the only somewhat 'reasonable' explanation I can think of.

The guy on the right has some serious "crook" vibes. I bet he bullied his way into the inventor´s company. That´s the only explanation I have for the 70% for doing nothing.
The 1% guy I'm assuming is the 79% guys mate or something.
In simpler terms I think it's cause the inventor wanted a company to help sell his boxes and then the 79% fella made the inventor think he was going to be able to sell a shit tonne for him but obviously not 😂
DSNugent91 in even simpler terms the inventor has a gambling or prostitution habit and the guy on the right is recouping !
79%
@@DSNugent91 The problem is that the two guys with the potential 80% share actually did MCUH less in terms of sales than the inventor with 20%. So the inventor could instead be hiring competent sales people, instead of merging his company with another.

That inventor dodged a bullet with those two "partners". He produced and hustled the most and had the smallest equity in the company. If they had merged, there would have been nothing stopping those two 2 shysters from eventually voting him out of the company, especially if his shares were redeemable. In that scenario, they could have forced him to sell his shares back to the company for less than fair market value. He would have been reduced to merely being able to look at his boxes in people's gardens, rather than substantially sharing in the company's profits. I think the Dragons saw it, too.

Sure, but that’s not the reason they didn’t invest. That quickly became irrelevant compared to the fact that they couldn’t get their figures straight.
I'm sure companies like Hermes will find someway to screw this up.
I don’t understand how the INVENTOR and the one who has sold the most units only has 20%? I think the one with 79% has taken advantage of someone who was already doing a great job on his own and decide to take over and reap the benefits of someone else’s hard work.
I think the inventor had 20% stake in the other company as well as owning 100% (I'm assuming. I'm hoping) of his own company. As to what % he'd have in the merged companies, bearing in mind they were asking a dragon to come on board as well, who knows? They certainly didn't.
Smarmy gits! Ugh....
Hope the inventor has more success with this on his own. It definitely has potential.
I've just witnessed the difference between getting a telling off by Touker and an absolute bollocking by Debra!
I'm a sales trainer and if I met those two majority shareholders, I'd tell them to look for another career. A case of, "I know lads, lets just get in the den and blag it". The word" inept" springs to mind!
A sales trainer? Piece of shit
@@rioeiokha9653 So according to you being a sales trainer is a piece of shit yet you're here watching Dragons Den videos which is all about sales and pitching?
Reverendshot777 Don’t expect logic or coherence in a youtube (or any) comment section ;)
@@rioeiokha9653 Would you care to explain your misguided presumption in a little more detail?
