Yes, provided the sale allows for it you can purchase an existing franchise and rebrand it as a non-franchised location. In the case of the E2 visa you need your business plan to be approved. You can't really "mirror" the franchise, as their image, branding etc are trademarked. The question is whether the existing customer base, which you are purchasing, will still want to come to the store once you change the menu and look of the store. If the store is profitable - why risk changing it? And if not profitable there is no compelling reason to pay a premium for a franchise, you could just start your own. That is a question for a tax attorney. To my knowledge if a business is domiciled and operating on US soil, it is legally obliged to remit taxes.
