      @@ImOnGearSoWhat I agree that good management and liquidity are important factors, to which they have been having problems with, but those two factors are only part of the problem. There are many factors that have larger impacts. Japan buying the company will not solve this. Japan says it will not export steel produced but with their economy at a 10 year high for importing steel, that can't be trusted. It would make sense that instead of buying steel from China, they would ship steel from the company purchase to strengthen their economy. I did a ton of reading and learned a lot of things that I didn't know. Because of all the reading I see the much larger picture. One thing is certain though. If the sale goes through, the CEO and stock holders will get filthy rich.

      The CIA reported that China is most likely to attack Taiwan between 2027 and 2035.
      Steel is a critical industry during war, so the federal government wants it to be domestically owned.

      I agree... Japan is a STRONG ally and this is ridiculous. We have regulations on foreign ownership, and as long as Nippon follows them (and of course they are) this should be no problem at all. Unfortunately, America is going through a stupid period so we'll need a few years to sort it out ¯\_(ツ)_/¯

      I've seen an article from pittsburgh quoting the local unions and local politicians as being very supportive of the deal. The national union and state/federal politicians are more concerned about optics than principles.

    Pittsburgher with many relatives that worked for U.S. Steel/Carnegie Steel here, we missed our opportunity to save U.S. Steel 50 years ago. Dumping tariffs on foreign steel will not work because we are ten years behind China and Japan in terms of infrastructure and technology when in comes to steel making. Only thing we have a chance of competing in right now is specialty steels like surgical grade stainless. Truth is that the government got blinded by greed when they saw all the tax dollars coming in from U.S. Steel, they left the workers unions to fight for better wages and benefits and spent no time analyzing how our product became less and less desirable in the world market. If the government slowly increased wages while counteracting increased labor costs with tariffs that probably would’ve saved the company. Too little too late, Americans love their inefficient unions too much and despise any government control over business.

      You are correct about specialty steels as that is the focus across the board as countries are competing in the same game. US Steel moving away from coal foundries to electric to reduce carbon emissions did not make them pioneers as other countries did the same thing. China over producing steel to supply their ever growing economy, tied in with huge subsidies to their steel producers, they ended up with a huge surplus in steel to which they started selling at a lower rate instead of taking a full loss. That drove down steel prices across the globe causing steel companies to try to compete. With the industrial sector making up almost half of China's GDP that also is the greatest downfall for them. The union members lost their arbitration case trying to stop the sale. The crazy thing is that the news, left wing news, reports that the union members were in support of this and that is far from true. The stock holders are and so is the CEO Burritt because they will get wealthy. People have completely stupid. Being a sheep is much easier than being the sheepdog.

    Good if such mergers are blocked. On one hand, Americans complain that their manufacturing industry is dead, but on the other hand, they support foreign competitors taking over their manufacturing companies. I work in a chemical firm, which was acquired by a British chemical conglomerate in 2019. The business man is now selling us to a private equity firm even though our company is growing and thriving. Private equity firms should not be allowed to acquire companies. They treat companies like a cash cow only to make it fragile from inside and decimate the company within a few years. Lots of people lose their jobs because of such unwanted mergers and acquisitions. It kills the economy.

      Why no one in the USA wants to buy USS, esp for $800+/yearly ton of capacity? Consider USS share have returned less than 1.5% yearly stock appreciation + dividend over the last 20 years. Biden wants to stop this sweetheart deal, and Trump thinks that he can magically improve USS profitability at the cost to USA taxpayers. Trump does not know the steel industry. Trump should talk with his former Secretary of Commerce Wilbur Ross, who purchased the bankrupt assets of Bethlehem, LTV and Acme, and flipped them by selling his ISG to Mittal. If integrated steel was so profitable, why did he sell?

    US Steel is located in Fairfield, Alabama just a few minutes away from downtown Birmingham, AL( known as the Magic City).I live in the metro area just a short drive down the road from Fairfield. Bessemer,Ala(The Marvel City) and I've had many relatives and friends who have worked their many,many years ago and some of them even Retired from US Steel . my Uncle Randolph Bowden Sr.(Did 40 or morer years of service up until he wasn't able to continue to work one of.my Best friend's husband did at least over 30 years there as well.I said that to say this it should be handled over to be remembered and reminded as one of the biggest manufacturing steel industry in the US.and to continues to prersevere for the future of the United States Steel Workers of America. and for the future of Fairfield, Alabama. and theirCitizens.

      No, if it's that important then the government needs to 'entice' them to upgrade their infrastructure to be more efficient and more competitive instead of just continuing to dump tax money into the pockets of the owners/investors. A company WILL make their own choice to become more efficient, and thus more competitive, if the only alternative available to them is to go out of business if they don't upgrade. Investors are not going to spend money unless they are faced with losing their entire investment if they don't fix the problems.

      @ trump isn’t going to let them buy it. The steel industry in America has done nothing to upgrade their factories. They have done minimum upgrades at the most. Europe has done 30 to 50 years of upgrades. Last time they put tariffs on the steel industry from Europe because American companies didn’t invest in the future and couldn’t keep up. It’s a world market and companies in America need to invest in the future not just take the money and run and then beg for help from the government.

    Nippon Steel Buyout of US Steel => Macro Economic Arguments Never Considered?
    * The difference between the Nippon Steel offer that was approved by 99+ % of US Steel shareholders in Apr-24, and the highest Cleveland Cliffs offer would provide $790+ million in capital gains tax to the Fed Treasury. (In reality, far more in taxes, because the CC offer was shares & cash, not the all-cash NS offer, and because now, any CC offers would be thwarted on competition grounds and any CC offer would be revised to a much lower value.)
    * The Nippon Steel offer is all cash financed using money from Japan, not the USA. $14+ billion dollars would thus be injected into the US economy, enough money to easily create 14,000+ new jobs. If that money were to be raised from within the USA, that money from any buyout would not create any new jobs. (Note that the new jobs could be created would not be restricted to those related to the steel industry.)
    Those against the Nippon Steel buyout say it would be wrong because the profits will flow out of the USA and to Japan. Consider this: A share of X, (i.e., US Steel share), bought 20 years ago and sold at the $55/sh offered by NS, will have returned less than a 1.5% yearly interest rate including dividend. Trump has stated he will provide some sort of government assistance to prop up US Steel, at the cost of the USA Taxpayer, and make it "great again"....And get 1.5% return on that investment. Does this sound like a good deal, or a waste of Taxpayer dollars?

      I work at US steel Mon valley works and nobody who actually works there is against the sale. The condition these mills are in are terrible and need investment. Barely can run anything with out breaking down. Trying to run on 1930s original machinery

I used to work at Los Angeles Ladder Company which was the premier ladder company in the US for producing the really large hydraulically-driven ladders used on fire trucks throughout the world. Company owners only wanted the profits and refused to invest in modernizing anything. Our machine shop (where I worked) spent most of our time just fabricating replacement parts for our broken-down production machinery (from World War II era), all of which were no longer being manufactured. Eventually the company went out of business because they simply could not compete with the newer more efficient companies from overseas. Greed bankrupt a company and put a lot of people with specialized skills out of work.
