They can vote against it They can sell their shares now if they are convinced this deal is bad. If they really think the deal is that bad and the shares will drop, sell the shares now and buy them back when they are cheaper. Or remember the reason you backed this team in the first place and back them again and reap the benefits.
Management owns no shares. They are throwing away Serica shareholders cash balances in this deal.
