A Video needs to be created showing how to amend a NC LLC with a step-by-step tutorial. This tutorial should show how and where to find the forms and fill them out in addition to how to do it all electronically vs mail because being able to do this electronically is a timesaver. Also, it needs to show the cost and breakdown the options to expedite and the turnaround time for regular submission in addition to same day and/or next day submission. That would be truly helpful because when calling there are long hold times due to business of the business areas.

I think this has been asked before, but I don't know how long ago. I'm looking into starting a solo, home-run LLC and I don't want to list my home address. Can I use a PO box for either or both the registered agent and the principal office? Or do I need a third-party service?
Under North Carolina law, the address for a business's registered agent must be an actual street address, not a post office box or a shipping store box address. This is necessary so that service of process or some other demand notice upon the company can be executed. As you correctly surmised, this information is a public record. So if listing your home address is a concern for you, there are companies, including virtual ones, you may contract with to act as your registered agent.

The blue button on the website to do the online filing is not clickable and will only allow you to upload documents. The wizard option is not working. Ideas?
If you are an individual, does that mean you are only the organizer since it's only yourself in your business? or you are both the member and organizer? I was a little confused about that part.
The Organizer is the person who drafts the Articles of Organization and submits them to our office for filing. You should also check the capacity of Member if you are going to be the sole owner of the LLC.

A registered agent is responsible for acting as the company's official representative. A registered agent does not have to be the owner or officer of the company. The address for a business's registered agent must be an actual street address, not a post office box or a shipping store box address. It is a suggestion that people not use their home address because this information is a public record. Some people do not wish to list their home address for that reason. For number 2 & 8 on the form, and the business address part can I use my home address? I'm in the process of getting a lease agreement and won't be able to use the location until late October.

I am trying to fill out the online business registration form for a PLLC (Board of Engineers and Surveyors) and every time I get to the Professional Licensee page it has a space to type what professional services are offered and it won't let me type in the box. There is a drop down box right underneath the type in box asking who the registered license holder is and it is not working either. You would file your Certificate of Assumed Name (also known as "Doing Business As") with your county Register of Deeds Office. They will then upload your information in our Assumed Business Name directory (www.sosnc.gov/online_services/assumed_name/search/id). My LLC does not have a physical office yet. Can I really not use my home address as my 'Registered Office Street Address'? Or is it just not preferable as the narrator here insinuates?

If I decide to change the name of my business, should I keep the current name, or refill out a new form for an llc, and can I get an EIN # before I change the name, or should I wait till after?

If you HAVE received confirmation that your filing has been approved, then you will need to file an Amendment to the Articles of Organization (if an LLC), form L-17 with $50.00 fee, or Articles of Amendment (if a business corporation), form B-02 with $50.00 fee. If you haven't already requested an EIN from the US Internal Revenue Service, we suggest you wait to do so until after the name change is filed. Otherwise, you would have to amend the EIN, too. Can the filing for a conversion of a foreign LLC to a NC LLC be done online? It seems like when I go through these steps it wants to register my LLC as a foreign LLC rather than convert it.
Although we are working to update our online services so that we may accept online filings like this, right now we are requiring businesses to file form L-01A, Articles of Organization, LLC (Conversion of Business Entity) ($125.00) by mail. We are currently working on a 4-5 business day turn-around time from the day an examiner receives the document. Please note that Question #1 refers to the resulting NC entity that is being formed pursuant to the conversion, so you should answer "No" to that question. Also, if your LLC currently has a Certificate of Authority in NC, you must file form L-14, Application for Certificate of Withdrawal ($10.00) to withdraw the foreign entity first. Based on the way you phrased your question, this may not apply to your situation. But we wanted to point this out in case it does. Our forms can be found at www.sosnc.gov/forms/by_title/_Business_Registration_Business_Entities_Common. Just select "Limited Liability Companies" in the righthand search box. Except in the case of a sole proprietorship (which is not required to be registered with the Secretary of State's Office), it is best to start the registration process with the Secretary of State's Office because your business MUST be registered using a name that is not already in use by another registered business. If you request federal and state EINs before registering your business with our office, and we determine that the name you chose in not available, you may have to contact the IRS and NC Department of Revenue about correcting the name on record with them.

A Video needs to be created showing how to amend a NC LLC with a step-by-step tutorial. This tutorial should show how and where to find the forms and fill them out in addition to how to do it all electronically vs mail because being able to do this electronically is a timesaver. Also, it needs to show the cost and breakdown the options to expedite and the turnaround time for regular submission in addition to same day and/or next day submission. That would be truly helpful because when calling there are long hold times due to business of the business areas.

I think this has been asked before, but I don't know how long ago. I'm looking into starting a solo, home-run LLC and I don't want to list my home address. Can I use a PO box for either or both the registered agent and the principal office? Or do I need a third-party service?
Under North Carolina law, the address for a business's registered agent must be an actual street address, not a post office box or a shipping store box address. This is necessary so that service of process or some other demand notice upon the company can be executed. As you correctly surmised, this information is a public record. So if listing your home address is a concern for you, there are companies, including virtual ones, you may contract with to act as your registered agent.

What about doin an amendment on an LLC?
The blue button on the website to do the online filing is not clickable and will only allow you to upload documents. The wizard option is not working. Ideas?

If you are an individual, does that mean you are only the organizer since it's only yourself in your business? or you are both the member and organizer? I was a little confused about that part.
The Organizer is the person who drafts the Articles of Organization and submits them to our office for filing. You should also check the capacity of Member if you are going to be the sole owner of the LLC.

For number 2 & 8 on the form, and the business address part can I use my home address? I'm in the process of getting a lease agreement and won't be able to use the location until late October.

The listing of company officials is optional. If you choose to, the address can either be a PO Box or your personal address if you do not yet have a business address. I am trying to fill out the online business registration form for a PLLC (Board of Engineers and Surveyors) and every time I get to the Professional Licensee page it has a space to type what professional services are offered and it won't let me type in the box. There is a drop down box right underneath the type in box asking who the registered license holder is and it is not working either. You would file your Certificate of Assumed Name (also known as "Doing Business As") with your county Register of Deeds Office. They will then upload your information in our Assumed Business Name directory (www.sosnc.gov/online_services/assumed_name/search/id). You can download the form from Business Link NC (edpnc.com/start-or-grow-a-business/start-a-business/business-structure/). They also provide free counseling services to small businesses like you. How long does it normally take for a confirmation email?
My LLC does not have a physical office yet. Can I really not use my home address as my 'Registered Office Street Address'? Or is it just not preferable as the narrator here insinuates?
It is a suggestion that people not use their home address because this information is a public record. Some people do not wish to list their home address for that reason. However, if that is not a concern to you, you may use your home address if you wish.

If you have submitted your documents but have not received email confirmation that your filing has been approved, then send your name, daytime contact information and the exact spelling of how you want your business to be named to Mr. Daniel Crabbe, Document Supervisor, at dcrabbe@sosnc.gov. If you HAVE received confirmation that your filing has been approved, then you will need to file an Amendment to the Articles of Organization (if an LLC), form L-17 with $50.00 fee, or Articles of Amendment (if a business corporation), form B-02 with $50.00 fee. If you haven't already requested an EIN from the US Internal Revenue Service, we suggest you wait to do so until after the name change is filed. Otherwise, you would have to amend the EIN, too. We hope this information is helpful.

For purposes of completing your forms, a "commercial entity" is a company, and an "individual" is an actual, live person. So, at each stage of the process, when asked if the registered agent, incorporator, organizer, company official, etc., is a commercial entity or an individual, you would answer accordingly.

Can the filing for a conversion of a foreign LLC to a NC LLC be done online? It seems like when I go through these steps it wants to register my LLC as a foreign LLC rather than convert it.
Although we are working to update our online services so that we may accept online filings like this, right now we are requiring businesses to file form L-01A, Articles of Organization, LLC (Conversion of Business Entity) ($125.00) by mail. We are currently working on a 4-5 business day turn-around time from the day an examiner receives the document. Please note that Question #1 refers to the resulting NC entity that is being formed pursuant to the conversion, so you should answer "No" to that question. Also, if your LLC currently has a Certificate of Authority in NC, you must file form L-14, Application for Certificate of Withdrawal ($10.00) to withdraw the foreign entity first. Based on the way you phrased your question, this may not apply to your situation. But we wanted to point this out in case it does. Our forms can be found at www.sosnc.gov/forms/by_title/_Business_Registration_Business_Entities_Common. Just select "Limited Liability Companies" in the righthand search box. The forms are displayed in numeric order.

Except in the case of a sole proprietorship (which is not required to be registered with the Secretary of State's Office), it is best to start the registration process with the Secretary of State's Office because your business MUST be registered using a name that is not already in use by another registered business. If you request federal and state EINs before registering your business with our office, and we determine that the name you chose in not available, you may have to contact the IRS and NC Department of Revenue about correcting the name on record with them.
Do I apply for my EIN after filing the LLC?
Yes, you must register your business with our office before requesting an EIN from the IRS.
You have to have an account on the site first, is that your individual acct or set it for the company?
It is your choice which name to use when you you create your account.
