How to Set up a Business as a Foreigner in Thailand

  • In this video we talk about what it takes to set up a business as a foreigner in Thailand. It is required that you have 3 shareholders. At least one shareholder needs to be Thai and they must have 51% shares in the company. The two other shareholders could be 2 foreigners, or 1 foreigner and 1 more Thai person.
    For Americans, it is possible to set up a company and own 100% according to the Amity Treaty. We can help you with an Amity Treaty set up if you are American. There are different perks between choosing Amity set up or the Thai Company Limited. We can also assist with the BOI Company set up. BOI endorsement gives you tax breaks and other incentives for doing business in Thailand. However, only specific industries can be approved for a BOI set up.
    If you see yourself living in Thailand for at least the next 3-5 years, setting up a business may be right for you. We never suggest people to set up business, just to get a visa. There are many other long term visa solutions in Thailand to choose from.

    If you want to set up any business in Thailand get yourself an honest Thai partner you can trust. Thats the hardest part??? but the most important aspect of doing any business in Thailand. Without you will be subject to costs etc that you wont realize esp if you cannot read, write or speak Thai?????......Spend a year or so here & get to know the place & business espects as you can easily jump into the frying pan if you dont?

The business licenses and accounting will depend on the type of business you plan to do.     So i have a question, foreigners cant own land in thailand but businesses can, can i create a business and buy land for then business/ home on the property and also does the amity treaty work with this?
    Except for the bill they put up last year which allowes foreigners to owncland if they have something like 1.2 million $ in a thai bank lol

    Good informative video. I was thinking of starting a muscle healing business and offer training too. But, not really having no connections there besides coming there and meeting a girl there, it sounds like it would be challenging. Plus, you only get 49% of the business, how can you trust someone who has 51% stake in the company, where I train them, because they have no idea on how to do what I do, and then they decide to take over my business idea once they get experience. Hmmmm?

      Usually 100,000 baht is the minimal capital requirement. Any other capital requirements for businesses depends on how many foreigners need work visas. If one foreigner needs a work visa then the capital must be at least 2 million baht.

    I would like to know some of the things.
    I am married to thai and have two kids. I want to get citizenship , but I never worked in thailand. I know i need to pay taxes for 3 years continously , and 3 years of non-0 extended to apply for citizenship.
    Is there any way to apply for citizenship without working ?
    For example : if my wife register a company ( she is thai ) and do work permit for me with a salary of 50000 baht per month to 3 years and pay taxes accordingly.
    Can I apply for citizenship.
    I don't want to own any thai company , so I can register full on my thai wife and earn a work permit to work in her office.
    Will my ideas worth ? Or is any way to buy citizenship ? I can pay until 1 million baht for citizenship. Am ready for that too.
    I have kids I really need it. Am too tired on visa hassle and afraid of future visa restrictions. Help me on it.

      Hi Jack. Thanks for reaching out. Getting Thai citizenship is an extremely difficult process. It is very expensive with no guarantee of being granted citizenship. It also requires that you are fluent in Thai both verbal and written. A good visa option for you would be the Non-O Marriage Visa and your children can get dependent visas.     Pay Thai and home country taxes, go through the pages of work Farangs not allowed to do in Thailand, not allowed to have a Paypal account or pay in digital currency, submit income records to anti laundry authorities, ect, ect. Thailand not the place to do business in. Been in Thai decades and very few businesses by Farangs do well, generally Thais get priority and tax breaks.

      2.This type of business would require an export permit.

    Simply awesome but wondering how would have things gone during last 3 years of covid . I am from Pakistan and planning to open restaurant there. Since it’s year old so if you can update any figures that have changed like minimum number of employees we must hire and current minimum wage etc as I ve heard a different figure . Also I would like to know the edge that the Thai shareholder will have over you with 51% . Coz as per your video it doesn’t seems to be a big deal but there must be something to it .

      The minimum wage is now 354 baht per day. The number of employees you must hire is still the same. The Thai Shareholder has the right to demand 51% shares. However, they cannot close the company without you or have access to the bank account if you are the Director. The Director has the signing power and access to funds and foreigners can be Directors.

    If you are married to a Thai, it only requires 1 million Baht to set up the company. Also, if your wife has a business already then, they can add on the list what their business do. So, if you wanted to do photography you can add media marketing to the operations of the business and then you can legally do anything because the business board has already approved the business. Your work permit also covers everything within the business so that is something to consider.

      I want to open 7-11 store in Thailand. Do I need to contact 7-11 company here in the USA directly or do your company help to set up in Thailand? Please advise.

      Whenever you do business with anyone you always need to have trust and many legal contracts involved. We would never suggest that someone sets up a business with a Thai person that they don't trust.

    Hello, I just watched your videos. I am a US Citizen wanting to start a couple businesses here in Thailand with my Thai girlfriend. I am on an exempt visa and just extended my stay for 30 days. December 9th would be my expiration date and I do plan to do the 60 day covid extension before the expiration date of November 26th. I need some general and legal advice on my next move and as well as starting up the businesses.
