I just got a proposal to invest in an unlisted share. The presentation did not have all financial statements like balance sheet or cash flow statement. The presentation did miss several crucial pieces of information and I have asked for the same. Also the firm showed a PE of 5541(I am also not sure if there is a typo) and RoCE of 92%. This video really helped to understand this body of knowledge in a reasonable manner.

Hello Piyush ji - I wont worry about the slight complexity because the same logic can be put between buying a share (we have to research, time the purchase, time the sale, open a demat etc.) and investing in a savings account (super simple; just deposit the money). In my view, it's a simple toss up between risk and return. There are many private companies that are doing extremely and they have a long runway in front of them. If the potential returns are 100 times, then why not invest in them -- that's how I would look at such situations.

Thanks for this. I have a couple of questions: 1. Where do I find the number of shares of an Unlisted company? 2. Let's take an example: XYZ company has 10,000 exiting shares (unlisted) and each share costing around Rs. 100 in the unlisted market. Now company is issuing fresh shares of quantity 1,000 shares and now total share will be 11,000 (1k increased from 10k). How does this impact the unlisted market price of each share? Do I have to take loss here if I have the unlisted shares?
1. Check the MCA website for documents related to shareholding 2. It depends on the price at which the new shares have been offloaded. If it's a 200 rupees a share, then the existing shareholders also profit. Afterall, market price is market valuation of the company divided by the number of shares.

Most shares trade at 80-90 PE. Many have very poor balance sheets. You need to scratch below the surface. You mostly find very very poor fundamentals. CEO and Directors belong to one family. Since they're not regulated by SEBI, there will be heavy book dressing and Internal trading to blow up prices.
