    You can have silent partners in a syndication if you set it up as a Reg D 506(b) private offering. In this type of offering, you can have unlimited accredited investors but only 35 non-accredited investors. However, you cannot use general solicitation or advertising to market securities.

      Edward, your response is not technically correct, but you are headed down the right path. A 506(b) allows the 35 non-accredited investors, but cannot be advertised. Any accredited investors in 506(b) self-certify. A 506(c) allows for advertisement to accredited investors. Only accredited investors that are verified may participate.

    Nice info about different structures. One thing that's going to confuse people about this, even if it's your type 1 or 2 (GP/LP or an LLC fund with shares), people usually still call those "syndication deals". I'm not sure if they're using the terms correctly or not, but you'll definitely hear people refer to all three structures as syndicated real estate deals.

    I'd include some form of a poison pill clause to deter investors from hostile actions. Stipulate that if litigation arises among the members, the LLC will immediately dissolve.

    Yes i hear that all the time when im trying to syndicate a deal is "how much money you gonna make" like im not the person who goes out and find the deal and brings it to the table

    Hey Bridger, in the second syndication example could the sponsor take 51% ownership of the entity but distribute profits not pro-rata? Meaning, the capital partners do not have a majority stake in the LLC, but they get distributed a majority of the profits? Essentially they pay 70% of required equity, receive 70% of the proceeds, but only get a 49% stake in the LLC.

    Hey man, I’ve seen a couple of your videos recently and been interested in funds. I have 4 members with businesses that’s are currently structures as sole proprietor. If I help these business get converted to LLCs, can I make a separate company that can have these companies as investors or something of that nature?

    Can't stress enough how "small world" the Syndication Community is - disclose and do right by your investors. If you treat investors as simple backs to step on during your journey to success people will figure it out sooner than later.

    bridger question:
    in the syndication portion, you separated 40% equity shareholders and investors in the pie?...why?...arent the investors per se' equity investors??....unless its structure where the equity investors are actual partners ( where they're liable like the syndicators ) and the other investors are silent investors like a LP???

    Let's say I don't have Capital but have a deal, and bring in investors and each of us will have equal share of the property. What else do I charge the investors? Syndication fees?

      Shoot for the moon. Yes. Your challenge will be ancillary expenses required to secure the deal. As long as your company requires all investors to sign a non-compete on all transactions pertaining to subject property and your contract includes language that makes all ancillary expenses the collective responsibility of the investors, with a quality attorney backing you and your interest, then you can succeed.

    What happens if you are leverage the deal with debt? Does that leverages everyone or can the debt be considered the GP's equity??

      It depends, typically the GP or LLC is responsible. But if the fund fails due to the inability to pay back the debt, the creditors can lose on that deal.

    I call bulshit on investors making money by getting that only 49% pie.
    Lets assume you buy property for 100k and flip it for 200k (fantastic returns that rarely happens)
    So you put all 100k, but got only 49% equity. That means you put all 100k and get back only 98 k (49% of 200k). You stll lose money on such a fantastic flip (100k > 200k).
    Literally no way you make money on these terms.
    Unless you would get 49% of the PROFIT (as in the profit on the deal was 100k so you get 49k). But you said you get 49% of EQUITY.

      Well if you were to frame it as “give all the capital and you get 49% of equity” no investor would ever logically agree to that. So yes the split will result from profit. Equity won’t imply the split of property value but rather the split of all profits so if the investor gives 100K and you give 0 to buy the deal, the 100K profit will split 49/51 meaning the investor receives 149K and you receive 51K, of course assuming no additional costs.

      That's not the case in an LLC construct fund. Yes for public companies you're 100% right, we're talking about private placements on this video
