Nijisanji: Zero responsibility. Holds all the power by contract. V-tuber: All responsibility. Zero power if Nijisanji decides to. It _is_ absolutely horrible. I think I'm not alone when I say I would NEVER sign a contract like that. It's not only questionable, it's a HUGE WAVING red flag. BUT, I understand someone who really wants to get their foot in the door of a (seemingly) professional company in a field they really want to invest their future into. It's predatory by forcing talents to sign a contract basically saying "if you don't sign it now then forget it".
The EN livers should contact their local lawyers (not Niji's/Anycolor's) to review the contract asap for their rights & wellbeing in their work if it is real.
@@Obi-Wan_Kenobi62 Depends on the lawyer, but it'd be well worth the cost to have a professional legal opinion on how enforceable a contract is in your country/jursidiction.
My best guess as to why talents would sign the contract is because either A: Nijisanji didn’t give them enough time to send the contract to a lawyer to review and so they ended up signing without realizing how bad it was. Or B: The talent simply couldn’t afford a lawyer at that time and so signed the contract without realizing how bad it actually was.
My other theory could have been maybe because they had friends in it, and so they likely thought joining them in this company would be great It could also be possible that there is favoritism in such a way that only the favored talents get a better contract and a better pay and etc
You forget option C: alot of these livers truth be told are either nobodies or just plain out under the radar let's not forget despite them being such a bad company with such a slave contract, they are still known and have a following back then, hence just like hololive or famous vtubers agency being a liver for them and debutting is always at the bare minimum better than going indie most of the time because, they get a huge following regardless as long as they're part of the agency, im not saying being indie is bad but truth be told despite some of the livers knowing how bad or bullsht the contract is, they would never have had the huge following they had at the short or same time they went live as when they went as an indie instead of under said agency.
There are some people who don't even bother to read them before signing either due to FOMO or thinking that they already know the risk/reward analysis and therefore don't need to bother reading it.
"Once the contract ends, livers need to return everything they used in their work." They already get so little and, Niji still want more from them, thats insane. Sounds like a "you owe us everything" and then they proceed to take your soul away.
So let's say you get a better graphics card, a new iPhone for the tracking software, splurge on asmr microphones etc, pay for all of them out of your own pocket because what's gonna 1k do if that barely covers a phone for example, AND THEN YOU HAVE TO GIVE IT BACK ONCE YOU GRADUATE?!
This contract is a human rights violation. Anybody saying Kurosanji isn't a black company is pretty much overdosing on so much Copium that they need rehab.

Bro the fact that Sayu was told she could have a "good" future if she signed the contract is crazy, like what? Props to her for not signing it cause I wouldn't either, that's like a scam just waiting to happen
She even alluded that if the bullet points (the dirty laundry list from her termination notice) were removed she might have signed it but Niji wouldn't so there was no benefit for her signing that crap, they already made up their minds on ruining her reputation either way.
@@EkatariZeen And that's another thing that's crazy to me, cause say if she did signed it, would she still have received the harsh words she got when her termination was announced? I say maybe, because that all depends on Kotoka, Hex, Finana, if i missed anyone else let me know, because they mentioned her attitude and stuff. So, in a sense like you said, it's kind of their fault she received so many harsh words when her termination was announced
It was a veiled threat. "It would be good for your future to sign it" -- just picture an old Italian guy saying the words and it's literal mafia stuff.

Remember guys, Anycolor's capital expenditure for 2023 was only 0.8% of their budget versus Cover who spent 80% of theirs. That tells us that Anycolor spent so little to support their livers in terms of computer/software upgrades while Cover invested a lot for their talents. 2:45 "If they specifically breach the list of things they can't stream, the penalty is equal to the amount of money they made while in breach or the amount they made in the prior 12 months, whichever is higher" Holy shit. This is directly relevant to Selen's situation. She was terminated for breaching something she couldn't stream. That means that she would've "owed" Nijisanji the total amount of money that she made in the previous 12 months. Doki said on stream that she made $200,000 but had no net income because she spent ALL of it funding various projects. So, picture this. You are an earnest, ambitious young woman. You work hard for your company running various content projects for them, which you pay for out-of-pocket. They pay you $200k and you turn around and plow alll of the money right back into the company's content. But then you get fired and the company tells you that you now owe THEM 200k (what you'd made in the prior 12 months). You can't possibly pay this because you are broke. All of the money was already spent to fuel the Evil Empire. So not only are you left with nothing, it's actually far worse than that. You now have a NEGATIVE $200,000 unfunded debt liability to the company that just fired you, per your contract with them. Selen proceeds to try to self-terminate. Twice. ....Jesus Christ. That's what actually happened. With this contract revelation, we now know how it happened.
@@129dasBut here's the thing: did Selen know that, in that moment? Or did she just look up and be like, "Holy fuck, it's all over over. I have nothing left, it's all gone. Time to reach for the rope."
@@129dasBut here's the thing: did _Selen_ know that, in that moment? Or was she an isolated, young woman with a billion dollar corporation leaning on her making outlandish, life-destroying threats? Because honestly, if it's true that Nijisanji "knew" that it's an empty threat, the fact that they exploited a power incongruity between themselves a 20-something employee to try to browbeat the employee actually makes the overall situation look worse for Niji, not better. They make extreme, empty threats that Selen takes seriously, and then she tries to end it all because she thinks she's staring down the barrel of total life-collapse? God damn, dude.
@@129dasWith what money would Doki litigate the case? Being sued by a billion-dollar company is never an empty threat when you're just a kid with minimal resources. Selen/Doki would need a GoFundMe just to hire a lawyer, heh.
I can understand why Anycolor's share price is so much higher than Cover's, they're basically putting almost nothing into the livers and taking at least 50% of the revenue for themselves, and owning everything, whether they paid for it or not.
Share price is primarily controlled by miscellaneous market factors, like the number of shares outstanding and how willing the public has been to run up the price. So, just because one stock has a higher price than nother doesn't mean anything by itself. The PE ratio (price/earnings) is an important fundamental indicator. It takes the price of the stock and divides it by its earnings. A lower number is better; if means the stock is not overvalued/run up by as much. So, for example, much is made of Niji being a "billion-dollar company". This is the total market cap of all shares outstanding for the company, NOT the actual amount of money the company has in its personal coffers. The total value of all Nijisanji shares is worth way over a billion dollars, but Nijisanji only made about $66 million in total revenue last year (and that was before expenses were subtracted, so in profit terms, it was significantly less than that). *Perception* : Nijisanji has billions of dollars. *Reality* : they only have tens of millions of dollars, a difference of multiple orders of magnitude. (For what it's worth, Cover's stock is materially more overvalued than Anycolor's, at this point. The PE ratio of Cover is a whopping 44, which is...really aggressive and probably not sustainable. Nijisanji's is down to 26 in the wake of its recent decline, which is still elevated but not as acutely elevated. Cover is at risk of correction on any given day, though.)
@@BeforeON3 It's 50% - but only for that where there isn't a separate contract. In the end the 50% are only the super chats, everything else is most likely much lower.
@@acmenipponair @BeforeON3 Anycolor takes 50% of superchats and membership, we know they take 98% from merchandise as well, as that was leaked in the past. To think that they take less on anything doesn't line up with what is in that contract and what we know of their past dealings.
This is one of the most predatory contracts I've ever seen. However bad we thought they were, they've proven to be so much worse. I know it won't happen, but it's time for them to be investigated.
I want to make a record of saying... That in said contract (which I assume is the same for all livers), that mentions of hate speech, discrimination, or anything similiar is not acceptable through broadcast or social media. THEREFORE, not only is Niji forcing livers (Such as Elira, Vox, Ike, etc.) To breach THEIR OWN contract, but also disregarding Uki's recent comments within his own situation while keeping his contract valid. wth Niji
Im gonna play devil's advocate here: It's only banned to go after third parties. And former members technically count as a seccond party. They are connected, just not as directly. But Uki still being around has no excuses. I can't think of any logical counter argument.
@@Swagpion then still Uki would have to be terminated, because he is talking about third parties when he is racist against whites, as he isn't white and the company owner also not.
Whoever leaked it is, yeah. But this contract isn't all that different from American ones in reality. Legal Mindset might know generally about contract law in the US, but that doesn't mean he ever actually did anything with it in the real world. The whole thing is full of "if vtuber does thing against contract or to make Niji look bad, it's vtuber's fault" but that's getting interpreted as "Niji doesn't support their livers when those livers violate their contract and this makes Niji a black company". They're a black company for having the shitty work conditions and the inability to leave properly, not for how they wrote up a standard contract.
@@FroggerbobT There is a lot in that contract that is in no way standard for an American contract and would be thrown out in any US court. I know NDA's in contracts usually have stuff that isn't actually enforceable but this contract goes way beyond that.
They will never again be what they once were. That is dead. Some form of vestigial, stunted zombie company will linger on, but Niji as a legit rival to Hololive is just dead and buried now.

There's no minimum basic salary in the contract? There is no employee regularization? What the heck.. other vtuber agencies are way better and less restrictive.
2% from merch sales. There's a reason why some of the jokes about Nijisanji is that their talents are: -paid in exposure -get only 2% from merch -have NO salary -don't even keep their accolades personally
It isn't just no minimum basic salary. With them basically saying "You will use your money to buy stuff to use for streaming and those will be OUR stuff so you have to give them back to us when you quit/fired", you actually losing money paying niji to screw your life. How the fuck someone manage to have negative income without considering expense from somewhere else.
Nijisanji wants to uphold the view that their talents aren't employees, but only contractors, while at the same time restricting them so much and dictating their activities in a way that's fundamentally incompatible with that view.
While I agree that this contract presented (allegedly the same as vtubers sign), is clearly not the best idea imo, you also have to remeber that despite everything, does give you one thing. Viewership/fanbase from the get go. Yes every talent there deserves that folowing as entertainers, because its not easy to get into agencies of that size, and they all are entartaining to their respective audiences, but it is still a valid profit. You can be a talented content creator, or simply a very entertaining person but not be able to gain a following. Wheter its your ability to make thumbnails, hit good timezone, or just get lucky with algorithm, following is not easy to get if you dont have a good idea of innerworkings of the platform. That contract gives you that. Its up to an individual to determine if that aspect or any other possitive (some ppl enjoy corpo enviroment, its not always bad. also immidiate ability to work with other ppl in the same sphere may also sound good) balances out negatives. But there is also a fact that ppl also make mistakes. Not vibing with work in corpo or not getting a fully clear picture of what contract entails happens all the time. Ppl also have different backgrounds that factor into these. Many are very comforable in corpo enviroment and are satisfied with their workplace in Niji. Nothing wrong with that. If someone were to follow all of the guildlines perfectly and be fully comfortable and satified with the content they make that way, they will have an amazing time there, no doubt. But their punishments, amount of controll they have over you if you step out of the line and the amount of payment not being guaranteed in any capacity is very predatory. Im not trying to justify Niji by any means. I just give my take on why would someone sign it in the first place.
It's a lot of gaslighting to make u think that's the norm add on that very successful vtubers in the industry and your oshis probably signed the same contract before U. Ud probably think it was okay since they signed it as well. And it's pressure of it being the last step, U made it through all the interviews, u made it so far, all U have to do now is to sign the papers.
@@TallulahSoie Only for the desperate and naive enough to sign and lose money, this explains why Doki wasted 200k last year is literally rigged for them to take big cuts of any earnings you make and keep leeching your money, you have to pay and manage every expense like comissions and if you screw up enough to get suspended they take 50% of every earnings in 6 months of work all of that and they are not obligated to support you in anyway.
As someone who's signed (not nearly as bad but) similar employment contracts, some employers prey on your excitement for the new job. You end up with rose-tinted glasses and don't see the issues. I reread an employment contract after leaving an employer once and was shocked at what I agreed to (and in some cases couldn't even legally agree to)
I'm happy to live in country where legislation takes care of vast majority of things in employment. So employment contracts end up being really simple.
@@_Ekaros Yes, the US people always complain about the right regulation in the EU - but at least that's often a safety guard for us citizens, because we know and can research what a company is allowed or not do to and put into the contracts and that rules apply EU wide, not only for specific states

Return property: I can take it, if I make alot of money. ---double check---- The money is not guaranteed Oh hell Noooooo NIJI.
No shit. Like, if they payed for all expenses, 50% could be fair, if the expenses are super high. If they payed for everything, having a return policy where they get their property back could be fair, so people can't use the system to get free gear out of it. But they don't. @@RejectHumanityReturn2MonkeIn fairness, I don't think the Cover base salary is super high, and it's also denominated in yen terms. So the actual purchasing power of Kiara's base salary, living in Austria, isn't that great. But anything greater than zero is still better than zero, I suppose.
I’m curious when the Japanese will start translating this contract and how many will find it acceptable or not as a face image. Also fun fact; the Japanese Government can take down companies that are shameless(?) if I recall.
I work in several Japanese company in Japan. My first company was quite "black" as they were able to terminate contract instantly due to "mental problems" DESPITE Japanese rules of one month notifying to each party that the work contract will be terminated. The current one is legit and they give me 2 weeks for the contract, and actually is legit. So yeah, it is just ANYCOLOR here, not Japanese companies in general. There are good and bad companies.
@@howard6340 But still your black companies contract most likely was less brutal than the Niji one, right? Because "forgetting" about workers rights is one thing. The Niji contract is more a scam than a real work contract.
@@acmenipponair You can say that. Signing contract and giving them 3 hours is literally horrible. It's is illegal, people are just misinformed and in countries like the us and jp it's heavily stacked in the company favor, however, if this would happen In a core EU country I bet they would have been fined and at certain point banned from the EU territory. That is literally a slave contract. Not figuratively, literally. A "We give you nothing, you give us everything" contract. That kind of contract aught to be outright illegal; no person would ever sign that if they understood the terms.
Honest question. What does Niji even provide to their talents? From what I gathered they are just there to tell them what to do and take their money but contribute nothing in return ...
You go from 2 views to 1k on your first stream plus merch and sponsors handled for you. Most of these people would never see that kind of success overnight. @@shib5267 I guess that makes sense and hindsight is as they say 20 20. But still I find it absurd that this is the supposed contract and how anyone would sign something like that ... This just makes me sad for the talents that are still with them.

B.) had time, but did not read it because: B1.) too excited and just signed it B2.) did not want to look bad in front of niji that may incur looking for someone else so they signed it right away. C.) read it, but said “fuck it. I’m getting exposure.” lol Now I’m wondering about how Hololive contracts was for Advent and DEV_IS since they are the newest groups. Considering Cover go through thousands of applicants, multiple rounds of interviews, and settle on 5 people per group, who will also go through months of training prior to debut, SURELY they go through days of negotiations and walk new idols on how shit works like profit splits, covers, merch, 3Ds and etc etc. Not to mention how the hell does FuwaMoco’s contract works lol. But we will see if anything comes up.
FM's contract for me is the thing I am most curious about, like what happens if one breaks contract, does both get fired? Do they split 50/50 what if the merch of one sells better than the other, what if one streams more ? So many questions...
FM most likely just have two contracts. Don't forget, that the workers contract for the talents doesn't need to include what character they are playing, just that they are now working for Cover Corp. A workers contract is always individual, you cannot have one for two people, not even if they are husband and wife working together or siblings, but after that you can have them work together as a team for the same "project" = Vtuber. Also don't forget: each of them have seperated models, they just stream from the same computer. That they are presented as "FuwaMoco" is just marketing, in reality one play Fuwawa and the other Mococo and they form a team together.
@@acmenipponair while it is most likely two contracts I could still see Cover only PAYING one entity for most things to make things simple and have the siblings deal with the split themselves. The exception to this would be merch sales since iirc there are individual goods for each of them at the cover pop up stores or whatever in JP.
Ill tell you what type of person would sign it. A naive young 18-24 year old whos getting their first job in the industry and doesnt know any better. That would also explain why a couple of the talents (ie Luca) are massive bootlickers for the corp. they havent learned that the company is NOT your friend and they are on track to find out the hard way. They also (since they are so young and naive) might be more afraid to stand up for their rights than they SHOULD be. The one good thing about niji is that theyve developed a following. EVERY SINGLE ONE OF THEM could graduate and still retain a healthy following. The only reason to stay is if they are too naive, too scared or actually align with nijis ideals (and if they actually align with nijis ideals then they deserve to go down with the yacht anyway). I mean shit i used to be the same way. My first treated my hooooooooribly. Like to the point i almost started self harming. The video did NOT feel like a hostage situation. You are just making that up. Elira and Ike tried really hard to sound like the victims and Vox reveled in tearing into his former "friend". You want so hard for them to be innocent, but face the damn facts.
I've been arguing this since Elira's joint stream on the issue with Vox and Ike. It was blatantly scripted and Elira and Vox could be heard chuckling where it were least likely to happen as if it was their first time reading it, Elira when she said she felt threatened and Vox when he was talking about Selen/Doki's document I believe. Uki's the only one I don't feel sorry for for obvious reasons, but even then, none of the livers, JP or EN, deserve this. "It's an agency! They work with each other, viewers! They bring in money, they establish brand, they encourage others to join to replace them when they get to tired to stream..." "That sounds like slavery with extra steps!"
@@groerhahn225 you say "face the facts," yet you don't provide any yourself. The entire point of that stream was to serve as a hit piece on Selen, painting her as the terrible person and Niji/Anycolor as innocent, there's no arguing against that, however regardless of if the livers wanted in, Niji management clearly wanted to fish for sympathy to make up for bogus claims, and the best way they could've do that was to paint the livers as the victims. From what I see from this video about niji contract, talent literally going minus income from this, which is insane considering it is a goddamn job which on basic level is to provide income to survive, not losing more money working. If any contract gonna be worse than this then it would probably be like loan shark-liked contract that literally rob your soul to be considering worse
I wouldn't wonder, if WACTOR now thinks: "damn, our contract was to weak, look what Niji can get away with". Because I expect WACTORs contract to at least apply to the rules of Brazil :D This contract not even applies to japanese law...
I take that back. I watch the video summerizing about contract and this paragraph about amendment is more bullshitting. It literally saying that after signing that contract, if there are any change made in contract, kurosanji will notify vtuber about it to get respond BUT if no respond BEFORE 14 days or BEFORE VTUBER DOING ANY ACTIVITY (streaming) then it is automatically deem accepted. Which mean the contract itself is slave contract BUT once you sign, it became a devil contract instead. Because kurosanji can literally modify the contract, wait until last minute before vtuber going live and then kaboom! Contract done. Knowing the hardcore fans their silent about this for now because they are in full on denial and is gaslighting themselves or others into thinking this contract reveal is fake or troll baiting
Some parts in that contract seem like they would be iliegal in my country (for example employer is REQUIRED BY LAW to provide anything and everything worker might need for their job - in other words if you work "remotely" they need to provide you with a computer or some other device to do your work).
And they leave it up to you to generate said exposure. Niji debuts livers so frequently if you don't hit the ground running you're going to be left in the dust.
@@TheSkyheart5That explains why Nina was so competitive for growth at the beginning. Then she stopped and stagnated a bit. I'm guessing this is around the time they broke her. Niji just made their contract a board exam test paper.. you only have 3 hours to fill one blank space. making you stressed out while the time goes by with the only thing you get is "Exposure", "Loans" and a piece of paper.
There is no way i would sign that slave contract if I'm not guaranteed hololive talents success. @@ericp631its never worth it for people who have a decent following, or have a stable livelihood, income, or is just generally well off, but you have to understand alot of those livers joined when they were young and probably out of a job or were working minimum and if not were probably indie streamers or vtubers with little to no following so the trade of having simply upwards of ten to hundreds of thousands of subs, viewers, or fans in a short span of time was enticing for such, it may not be worth it for you or me who knows their self worth, value and is not in a desperate situation but have you considered not everyone has the same privilege, that's why some people agree to such contracts just so they get a little bit of something rather than having none at all, let's be real any of the livers if they started as indie or have started as indie would've never grew this big as they are now. For an example i know some of the livers not just nijisanji were probably working retail or a minimum wage job they never really enjoyed and just the fact they're earning just a bit more by joining said agency despite knowing that the contract is already as close to slavery is already for them better than slaving themselves away at something they hate, we're all slaves to something at the very least they still were happy or enjoyed being a liver despite all the drawbacks and these shtty conditions cause what's more shtty for them than said contract? Their old life
But that's the problem: Some people just want clout. Look at the VTweeters... they also will tweet whatever bullshit they can as long as they get clicks.
So let me get this straight, Nijisanji basically doesn't pay for anything, they take your personal property that you paid for when you part ways, and they expect you to pay them when you leave. Why on earth would anyone agree to this... this is almost criminal. No way any of this would hold up in a US court.
to think that some of us wanted to join niji before. what a gigantic time bomb of a bullet we all dodged! niji is a scary company and i hope the talents there that are nice at least get a lawyer if they still wanna stay there
I have read the contract, and I am not sure if this is legit, but in case if this is, the professionalism and red flags are in another whole level, because if ANY company says "et cetera", it opens for interpretation or anything they want, is like "fill the blank here", I hired lawyers to see contract of companies that I worked for, and all of them specified 100% every single detail of what might be those "et cetera", they do not leave empty spaces because well, if it is open to interpreation you can also be open to interpretation. Not only that, there are a LOT of topics that are like "okay... this does not make any sense at all", contracts are strics, not open for interpretation nor the way it applies, because they are basically saying they can force you to break contract, they can and will get everything in the case you get terminated and you will need to pay a fee for damage to the company, in any topic talk about the liver counter points to the contract, is basically "hey, want to sell your soul, here, take it", they do not prevent legal actions, they just shove things that they can do, and a few that prevent legal actions, in any circumstance in the contract are like "Oh, well, agreeing with this makes you not being able to take legal actions based uppon what you have read if happens to break the contract". It is just really, really, weird.
Yeah, even from the short version I also get a feeling that this contract is at the same time way too restrictive and not detailed enough, leaving too much to open interpretation. The fact that the company does not seem to be accountable for anything (like mediating internal conflicts between livers, which should be a basic enough thing) only adds to that feeling.
First time looking at the contract in LM stream i honestly almost doubted the legitimacy of this thing, who in their right mind couldve drafted up such garbage terms and conditions?
@@NineLives99999 If this was released before selen's termination, yes I agree. But we saw selen's termination's letter, and the absolute mess afterward. Yeah, it just aligned with all that's happening sadly.

Jack fucking shit Like we already knew it was a bad and that the likelyhood of the talents being held hostage was prettt up there but this is somehow worse than i thought
debating 50% cut after youtube/apple cut or whatever is a little too much or not. the penalty combo of 50% of your income if you get "suspended/terminated" and "we can terminate you without reason" is really bad. no wonder everyone get out of contract as soon as they can (2-3 years mark is vtuber lifespan, i guess that's their contract duration in general)
In the VTuber application it says to stay for a minimum of one year, that's all I can tell for sure. But with a contract like that, it probably takes time and a lot of planning to get out of there again as safe as possible.
Honestly whats sad is 1-The livers stayed. 2-They did not go against the company 3- they did not defend the liver driven to suicide by the company. 4. Instead of the moral highground and leaving They chose to go against the liver just as the company did. 5. Literally chose their jobs over a human life. 6. Defenders never have anything to say to refute this fact. Honestly part of me believes that if the talents knew what was going on the moment it happened and drop the company 100% not caring about the reprocussions the company would give them in support of the livers that decided to leave- -BUT! They'd do it, **ONLY** if they didn't have something to hide that they may have done during the whole selen situation behind the scenes. Afterall, fear is the only thing I can think of that keeps them from speaking up, so their's clearly dirt from both sides Talent and Corp side here. Personally I wanna know your guys thoughts, it just makes no sense to stay given that there are the better opportunities that are out there for these popular livers if they left at the start of the situation.
Agreed, as they could quit, give njisanji back all equiptment and other in time being there, get support by anti-njisanji people and be in better place. Now when after out of it will be justifiable vilified!
Exactly. Fans would always follow them, and even support their choice.@@klemenhudobreznik3421 Followers regained, moral standing intact And new business opportunities waiting for them if they went against the black company.
The summary doesn't really say it, but looking at the contract makes it pretty clear that you can't just leave. The contract runs for two years and is automatically renewed for another two years unless the liver applies for a graduation 3 months before that date. (Nijisanji on the other hand can terminate the contract anytime with 3 months notice.) In case of termination the contract gives Nijisanji a lot of opportunity to reduce or even keep all of your pay. Unlike Vox said, it's not always an option to just leave. In a way every liver who signed this contract is also a victim.
@@klopferatorThis As much as we would all like the NijiEn talents to stage a coup against the company, the fact is that they are damned if they do anything to bring about AnyColor's ire The contract states that you need to submit your graduation notice three months before the renewal date, but there's nothing stopping Niji from delaying your graduation date if they feel like it (could be part of the "obligations" that Mysta mentioned during his initial graduation announcement stream). If it was hard to leave Nijisanji amicably before, then it's gonna be damn near impossible to do that right now with all the drama surrounding them.
5:26 they probably know how to filter out the people that submit applications who are "desperate" or otherwise convinced (or convinceable) that this contract is "the best they'll ever get"... I have no idea about contracts and all and it STILL sounds like a Minesweeper field of red flags...
This is absurd, the PC I'm using right now costed 2k ALONE and it's not even a high end PC it's like upper mid. So the fact they're only given 1.3k for EVERYTHING is insane! Knowing this idk how Niji livers even manage to stream unless they pay out of pocket for most of their equipment... How is Niji still in business?? Genuinely..
1,3k is quite thin... And I'm thinking of stuff you need outside the dekstop-PC. Like screens, arms for phone, maybe light, microphone+arm+input device... Maybe desk, maybe some sound proofing... Last one would be fun eff you when quitting, ship them few pallets of junk...
Well even in japan some college students still have take a lesson on how running Ms. Word in college. Unless they are tech company like cover, they surely underestimated the cost for PC
And everyone wants to attack these livers and call them bullies for staying not understanding that these ppl are under their control and contract. Yall still wanna believe those 3 voiced their opinions on their own free will? Not me It was suspicious for the start and it was scripted and forced. But ppl screaming they can leave anytime yeah not when Niji has a knife on your throat.
They're doing better. Since they're closer to their fans, they get better support compared to their overseas branches. Also Mito, Kuzuha, and the OGs have a very strong hold of the vtuber scene in Japan. They might even have better contracts than EN.
Actually if you pay attention, many of them leave. Not renewing the contract, graduation, etc. My own highlight is Chihiro, member of first generation. She is actually quite successful. She graduated, but then redebut just within days. The fact that she prepared new model and persona and everything, make me believe that she thinks it is better to be indie than to stay in niji.
At this point I just hope whoever wants to start vtubing and is looking to apply for Kurosanji, will find at least a clip or even a single comment that makes them change their minds. And if you see all this shit and sign that kind of contract... well I am truly sorry but you deserve whatever comes in your future. Because honestly, that agency is a dumpster fire on a shipwrecked yacht that should keep burning forever as an example.
Soooo…… I think that these guys are the definition of a hypocritical faction that needs to be destroyed….. Oh wait *IT’S CALLED A SCAM* Edit: Also does this mean NIJItubers who sign this contract get a right to break others’ contracts? Like what we saw with the accusations against Kotoka Torahime because Yozora Mel got fired for what Kotoka did? *wait. that’s illegal*
Anyone who wants to start being a vtuber should really avoid Nijikuro at all costs. Between that and starting as an Indie, they'd be a whole lot better off starting as an indie.
So they want the leaving livers to sign an NDA? Yeah, I heard about some companies doing that Some try to sneak that in, and some are straightforward Some offer money/cash or other bonuses. But I never heard of them giving you 3 hours to sign it. Also if I remember right NDA can't be forever, have unlimited duration. NDA with unlimited duration shouldn't have any legal power at all. If I remember right, they have a duration limit. So I wonder how they expected to silence the livers after leaving with that. In many cases, NDAs have a duration ranging from one to five years, although longer or shorter durations are possible depending on the circumstances and the preferences of the parties involved.
Often, you have to sign away your right to say legit anything negative about your former employer if you want severance (personal xp). Granted, that was struck down as illegal last year. It's generally not a good idea to be publicly negative about priors, unless there are abuses than need to be known, in general, because that stuff can get around in your industry and isn't a good look.
I think this contract explains a lot of what we've seen from livers both during their career and post-niji. I'm guessing some of the others have signed the silencing contract too. What a hellish company. They need to be removed from the EN scene. They are predatory to the max. No one should support this company.
Man, that contract is a feast for every single lawyer, since like 90% of it is completely and utterly illegal and thus void :D In any normal country, signing this contract would be extremely damn smart, because you get the exposure of Niji, yet can ignore basically the entire contract and get a huge sum of severance pay, if they try to terminate you :D
"and may comply a liver to do things like tweet" explains why all the livers retweeted the Elira post, and subsequent other posts with that situation, in lockstep.
@@TheSkyheart5 No idea at this point. But she may have honestly been on hiatus at that time, I do recall things with that going on. It might have been that.
The fact that it says in the contract that livers can't become livers for another company within 6 months tells us exactly why they hate Matara and Kuro so much.
@@eldon515 They can, it's called a non-compete clause. It's fairly standard contract law and is enforceable. The part that's unusual about it is that it's a Vtuber company doing it, it's not something that typically manifests itself in the entertainment industry, or at least hasn't for many decades. Actors used to have to sign exclusive contracts to work with a studio back in the early days of film, for example. Today, non-compete clauses are usually in tech contracts or pharmaceutical company contracts. The purpose behind them is to prevent someone from taking trade secrets and helping a competitor get ahead.
One thing that's not being talked enough about I think is that they dictate where you physically work. If you don't then they terminate you. If you have to move to Japan at their request you have to pay out of pocket for travel expenses before they reimburse you. Then they say if you break the contract we don't have to pay you anything. So theoretically they could probably delay your payment and then decide you broke the contract and not pay you anything
As a fan of Nijisanji talents, NOT the company, that is the worst contract I've ever seen (and I've seen a lot as well as know my way around the legal world). This is fucked.
Well well well, our logical conclusions from facts are now "OFFICIALLY" confirmed. Can we classify every niji simp as a bad person, fire all management and make riku commit bad already?
This can't be real. Like ... i know the Livers are mostly young but ... wth. Not just that Nijisanji is just out right evil(and i can't believe this is legal, even for Japan), but how naive must you be to sign this? I hope the rest of the Livers will now finaly wake up and get their OWN Lawyer. Like ... i can't, wth.
If we're seeing this from Ninisanji, i wonder how many other corpos have these sorts of contracts. I also wonder if each contract is different for each person. The fact that a contract can be made in such a way seems predatory to the common person. Because it IS.

For people wondering how someone could sign a contract like this, do remember that all of these issues have only come out recently. If you're a new talent signing up for one of the largest Vtuber companies in the world, how could you possibly imagine there would be so many problems? "If everything looks to be running fine then the contract must be fine right?" kind of mentality.
Or not only that any aspiring liver would also have the thought of "even if this contract is bullsht and is basically slavery i would never gain a big following or fan if i go indie unless i join said company because they have a following already" let's be real alot of these livers would've never gotten the same level of success as indies, so some of them probably read and know what the contract is and signed it regardless because they're desperate for a better life, don't forget alot of these livers are young and are probably working minimum or was in retail before they become vtubers or was indie streamers/vtubers who had little to no following, so the setbacks of the contracts to what they probably would gain is a better trade for them just because of their circumstance or situation, and even though the contract was next to no profit they're probably earning more than their previous job despite what the contract cuts seem, overall some of them may know its shtty but it beats what was going on for them at the time
Especially when the fandom/oshi paints a rosey picturesque view of the company at the beginning. I can somewhat understand young new talent not knowing better that would sign such a shady contract without putting too much thought since job market/industry at that level is quite savage.
I just honestly want to know why anyone would sign such a contract. It doesn't take a lawyer to see how fishy it is, even more confusing to me at least is that a good couple of the Nijisanji or former Nijisanji members didn't exactly need to be vtubers so it's not like they had to sign it. -Pomu literally had a full-time "office lady" job -Zen, Vox and Kyo had pretty successful TH-cam channels before Nijisanji The only one I could see who might deliberately ignore it would be Mysta because of his mom. But even then dude was apparently a bartender at one stage, so he could've still made decent money. Plus I'm pretty sure his indie vtuber form was decently popular.
The promise/illusion of being richer and more famous than they are, and not giving them time to properly read it or get in contact with a lawyer before signing anything.
Raise your hand if you're surprised. We knew it was bad, but this is next level. This is an advertisement for being indie. Never, EVER, sign anything without a lawyer.
Funny thing, I remember people bashing HoloLive several years back, as though they were a dark company, and comparing them to Nijisanji, as though the later were some sort of saint and exemplary role model company. While HoloLive is not perfect, much of the time the situations they've ended up in are not necessarily their fault, and compared to companies like .Live, who proceeded HoloLive in popularity and content, yet systematically destroyed themselves by firing two of their prominent VTubers, and then a couple years ago phased out most of the rest, then there is the situation with Azuma Lim's former company CyberV that transferred her Chisey, which locked her out of her account without pay for a half year, fortunately she won the legal battle in the end and resumed activity. One thing I strongly suggest to anyone who follows VTuber, is to look up Azuma Lim's return from hiatus video, I remember someone translated it into English, so it should still be online.
The fact that the contract can do this and this probably isn’t all of it, considering the consequences is making me think that the Elira stream and all the tweets are staged
Damn from what I'm learning all these talents needed to get was a lawyer before the even contacted Niji. This is messed up, they have too much control on their livers.
That contract was written to protect the company to the detriment of the talents. In our country we can only fire employees for just or authorized causes (as stated under the law), it somehow safeguards the security of tenure of the employees.
We knew the contract was bad but yikes. This literally means they can force you to break contract.

My best guess as to why talents would sign the contract is because either
A: Nijisanji didn’t give them enough time to send the contract to a lawyer to review and so they ended up signing without realizing how bad it was.
Or B: The talent simply couldn’t afford a lawyer at that time and so signed the contract without realizing how bad it actually was.
Or just not give them any time at all to actually read it.
My other theory could have been maybe because they had friends in it, and so they likely thought joining them in this company would be great
It could also be possible that there is favoritism in such a way that only the favored talents get a better contract and a better pay and etc
You forget option
C: alot of these livers truth be told are either nobodies or just plain out under the radar let's not forget despite them being such a bad company with such a slave contract, they are still known and have a following back then, hence just like hololive or famous vtubers agency being a liver for them and debutting is always at the bare minimum better than going indie most of the time because, they get a huge following regardless as long as they're part of the agency, im not saying being indie is bad but truth be told despite some of the livers knowing how bad or bullsht the contract is, they would never have had the huge following they had at the short or same time they went live as when they went as an indie instead of under said agency.
There are some people who don't even bother to read them before signing either due to FOMO or thinking that they already know the risk/reward analysis and therefore don't need to bother reading it.
appearently they only give you 1 hour a fucking single hour to read all that shit before sign or else you're rejected

They already get so little and, Niji still want more from them, thats insane.
Sounds like a "you owe us everything" and then they proceed to take your soul away.
And they barely even help paid for it
So let's say you get a better graphics card, a new iPhone for the tracking software, splurge on asmr microphones etc, pay for all of them out of your own pocket because what's gonna 1k do if that barely covers a phone for example, AND THEN YOU HAVE TO GIVE IT BACK ONCE YOU GRADUATE?!

2:45 "If they specifically breach the list of things they can't stream, the penalty is equal to the amount of money they made while in breach or the amount they made in the prior 12 months, whichever is higher"
Holy shit.

I can understand why Anycolor's share price is so much higher than Cover's, they're basically putting almost nothing into the livers and taking at least 50% of the revenue for themselves, and owning everything, whether they paid for it or not.
Plus the shear amount of vtubers they put out. They have like 2-3 times hololive’s number of talents despite both starting around the same-ish time.

There's no minimum basic salary in the contract? There is no employee regularization? What the heck.. other vtuber agencies are way better and less restrictive.
2% from merch sales. There's a reason why some of the jokes about Nijisanji is that their talents are:
-paid in exposure
-get only 2% from merch
-have NO salary
-don't even keep their accolades personally
It isn't just no minimum basic salary. With them basically saying "You will use your money to buy stuff to use for streaming and those will be OUR stuff so you have to give them back to us when you quit/fired", you actually losing money paying niji to screw your life. How the fuck someone manage to have negative income without considering expense from somewhere else.
Nijisanji wants to uphold the view that their talents aren't employees, but only contractors, while at the same time restricting them so much and dictating their activities in a way that's fundamentally incompatible with that view.
That contract just sound really bad to even sign it in the first place
Think of yourself as a new and unknown vtuber. You'd sign it.
The exposure alone is worth it. Build a fan base and then leave as an indie seems to be a great plan.

Oh hell Noooooo NIJI.
No shit. Like, if they payed for all expenses, 50% could be fair, if the expenses are super high. If they payed for everything, having a return policy where they get their property back could be fair, so people can't use the system to get free gear out of it. But they don't. So the 50% are basically just for marketing. And that's way too much
@@melonlord1414If you get fired from your job do you have to give them back everything you've bought with your salary for the time you worked there? No you don't and that's why this is fucked up.
@@melonlord1414 True. The 50% is understandable as the talent is using company's IP BUT having only $1k to support the livers despite them doing everything to earn for the company is bollocks. And they don't even offer a base salary like Cover.
YIKES!
@@RejectHumanityReturn2MonkeIn fairness, I don't think the Cover base salary is super high, and it's also denominated in yen terms. Kiara was talking about this on-stream recently; the exchange rate between the Yen and the Euro is horrifyingly bad, you lose almost 50% at the moment. So the actual purchasing power of Kiara's base salary, living in Austria, isn't that great. But anything greater than zero is still better than zero, I suppose.
I can take everything except the property return. I mean if I paid more than half the cost I'm entitled to own it
I have seen some tweets saying this is illegal even by Japanese standards and if so niji is destined to fail in the near future.
I’m curious when the Japanese will start translating this contract and how many will find it acceptable or not as a face image.
Also fun fact; the Japanese Government can take down companies that are shameless(?) if I recall.
@@ArcanistShion nah bro they will defend the yacht slave company
I work in several Japanese company in Japan.
My first company was quite "black" as they were able to terminate contract instantly due to "mental problems" DESPITE Japanese rules of one month notifying to each party that the work contract will be terminated.
The current one is legit and they give me 2 weeks for the contract, and actually is legit.
So yeah, it is just ANYCOLOR here, not Japanese companies in general. There are good and bad companies.

But termination though, is similar to Niji, sometimes your boss can terminate you because of "mental and spritual problems" and you got to sign that termination it RIGHT THEN AND THERE. Honest question. What does Niji even provide to their talents? From what I gathered they are just there to tell them what to do and take their money but contribute nothing in return ...

C.) read it, but said “fuck it. I’m getting exposure.” lol
Now I’m wondering about how Hololive contracts was for Advent and DEV_IS since they are the newest groups.
Nah bro. If they is one entity holo adv will be 6 person
This can't get any worse
Narrator: in fact it did get worse
They literally broker federal labor laws at one point and my only regret is not suing

Preach my guy knowing your self worth and value is better than slaving away at a job you hate, I've also felt that way on my first job and after i finally moved on to another i realized i should've left the old one sooner
There's no way that this contract would hold up in any American, Canadian, or English court.

Like the skinwalking and why the video felt like a hostage situation
Yeah this does push forward the hostage message
They bring in money, they establish brand, they encourage others to join to replace them when they get to tired to stream..."
"That sounds like slavery with extra steps!"
@@groerhahn225 you say "face the facts," yet you don't provide any yourself. From what I see from this video about niji contract, talent literally going minus income from this, which is insane considering it is a goddamn job which on basic level is to provide income to survive, not losing more money working.
Niji transform from yatch company to slave company

The summary doesn't really say it, but looking at the contract makes it pretty clear that you can't just leave. The contract runs for two years and is automatically renewed for another two years unless the liver applies for a graduation 3 months before that date. (Nijisanji on the other hand can terminate the contract anytime with 3 months notice.) In case of termination the contract gives Nijisanji a lot of opportunity to reduce or even keep all of your pay. @@129dasWhen Nina talked about being in debt, I was wondering how? Now I have the other thoughts of "how the hell did they make it this far?!"
But ppl screaming they can leave anytime yeah not when Niji has a knife on your throat.
im actually so curious about jp niji livers rn, whats going on with them i wonder?
Probably business as usual. Assuming they're under the same contract then they're SOL anyway, they live in Japan and play by their laws.
Oh wait
*IT’S CALLED A SCAM*
Edit: Also does this mean NIJItubers who sign this contract get a right to break others’ contracts? Like what we saw with the accusations against Kotoka Torahime because Yozora Mel got fired for what Kotoka did?
*wait. that’s illegal*
Anyone who wants to start being a vtuber should really avoid Nijikuro at all costs. Between that and starting as an Indie, they'd be a whole lot better off starting as an indie.
@@R_Caine Gotta admit, now that all of this shit's coming out the woodwork? i'm glad my niji application failed, shit me..
@@R_CaineAbsolutely. The idea of ANYTHING I buy can count as a work expense that I have to give back to Nijisanji despite me paying for it, hell no!
So they want the leaving livers to sign an NDA?
Yeah, I heard about some companies doing that
Some try to sneak that in, and some are straightforward
Some offer money/cash or other bonuses.
This was a gag order on top of her NDA. This would have prevented Sayu from releasing "One Girl's Story".
Imagine those niji defenders still on their side after seeing this Contract information. Its like a contract with soul as collateral.
I think this contract explains a lot of what we've seen from livers both during their career and post-niji. I'm guessing some of the others have signed the silencing contract too. What a hellish company. They need to be removed from the EN scene. They are predatory to the max. No one should support this company.
This is making me even more happy that application to Niji I submitted about 10 months ago went nowhere.
My favorite part was when it said, "If you stream, you are automatically agreeing with whatever we write in the contract amendments"
I already seen Sayu talk about the contract
Damn…. Whats crazy is… anycolor couldve had their en livers bash sayu as well. Before this contract was leaked… we wouldn’t have known this.
Idc who's a bully and who's not but they all legit need to get out of there. Even if they're staying to calm their audience, it's not worth it.
If even 1/10 of what's alleged to be in the contract is actually in the contract, that's already exploitative.
Bad idea to use Doki in your thumbnail. We don't know who shared the contract
This is less like a contract and more like a hostage situation.
"and may comply a liver to do things like tweet" explains why all the livers retweeted the Elira post, and subsequent other posts with that situation, in lockstep.
I wonder why Scarle's tweet was missing. Did they forget about her or is something else going on?
@@TheSkyheart5 No idea at this point. But she may have honestly been on hiatus at that time, I do recall things with that going on. It might have been that.
The fact that it says in the contract that livers can't become livers for another company within 6 months tells us exactly why they hate Matara and Kuro so much.
I sure they cant prosecute someone for taking a job, that's just ridiculous.
Wow, most of that contract would be considered illegal and a breach of the work-related laws in my country.
In western law I think much of the contract would be unenforcable due to conflicts with assorted laws and the concept of unconscionability.
There's a clause on there for that too lol
Well well well, our logical conclusions from facts are now "OFFICIALLY" confirmed. Can we classify every niji simp as a bad person, fire all management and make riku commit bad already?
"Give us a YIKES in the comments" - Nijisanji
So what you are telling me in the black screen in the pre-recorded stream was actually the livers hinting at Niji being a "black company"
How did nijisanji even get this big with contracts and support like that?!
so glad that one time i put an audition out did not get accepted XD im gonna roast some marshmallows on this shiii
If they hadn’t said that he couldn’t voice act at all anymore I’m certain reading this contract would of made CyYu nope out from joining.
If we're seeing this from Ninisanji, i wonder how many other corpos have these sorts of contracts. I also wonder if each contract is different for each person. The fact that a contract can be made in such a way seems predatory to the common person. Because it IS.
Everybody who ever talked smack about Sayu over her termination owes her an apology.
Wasn't she terminated for being a shotacon?
@@Mac0bra_no. i'm not the hugest fan of zaion/sayu either but that absolutely wasn't the reason she got termed. not even nijisanji listed that as a reason, and they had a boatload of bullet points. the statement they released is easy to find, and you can find sayu's own statements on the matter pretty easily too.
@@Mac0bra_ No, she wasn't... she was just fired because Niji realized that they couldn't break her enough to not be an independent acting woman.
@@esavvysavokiii1277 If being fired for being a shotacon or lolicon would be a thing, half of the vtubers would lose their job. At least half :D That would be like firing all pedos in hollywood and then trying to find enough people to produce a movie with 3 actors... you would fail :D
@@acmenipponair you think a hollywood production without pedos would get far enough to have ACTORS? buddy, you wouldn't have any writers, directors, producers, or film crew. wouldn't even have a concept let alone a show 🤣
And this is the company people want to protect. In what world do they think any of this is right?
-Pomu literally had a full-time "office lady" job
-Zen, Vox and Kyo had pretty successful TH-cam channels before Nijisanji
The only one I could see who might deliberately ignore it would be Mysta because of his mom.
The contract should be renamed as servitude of slavery
It just gets worse and worse as it goes
Damn from what I'm learning all these talents needed to get was a lawyer before the even contacted Niji. This is messed up, they have too much control on their livers.
know i undertsand why kurosanji make soooo many "garduate" event. they source of income are talent penalty....
more graduation more penalty money....
That contract was written to protect the company to the detriment of the talents. In our country we can only fire employees for just or authorized causes (as stated under the law), it somehow safeguards the security of tenure of the employees.
