Because it matches the definition of derivative work. If you ever heard about cases in which musicians sue each other because of song similarities and settle out of court by paying millions of dollars each other, this is what my case would be.
That's very unlikely, because the song is in major. Major is my least favorite scale. I almost never listen music in major and have no innate feeling of what sounds good. And since I write music purely using that innate feeling, it's straight up impossible to me to work with that song, as with any other song in major.
