Than you for this. A huge amount of these LLC tutorials on youtube have some tbh sleazy young guy usually using the same 3rd party site where they push the expensive formation plans and stuff. They also happen to get a kickback if you use their link, funny how that works lol.

Hello Elizabeth. This was a very great and helpful video. This seems so simple. To wonder why we need to pay other businesses to create it for us. Three things I would like to say and ask. 1.So when filling online, is the worksheets that are being filled out the "Articles of organization"? 2. When does one submit the "statement of information LLC" during the registration process, after approved by state or other time? 3. I didn't notice that you have an updated video on this matter. I am stating that because as of July 1 2022 till June 30 2023, the state is NOT charging the $70 filling fee. Well that's just what I saw today at the states check out page. It may be good content. 🙂 Thank you in advance.
Yep you are filling out articles of organization. You do the SOI after the formation is approved by the state. Yep they are not charging the $70 fee for a year.

Good straight forward video. I think you mentioned that one can opt to delay the effective date of the new LLC from the SOS CA website. How long can one delay the effective date of LLC for? I want to start my own tax practice as an LLC in CA but don't know how long it will take to get any clients. I will to delay at least one month until I can gauge the client level. Thanks
The future filing date can be up to 90 days in the future of when you submit the form.

I am starting a restaurant with my wife. I am about to file for an LLC in Los Angeles and i do have a few questions for you if you don't mind:
1) Can the mailing address and the physical address of the business be the same?
2) You said that I can be my own registered agent. Can I use the address of my business as my address where I receive any legal document rather than my own personal address?
3) for the "organizer email address": Do I have to put my personal email address OR my business email address ? Does it matter?
1 - yep
2 - the registered agent address needs to be a physical location address. So you'd either use an outside company, or use your location address (if you work from home, then it's your home)
3 - doesn't matter but I'd put a business email, just in case that email is publicly available.

If I purchase an office space to use as my address and mailing address (they have a forwarding service available), could I then use myself as the service of process/registered agent?
I’ve been looking into NorthWest Registered Agent like you’ve mentioned, and from my understanding it seems that they too can let you use their address as your own physical address and have mail forwarding as well. I guess another question would be if you recommend them for this service as well? Unless I’m totally wrong and that service is just for being the registered agent. Thank you in advance
Technically the registered agent address is supposed to be where someone is physically so they can be served with legal documents. So if it is a co-working space where you are at sometimes, that's one thing, versus a virtual address. Yes my understanding is that northwest will serve as the RA and the physical location address. I think they also allow the address to be used as the mailing address in the LLC/Corp initial filing, but not sure if they let you use it for all mail. Typically people also get a PO Box or virtual mailbox for regular use.

Hm I don't have a "best time" of year but usually if it is in Dec, I'd file it to be effective Jan 1st so you can have one more year of no franchise fee (under current rules). I talk some about LLC formalities here: th-cam.com/video/1F4wUZ4mJtw/w-d-xo.html

Welcome! If you want your LLC to be taxed as an S Corp for example, then yes you'd file the 8832. But if you want it to just be taxed as the default (if one owner, as a sole prop) then don't need to file it.

When it says address, do we enter our home address(small business) or CA agents address?
It depends upon your registered agent. Some of them allow you to use their address for the business location address, and others do not.

You have to check with the particular bank - they will have a list of what they need. Many don't need the Operating Agreement but a few do.

It will probably go through (and is fairly common) but technically it needs to be the physical location. Many people use a commercial registered agent like www.northwestregisteredagent.com/

No the DBA is totally different process. If you use Northwest as your registered agent, then you pay them a yearly fee for that

1 - Yes you can be individual for the registered agent.
2 - Yes you can use a work address, it just needs to be a physical place where someone is.

Not sure about your question but generally a living trust can own an LLC -- you'd just change it to be manager-managed so the human owner manages it and the owner is the living trust.

I have a question, i recently opened up my small independent car dealer business so I have already obtained my license under my business name. I wanted to add the LLC to the name, is that something I can do since I’m already orating as a business in California ? I already have an EIN and catfa tax forms. If you did not have an EIN (if you just had a DBA), when you switch over to an LLC then you typically need to get a new of everything (a few things can be just switched over, but usually you need new ones). But if you always had an LLC & just didn't put the name right in the forms, then you can try to amend the forms to fix them (probably need to email or call whomever you filed them with to get the right forms to amend them).

Hi Elizabeth. Thank you for a great video! In November 2021, I applied for EIN and seller permit for my e-commerce business as a sole proprietor. If I switch my e-commerce to an LLC, would I have to get another EIN number? Secondly, I have another business as a consultant, if I also switch that to LLC, do I get a separate EIN for the consulting biz or do the e commerce business and consulting business share the same EIN? (Since it’s still me who is the principal of both business) I want these two LLC’s to file tax as S corp. You’re amazing to take the time to help everyone on here. Yes the LLC taxed as an S Corp would have its own/new EIN. And, if you get a second LLC, it would also have its own EIN. At the end of the year, you'll file S Corp tax returns for each and create two K-1's to give yourself to pay the taxes on the profits.

Hello, thanks for all of your informative videos! Quick question regarding assembly bill 85 in California. If I file all my paperwork to create an LLC sometime during November 2022, am I required to pay the franchise tax by April 15th of 2023 as per standard requirements making that the "second year?" Or, does my second-year start after the date of creation meaning Nov 2022 to Nov 2023 =year 1 and my first franchise tax due would be by April 15, 2023? I hope this question is easy to follow and makes sense. My apologies ahead of time!
No problems, it is confusing! So if you file an LLC in Nov 2022, then you don't have to pay the minimum franchise fee for tax year 2022. You'd typically file that in early 2023 with your LLC tax return. But you will owe the $800 for tax year 2023 -- the state wants you to pay that as "estimated tax payments" during 2023, but some people just file it with their next tax return (due early 2024) and pay the small penalty for not doing estimated tax payments.

Can you do an updated video on how to file SOI in California ? As of January 2022, everyone must file a complete SOI. It no longer has the shorter option of “no change filings”.Thank you.

Going from sole propietor to LLC (retail store front) I have so many questions I am so lost.
1) Do I need to refile by Tax Permit and Ficticios business name again?
2) Do I need reapply or reopen my credit card processing service which is under my name obviously and with my social security ( I also don't have an EIN)
3) Do i need to reopen my business bank accounts which are also under my SS # and open them under my EIN?
Sorry for so many questions but I can't fund much information on established retail business 😅 who still run as a sole propietor and store front at that lol. I am really behind in all this and I've been in business for some years. I am very ashamed of myself for not organizing my business but I am just really good at selling and not so much at paperwork and filing.

2 - usually yes but not always, sometimes you can switch it over
3 - usually yes because the business checking for an LLC is a different type of account than for a sole prop

Thank you this!!! I’m wondering whether to start as an llc with a dba or just dba. I know the dba doesn’t give me protection as far as someone else using my name but an llc would Right? Main reason I’m wondering is due to the $800 or more tax… whether I’m a dba or llc I’m still 9/10 going to be paying $800+ for my taxes ,so starting off it doesn’t make a difference if I’m LLC or dba correct?
Having an LLC doesn't give you protection really -- it just keeps someone *only in your own state* from having the exact same LLC. If you want protection over a name, you'd need a trademark. Yes I agree that the $800/year minimum fee means that for many new biz owners, it makes more sense to be a sole prop / DBA.

So I watched your video over the last weekend. I did everything you explained in the video to set up my LLC but I have nothing in my email and nothing hitting my bank account. And even more strange, I go to the bizfile login page and it doesn’t even seem like I set up an account which I did do. Recommendations?
Hm well bizfile does have glitches still and it does take them usually 3-5 business days to process (a person reviews and accepts it) so that's when you'll get the email etc. There's no $70 fee right now (special rule for right now) so you won't see that charge. But are you also saying you can't even log in to bizfile? You could try resetting your password to see if that resets your account so you can login (and then see the pending LLC in your "work queue").
Please help! I almost purchased my llc using the same process last night but stopped because of options like legal zoom and incfile that include other documents and features, are those needed? I also already have my EIN. I just need help clearing up what I actually need to start selling physical products online (clothes).

You'd just do a Statement of Information filing to change the addresses -- not a big deal. Might have a fee of $20, depending upon when you filed the last SOI.

You may need to file quarterly tax deposit to CA and/or the IRS, but that depends on how much profit and other income you are making. Yep you can be your own registered agent but yes you'd need to share a street address. You can use a virtual address for mailing but the RA address needs to be a street address

It could be run by the Members (the two of your) or you can pick multiple Managers or just one of you to be the Manager -- it is up to you. Depends upon how you are going to run the business day to day -- who will make the decisions.

No, you do not automatically get an EIN. The state doesn't give out EIN's -- the federal IRS does. You can apply for the EIN at: www.irs.gov/businesses/small-businesses-self-employed/apply-for-an-employer-identification-number-ein-online

For an LLC filed in California,. if you file online, the bizfile system is creating the "Articles of Organization" for you.
Hello, my question is, can we open a business bank account with the copy of the filing before the LLC Business is officially operating? (Dated in the future weeks/months)
The bank will likely want the "file stamped" copy that says it is accepted. Also, if it ends up having some error that you need to fix, that won't be the right document anyway.

Hi! I have just watched a lot of your videos! Why would I choose a company like NorthWest to file for me instead of doing it myself? There must be a good reason right? Is it much simpler?
Tbh I’d just do it myself. But sometimes people try to and they are overwhelmed, which is why hiring it out can be a good idea

You can put multiple biz in one llc, if you are ok with them all being liable for each other

How differently do we need to file LLC with purpose of transferring real estate title when its husband and wife?
Well if the LLC is going to own real estate it is usually created the same, but you'd need to retitle the real estate (and also transfer mortgages etc.). One spouse can't transfer community property (like real estate) without written permission of the other

Great question! While filing this form legally sets up the LLC, you will also need to do other things to get the business itself set up. The registered agent address and the business street address need to be a street address - the system will reject a PO Box in those fields.

Yes you can use a CA LLC to buy real estate in other states. The issue is whether you'd need to register as a "foreign LLC" in that other state (which depends on that other state's rules). Sometimes also people hold each property in their own LLC to minimize risk, but as you can imagine, that can get expensive.

Question I just finished an Entity name reservation for my LLC and when I went to do the Articles of Organization it asked me if I was using a previously reserved name and I put yes and it asked me to select a reserved name but it just says select an option and doesn’t let me select. Is that bc my registered name is still pending ??😅
Hm yes my thought is that the name reservation has to be processed first. I just checked (www.sos.ca.gov/business-programs/business-entities/processing-dates/) and today (4/13/22) they are processing name reservations that were filed online on 4/7/22. So looks like it may take a few more days.
You mentioned that you can select to be your own registered agent but that a home address would be on the public record. I’d like to be my own registered agent but am I able to use a virtual address for privacy? I’m also going to use this same virtual address for filing my LLC, business licenses, and etc. is that fine or does a registered agent need a completely different address?
The registered agent address does not need to be different. Technically the RA address needs to be a physical location where a human is there to receive legal service of documents, but there are people who use a virtual address. (Some state databases "know" that the address is virtual, but that's not true everywhere.)

In California you need to use LLC, L.L.C., Limited Liability Company, or you can abbreviate Ltd. Liability Co.

You can have one manager for a one-member company, that's fine. You'd just be the member and the manager

You can have just one LLC, but many times people have multiple LLCs (or even LLPs) for liability and tax reasons. The idea is that each property is in its own LLC to protect it from the any liabilities from the other properties (sometimes all the LLCs are owned by one umbrella LLC). I recommend talking to a tax person about it, because there are special rules for real estate / rentals and you want to be able to take advantage of them.

If you are going to do both, file the LLC and then as soon as it goes through, file the trademark. But don't put off the trademark if you are going to put off the LLC. You only need a DBA if the name you use for your business is different than the legal (LLC) name.

Yes it is based on calendar year (so like 2022) regardless if you only formed your LLC for a short time in that year. So yes your "free" first year would be 2022 even if you created the LLC today (October). Note -- the "free" first year rule is only for 2022 and 2023 unless they add additional years.

I've received a few letters from CA CERTIFICATE SERVICES in San Francisco, Labor Poster Compliance from San Diego and another one that is a certificate too, but I have to find out which city. They all want fees. Is this procedure after your llc is approved? Thanks
They are trying to trick you into sending them money for posters. While it is true that if you have employees you will need labor posters to communicate certain information, you can download the PDFs for free www.dir.ca.gov/wpnodb.html or get cheap ones from the office supply store.

Yes you can use an Arizona LLC to operate a business in California. You might need to register as a "foreign LLC" in California, though. The other option is to merge the Arizona LLC into a (new) California LLC, to move it to CA.

I heard you can get dinged twice for LLC fees depending on when you file during the year?
So if you created an LLC on Dec 1st, for example, then yes you could be liable for $800 for the first calendar year (that's only one month) even if the business didn't actually start, as well as the next year (when the business was actually launched).

Ah so that means you need LLC (or similar like L.L.C. etc) after the name. That's the "name designation" you need. Sometimes people will forget that or they will put Inc instead of LLC
