The essence of law, to prevent the intrest of minority shareholder, by matching the offer of majority shareholder SHOULD BE RESPECTED IN ANY CASE as discribe in the takeover regulations.
No law should be made to override that principle. The deal for each type of shareholder must be SAME & MATCHED. No tricky bargain be allowed.
The memorandum & article of association do not allow discrimination among the same class of shareholder. The person doing disrimination is overriding the MOA & Article of association & liable to punishment.
SECP & PSX should investigate the matter.

No hard and fast rule. In the case of Bank Islami, it has approx 1 billion shares. 1,007,912,090 to be precise.
