      Yes, that is true, my recommendation is to focus on your shareholder agreement. Minority shareholders in a private company are not in a strong position especially on exit.

    HI, Do i understand this correctly. The cipc only issues the MOI with proof of the amount of shares available in the company. So where is the record for the amount of shares owned by individual people.(as i understand it now it it is completely managed by the directors and printed by them and issued)

      Hi Anton, yes you are 100% correct. Its crazy, but that is how the law is written. Eventually SARS will have the shareholder information as it will form part of your financials.     Hi, when I registered my company, I didn't allocate shares. In my MOI it states "no more than 0 shares of a single class share". And do not have a share certificate. I need to open a business bank account and need a share certificate. How do I create one if I have zero shares issued in my MOI?

    Hi, i want to register my business and i am the owner, i have no partners or anything of the sort. I dont really understand why i need shareholders and i dont really want people to be able to invest and take ownership of the business. I want to be the only person who has ownership, how do i go about that?

      Hi Damian, Great question. You will be BOTH the director (The person who manage the business on a day to day basis) as well as the 100% shareholder (The person who owns the company) Most start up companies with sole directors are also the sole shareholders. I hope this answers your question.

    i have registered a new company(with half a billion authorized shares) with a standard moi but ive only recently added 3 new directors and one of which is my business partner. how do i go about in allocating shares?

      Hi Motsepe, Wow 500,000,000 is a very large number of authorised shares for a private company. I suggest you take a look at my video covering this topic th-cam.com/video/SXCJgoDyaAs/w-d-xo.html
      Remember the value of the company has nothing to do with the number of authorised shares and having such a large number of shares complicates the calculations.
      To decide how many of these shares you are going to issue and to whom, I suggest you simplify matters by doing the initial calculations in percentages and then working backwards from there, this also depends on how many shares you intent to issue in total, from the 500,000,000 and how many you intent to leave unallocated for future use.

      Hi Molatelo there is a different process to follow when issuing shares for the first time vs transferring shares from an existing shareholder to a new shareholder. To answer your question on issuing shares for the first time, you simply minute it, write it up the share register and issue the share certificate www.sharevault.co.za will do all of this for you.

      Hi Junior, my video was aimed at private companies, but the same principles apply when dealing with public companies. If you would like to buy shares in a public company listed on the JSE you would need to do so via a stock broking company. Most of the banks also offer a similar service.       Hi Rezwan, CIPC does not capture, maintain or issue any shareholding information. In fact, they don't know who the shareholders are on private companies. I know it is absolutely crazy, but this is how the companies Act was written. Anyway, we can help you out with share certificates.       Hi Zaydan, did we submit your registration or did you apply directly with CIPC? If you did it directly with CIPC then you should start a new application and you will receive a new tracking number.

      Hi Angel, sadly we do not have representation in the USA. The reason for this is that we are South African based and all company legislation differs for country to country.
