Maryland license express website allows you to apply for your business license (LLC or C Corp) easily and quickly, you can complete the entire application over your 15 minute break at work.

Arthur Toole actually I do. I noticed that there is a company in another state with the same name I plan to use. Is that an issue? I want to make sure before I submit payment.
@@truth517 In regards to applying for a business license in your state, no there is no issue. Your state only cares about businesses within their own state. However, you may run into an issue if the other company has trademarked their name or have a logo of their company name.

Also, there’s an additional question on the site since you made this video. “Will the registering entity require a business or industry license (yes, no, unsure)?” I am solely forming an llc for tax purposes. IT depends on what's most important tax wise, the type of partnership(if any) you may have, and the type of protection you need. The process in this video works for any business structure you want to set up in Maryland. Thank you for the kind words. To answer your questions - 1. If you believe you are going to move forward and make this a business, yes. If you are testing out the idea, you can wait for now. You can register your business on December 31st and it still counts as having a business for 2021 2. Absolutely. I strongly encourage you to have a separate account for your business. Many people get into trouble for commingling personal and business expenses/revenue 3. If you want to create a business checking out, you will need to register your business first. With that in mind, it wouldn't hurt to start now. However, this is all your choice. Check out the SBDC in your area. They have free business consultants that can assist as well.

Thanks Arthur! Can you further explain how to register if starting a business with a spouse. Also, since a po box is not accepted for registered agent, would a virtual address be accepted in that section that you mentioned? and could the business virtual address be used here as well although the agent (individual) may or may not be at that address? :)
hmmm...I am unsure about the virtual office. That varies by state. I'd reach out to the Secretary of State or your local SBDC and ask them directly.

Thanks for the kind words! As long as you have an actual address in Maryland, you can create a business here. You can use whatever address you’d like as the registered agent. However, you will need you use your Maryland apartment as the physical address. We have local small business development centers in every county in Maryland. They will help you further for free! Just Google SBDC bear your Maryland zip code.

Amazing video, thank you!! Question for you: I am about to launch a line of products which I'll sell on etsy and in retail stores in the MD/DC area. I literally only have 1 small product ready to sell. At this point, do I need to register my business? Is there any benefit to registering it? As a quick background: I've kept track of my costs. No income has been generated.
I would, if I were you. The sooner you can separate your personal finances from your business finances, the better. Also, if you don’t have a business license to house your business, your vulnerable. A customer could sue you directly and possible. This could take your personal money. If you set up a business, then they could only go sue your business (some expectations apply). Does this make sense?

My screen looks a little different from yours after contact information I see Business License. It says in order to operate in Maryland , will the registering entity require a license that is. Issued by the state . I click yes right?

Thank you for this video however, I'm trying to open a credit repair company and there was a whole other form that was needed and it costs $950.
True.. You also need to obtain a surety bond I believe. Here's the only link I know about that deals with the extra streps you have to take. www.dllr.state.md.us/finance/industry/licfees.shtml#creditserv. Congrats on launching your credit repair business. When done right, it can be very lucrative. In today's environment, a lot of people will need your help. Also, consider business credit services. If you have questions, I will try to help. I used to provide that service in another state back in 2008.

That’s odd. Are they giving you an error message or anything? Google SBDC for your county. They are a free resource for entrepreneurs. They can assist you with this. No need to pay someone for it.

I'd register your business first and then go after your food handler permit. However, I have no experience in your industry.

Hello Mr. Toole, Question for you: isn't filing Articles of Organization for an LLC distinct from acquiring a business license? From what I've read so far, applicable license(s) have to be sought after an LLC has formed in order to "operate in the state of MD". Please clarify for me, and also, how one can determine the types of license required for their new business.

Thanks for the advice. But I have a concern, I set up my EIN number up with IRS before I registered my business. Do you have any suggestions on how I should fix this before registering?
Good question. I would check and see if the company name you used is available in your state. If it is, then there is nothing to worry about. If it isn't, then select an available name, register that with the state, then contact the IRS and have them update it. Giving the economy right now, they may not answer. If they don't you have two options (1) register for a new EIN for the business name you were approved for at the state level or (2) wait until later in the year when the IRS staff are available and update it then. As long as you do it before the end of the calendar year, you should be ok.

An LLC is fine. The major reasons people go for the corporation is for the tax reasons. You pay taxes on your revenue once for a llc, but you pay taxes twice in a corporation (once for the revenue the company earned and again for the salary you pay yourself. It doesn't matter what day during the year you filed for your business license really as long as you do it in thee same calendar year you start your business. However, if you want to have a business checking account, it would be best to go ahead and get your business license now. If funds are tight though, again, you can wait all the way to December 31st to file and it will still count as having a business registered in 2020.

I have applied for my business license..and now awaiting zoning approval...but having an issue where I cannot have inventory stored at my home address...why is that?....I will be running a clothing business as a sole proprietor...and will ship items from my home address.
Who told you that you couldn't? Also, what led you to go asa sole proprietor versus an LLC or C-Corp? Which state are you registering your business? There may be some quirky law I am unfamiliar with. I'd recommend you reach out to the SBDC closest to you.

Great questions! You don't have to add LLC Inc, etc. at all. Your business name is enough.

Thank you so much ! I do have a question let’s say if my mailing address is in another state but my business primary headquarters is in Maryland would this create conflict? The truth is I reside in nyc but the requirements to start an LLC in nyc are a bit costly ( ex. The publishing requirement) I do have family in Maryland so I am not creating a random address from scratch however it would be easier to receive my mail directly IF it isn’t an issue over all. So, I would consult an attorney on this one for the official answer. However, I will share my experience. One of my businesses is registered in Ga. I used to live there before moving to Maryland. I continued to leave it there and it operates there. Since most of the business is conducted there, I was told that it was fine. They will ask you for a “registered agent”. That will be the person and address they will send information to. If you have someone you trust that can be your registered agent that lives in the state, you might be ok. However, they really need to be someone you trust. Again, I’d run that past an attorney to be sure.

It seems you cannot do the trade name in MD until the state approve the application and the system is in their system.

Hi. You can register as either. The reason people select llc over sole proprietorship is because of the extra protections it offers from a tax perspective. Also, it give you more protection if someone wants to sue your company and go after your personal assets at the same time. The EIN is the tax ID. I would wait. If you get the EIN before you get the approval, and you end up getting your business license application denied by Maryland, you would have to setup the EIN again for the new business name you used. Does this make sense? When ini doubt, your local Small Business Development Center will assist for free.
The combined registration dealing with taxes is a bit more complex. They asking questions that doesnt apply to me but can't move on without answering
Which questions are you having the most trouble with? Also, if you want, you can contact a Small Business Development Center near you and they will assign a business consultant to you for free.
