Let's say an LLC registered in Wyoming entitled Xaax LLC has three SaaS products (Saas A, B, and C), and an investor wants to invest in SaaS A... so the founder has decided to pull SaaS A out of XaaX LLC and form SaaS A, Inc as a C-corp in Delaware. What is the feasible method? And how to run multiple products company?
One feasible method for pulling out SaaS A from Xaax LLC and forming SaaS A, Inc as a C-corp in Delaware is through a statutory conversion. This method allows you to transfer the LLC’s assets and liabilities to a C corp without having to dissolve the LLC altogether. The LLC’s former members become corporate shareholders. It's important to note that it is a bit more legally complicated (as it involves creating a merger plan, etc) when it is time to incorporate Delaware C-corp. You could probably start off normally as a Wyoming LLC and later when it is time to convert, take additional legal help (StartGlobal can help with both)

Annual income. Taxes have to be paid quarterly if you have to pay more than $1000/year as taxes. Otherwise annually. Yes, there are reports to be filed even if you have no US income. They are mandatory and come with huge fines, if not filed.
Yes, as you'd own physical assets in the country, you mostly would have to pay US income taxes. There will be federal income taxes no matter the state where you form your LLC.

Hi there, is a digital product sold and created form outside of US considered as taxable or not? From my understanding it is not. Thanks for all the useful info. I’m referring to Delaware.
From a federal income tax point of view, it is not taxable. However, certain states consider it as a 'product' and thereby imposing sales tax on digital products. (I know it isn't sorta fair, but it is what it is). And to trigger sales tax in a state, one has to cross a minimum threshold in that state. So as long as you stay under that threshold, you needn't pay sales tax either.
I thought that a single-member LLC started by a non-US resident with no physical presence in the US that sells digital products globally is supposed to pay 0% tax in the US. However, your tax estimator tool calculates 30% federal income tax. Why is that so?
It depends on the digital product. Some states have started considering it as royalties. In that case, it is considered as FDAP income and therefore 30% tax

Hello, I'm providing dispatch services to small trucking companies from US. I'm located in Europe and I'm thinking of setting up my LLC in Wyoming. I don't have any physical assets in US and I get paid based on companies percentage from services I provide. Would I pay taxes when I open my LLC? Thanks!
If your services are performed from Europe, then you most likely wouldn't have to pay federal/state income taxes. Although, specifics have to be looked into :)
Hello, could you please tell me if as a U.S. non resident I could use an LLC to open an account with a US broker so I can invest my savings and once in a while pay myself so I can retire in Mexico?
I'm not a resident or american citizen. If my BVI company open a Delaware LLC and buy common stocks through this US company will the dividends be taxed if i never withdraw them from the LLC?
Most likely it will be taxed since an LLC is a disregarded entity and therefore from a tax point of view, it's a foreign company buying the stocks. Therefore the stock broker would most likely deduct 30% taxes (dividends is FDAP income).
This is a much more detailed explanation I've come across. I have a couple of questions that would your help to clarify: 1. Can an LLC formed in Wyoming be used for different kinds of business? I've planned to do ecommerce (dropshipping) but also want to scale it into a digital agency sometime later. 2. If the dropshipper is based in the US and sends products to US customers, will this still be taxable for an LLC formed in Wyoming (since it is considered US-sourced)? 3. For the state sales tax, this will be based on the state of the customers I'm selling to, right? That means I'll have to keep track of all US-based customers to see whether it exceeds the threshold of individual state my customers base in?
1. Yes, you can. 2. Yes, most likely it will be taxed. 3. Yes, it depends on the state where the customers are located. If you use shopify or other builders, you can use Taxjar (or similar tools) to automatically track and take care of sales taxes.
Such incomes are generally considered as FDAP incomes which will be taxed at 30% for non-US residents by default. This tax will be normally withheld by your US broker. If your country has a tax treaty with US, the tax rate will be reduced.
If the freelancer is providing personal services (e.g, consulting, software dev, designing) from abroad without any US dependent agent(exclusive contractor, full-time employee, etc), then the income is NOT considered to be foreign sourced. Hence federal income tax won't apply
@@startglobalhq aha okay , even through he work "online" with local business based in usa , That doesn't make difference & still no federal tax, Right ?
What if I am only doing Amazon? About form 5472? Some US lawyer on here says if you don't file it every year and also file it correctly and on time you get auto fine of 25 grand from the lovely IRS And possibly form 1040?
I'm an online English teacher, and since my line of work is similar to consultants or designers(we conduct our services in a similar way, provide a service online and get paid), can I open an LLC with you and get a US bank account?
Just be aware that creating a US LLC comes with administrative/financial/legal responsibilities. Definitely look up how much it costs to get an accountant to do your LLC tax return. US LLC's have significant advantages, but they are not for every person in every financial situation. (In the country I am resident in, most people consider it not advantageous to have a US LLC. But of course everyone's circumstances are different)
If it's an LLC, you may not have to pay federal/state income taxes. But but but, some states are planning to consider SaaS as digital products. If that's the case, you may have to pay sales tax for those revenue you make in those states. If it's a C-Corp, you'll have to pay corporate income taxes.
A feedback and a question In the place where it asks for income, please mention of its annual and currency symbol to avoid confusion for non us residents. I am from India and planning to register an US business remotely. It's going to be App members memberships fee based income (is that taxable?) and no physical person there. Is New Mexico a good choice or should I prefer Wyoming for any reason? Please share your opinion. Also, US- India have tax treaty. In that case shouldn't the federal tax be zero? Because your tax estimator tool was showing tax amount for the Mobile app business as US source of income.
Thanks for the feedback. Duly noted. Regarding your app membership fee based income: generally speaking, access to apps and SaaS are considered as a royalty by IRS. Think of it like this: Developers make a software and they grant their users *license* to access their software for a fee. So, they are essentially charging a royalty. And royalties are considered as FDAP incomes (considered kinda like a passive income like rents, dividends, etc). FDAP incomes are US-sourced income even if you have no physical location or a person located in the US. It is because in this case, they look at the place where the customer is located and not where the app is built. Therefore app membership incomes are generally US-sourced. Because India has a tax treaty with the US, all the ECI incomes(like salary, income from e-commerce, etc) are 100% tax-exempt. But royalties are an FDAP income (not ECI income). So, they are taxed usually at 30%, but because of the tax treaty, you'll have a reduced rate of 15%. Regarding New Mexico or Wyoming: I'd generally prefer Wyoming due to its quick processing time and privacy provisions. BTW, consider this only as general information, and not financial/tax advice. StartGlobal has a monthly 'LLC maintenance plan' after you form an LLC, that can take care of all your tax obligations, in case you're interested.
@@startglobalhq Thank you very much. That was a great explanation. By the way, how much an what is the monthly/yearly? maintenance plan? @startglobalhq so just to be clear; if I'm a non resident and I open a single member LLC in Wyoming and my home country also has a 100% tax free treaty with the US, I won't have to pay the Personal Income taxes of 15.3%?
If your business is something like a software agency, marketing/design agency or anything where it is not considered a US-sourced income, then you won't have to pay any US income taxes :)

@@startglobalhq What about Wyoming, does it consider it as royalty? Which are the states that have started considering it as royalty?
@@anakein @StartGlobal I also would like to know, which states consider it as a royalty
Educative. Thank you
You're welcome. Thank you. Let me know you have any questions :)
great video
Great video and I have a question, I want to sell on Amazon USA from Poland, so how hard is it to set up all these LLCs, TAX, BANK, etc. except an amazon account I know how to set up. Thank you for the info.
We have an all-in-one package for $599 where you get an LLC + US bank + debit card(physical & virtual) + address + phone number + registered agent. Basically, everything a foreign-owned Amazon FBA business needs in the US. For details - startglobal.co/
What about state income tax of New Mexico for non US residents LLC ?
Nonresidents, must file in New Mexico here when they have a federal filing requirement and have income from any New Mexico source whatsoever
Hello, I have a delaware LLC and I have an eBay store registered using my LLC name. I am doing dropshipping, buy from other merchant in US and ship directly to my customer. So is it considered a US source income? I read on other source that it's not taxable but I'm still confused.
Since the merchant is in US, it will most likely be considered a US income. Therefore, you'll have to federal income taxes on this
@@startglobalhq I have a similar issue. Have you any expertise on tax treaties with other countries?
Can I ask, what country are you in?
If I open Business/Trust United States LLC Account at TD Ameritrade Stock Markeet
how much tax will be charged on its dividends?
FDAP incomes are usually taxed at 30% :)
@StartGlobal what are the states that consider digital products sold by non-residents as Products / need us to pay them?
By the way, I was the 1000th subscriber :D
There are 28 states that tax digital products including Indiana, Kentucky, etc. Here's an article for more info - www.quaderno.io/blog/sales-tax-digital-products-us
Hello, I'm providing dispatch services to small trucking companies from US.
Yes, you can do that
@@startglobalhq
Thank you 🙏
Is that something that you can help me with?
I'm not a resident or american citizen. If my BVI company open a Delaware LLC and buy common stocks through this US company will the dividends be taxed if i never withdraw them from the LLC?
Most likely it will be taxed since an LLC is a disregarded entity and therefore from a tax point of view, it's a foreign company buying the stocks. Therefore the stock broker would most likely deduct 30% taxes (dividends is FDAP income).
Is there a State Franchise Tax in Wyoming? If yes, how much?
There is an annual report fee of about $60 and more expenses depending on your business
Sir i am not citizen of USA, I want to create LLC FOR ONLINE PURPOSE QUESTION IS WHICH STATE BEST IN TAX PROSPECTIVE
Wyoming and Delaware are my favourites due to low taxes and privacy preferences.

This is a much more detailed explanation I've come across. I have a couple of questions that would your help to clarify:
@@startglobalhq Thanks much for your response. As for no. 2, does it apply to Amazon FBA too?
What about taxes on stock investment, stocks bought or sold ( for non us citizens who have wyoming llc )
Any additional form or tax to file?!
Such incomes are generally considered as FDAP incomes which will be taxed at 30% for non-US residents by default. This tax will be normally withheld by your US broker. If your country has a tax treaty with US, the tax rate will be reduced.
@@startglobalhq I think those 30% is for the dividends that those companies pay me
how is it that no fedral tax applies for provided freelance services dealing with americans .. , isnt it still a US income source supposedly? @0:57
Yes, you will have to file Form 5472 and pro-forma Form 1120 if you are a non-resident owning an LLC

I'm an online English teacher, and since my line of work is similar to consultants or designers(we conduct our services in a similar way, provide a service online and get paid), can I open an LLC with you and get a US bank account?
Yes, you can get them as an online teacher
@@startglobalhq I don't have a website for my business, is that a problem?
Just be aware that creating a US LLC comes with administrative/financial/legal responsibilities. Definitely look up how much it costs to get an accountant to do your LLC tax return. US LLC's have significant advantages, but they are not for every person in every financial situation. (In the country I am resident in, most people consider it not advantageous to have a US LLC. But of course everyone's circumstances are different)
my company is registered in delaware and i sell saas for us residents and i dont have us employees so what do I pay?
If it's an LLC, you may not have to pay federal/state income taxes. But but but, some states are planning to consider SaaS as digital products. If that's the case, you may have to pay sales tax for those revenue you make in those states.
If it's a C-Corp, you'll have to pay corporate income taxes.
Are these all the taxes an LLC have to potentially pay ?
Yup, more or less :)
Hats off for you
Yay!
I'm not living in the US, may I open a LLC?
Oh yes you can.
A feedback and a question
In the place where it asks for income, please mention of its annual and currency symbol to avoid confusion for non us residents.
Apart from the one time first year payment plan I see 3 other plans, compliance, state and federal tax plans. if i am an ecommerce digital online course seller and some customers are us residents but not all should I pay tax?
@startglobalhq so just to be clear; if I'm a non resident and I open a single member LLC in Wyoming and my home country also has a 100% tax free treaty with the US, I won't have to pay the Personal Income taxes of 15.3%?
If your business is something like a software agency, marketing/design agency or anything where it is not considered a US-sourced income, then you won't have to pay any US income taxes :)
@@startglobalhq Thanks. Does that change if I start selling Print on demand apparel and Items? I'm just using my designs after all.
