35:08 great advice. The hard parts are finding a business owner who is willing to pledge his EBITDA toward the larger parent company vs selling his business in a "cash out" scenario. Youd have to convince him to stick around for 5 years until the parent company sells. The other hard part is getting the loan. It isn't so much "I don't have money" but rather "I don't have money *and* I don't have good enough credit to get a loan". If you habe great credit, then this works.

Great video! I don't understand the 30% rollover part though. He is saying that he needs that 30% equity to service the debt. But if you just get the 100% debt and buy the company, you get the full equity and thus the full profit of that company which you can now use to pay the interest and service the debt. So why the rollover?
Equity is the down payment to secure the debt. It wouldn’t pay for it. Then with the equity in hand, he gets the loan and the cashflow for the company pays the debt. Think of it like buying a rental apartment. The down payment gets you the loan and then the collected cash (rent) covers the costs. Does that help?
@@MakingBillionswithRyanMiller Thank you for your response. But the 30% equity is owned by the entrepreneur that is selling the business. Then how can that be used as a down payment to get a loan?
Is this content in any form related or similar to the teachings of Dan Peña? I’m definitely recalling some talking points learned from attending Grant Cardone’s 10X seminar in Tempe Arizona. Probably best I add these three books to my reading list immediately.

Hi ryan, excellent podcast. I hope all his Strategies are mentioned in his books ? + please do inform if there are Courses / Classes to begin in pravate equity ? Wharton has one costing 5k 😢 ? Many thanks
Go into more detail on the rolling over the equity, do the 30 percent shares get transferred to a new (not ur main) holdco, then u go to the bank and say u wanna borrow 75 ltv on the whole business and here is 30 percent equity for the loan? Do you not meet the problem that 30 percent of the cash flow is gone or owned by the holdco?
Good question. I’m not a real estate investor, nor is any of this financial advice. I’d say the seller finance model in real estate may be similar. Could be a good place for you to explore
I’ve head that about Mackinac. Glad you enjoyed the show. We also have a course on how to raise capital from investors. Lmk if you’re looking to master the art
There are business market places out there. I’ve seen some people like BizBuySell. Be sure to do your own research with professional lawyers and accountants before making (or not making) any investments as this show doesn’t provide financial advice.
I am trying too do some math if anyone can help. Founder A owns 30% of holdco(5m valuation). Founder B also owns 15% of holdco(10m valuation). Founder C owns 10% of15m. Founder D owns 7.5% of 20m. Founder E owns 6% of 25m. Adam owns 31.5% of 25m while he has huge debt on his name. Is this correct understanding?
I love, love, love this equation. Love that you’re really digging in and trying to understand. You’re incredible. I haven’t done the math on your description but relatively speaking yes. There is a declining ownership structure for each new owner that joins newco. However, the valuation of the newco continues to grow so essentially there is a smaller piece issued of a bigger and bigger pie. So while the % seems to shrink, the value of the whole pie grows. Hope that makes sense. Effectively the owner goes from owning a whole grape to half a watermelon. 🍉. Either that or all this talk of grapes, watermelons, and Pie must mean I’m hungry. 😆
@@MakingBillionswithRyanMillerbut doesnt Founder A who has 30% of the holding just suddenly is worth 30% of 25M instead of 5M? So he is basically doing same profit as Adam..
Just an opinion here but I’d say investors want to know how viable the company they are about to buy will be in the future. Prove to them that the best (revenue) is yet to come. Other attributes (reasons they buy you) are also strategic positions. Perhaps you produce something they want to achieve an objective. Principle is the same, prove how you align. Nothing too specific for ml as business is all about revenue, expenses, assets, liabilities… and of course…. Cash Flow.
Not legal or financial advice. Just an opinion. Always check with professionals before doing or not doing anything from this show. For the LLC, That’s a solid question for your lawyer. They would advise you on the best corporate structure. For credit. Yeah probably. That would help with traditional lenders like banks. There’s also private debt lenders (funds) and government grants to explore.

What does Adam think is the bare minimum amount of capital you would need to get into private equity? Obviously you have to get a loan especially if you don’t have millions but how probable is it the bank approved a loan with no money?
Good question. Sounds like he’s suggesting you can structure it properly with no money. I’d read his books to be sure. Lots to go though with this guy.
@@MakingBillionswithRyanMiller Thanks, definitely is an interesting industry. I’ll have to research more. As he said why create a business when you can buy one 😀
Great content. Wish he would speak about monetization and streams of cash flow to break even. After break even then monetization with leverage before going broke.
@@MakingBillionswithRyanMiller How including an equity partner as the foundation, and using the funds of the equity partner to finance the SBA, which time could finance 50% of the initial consideration of target acquisition. That combined with transferred wealth, and no money down strategies.
@@MakingBillionswithRyanMiller so it’s gonna be 30 percent of the new company but the new company only has acquisition of his old company so essentially it’s the same as his okd company so basically he’s only selling 70 percent of his old company I guess but what we go and acquire second company and repeat the process so the new guy rolls over 30 percent equity we will also give him equity in the company we previously acquired aswell ? It’s just a bit confusing
NPV is based on current acquisitions plus future ones. The entire plan. Like all investing, pricing is based on future expectations > current. Your accountant or potentially a financial advisor would be able to help you with the calculations if it’s a bit much. I’m so happy you’re here brother.
@@MakingBillionswithRyanMiller Yes but why would the just not sell the company and get 100 % of the asking price? Why would they loan you money that they would pay back to you?
good question. Some are incentivized to receive cash flow on a bigger pie. They get some now with a greater take home at the end of the deal. So if they want cash now then that could be fine but a strategy here is to see if they’re open to take cash flow over a period of time with interest as well as an equity position in a larger firm giving them a piece of the other firms that come on board after them as well. So the incentive would be more money over time vs less money now.
Hahaha: Hey entrepreneur you don't want to be majority shareholder, roll-over your stock in my empty holding company where I'm majority owner. Great salesman and very creative with the deal structure. Lot's to learn
No white paper on this; however, what Adam is suggesting is they get paid for their 70% of the original company when the first round of funding goes through and get paid on their 30% when you exit the new company in 5 years (at a substantially larger valuation). Plus the original owner is engaged with their knowledge and energy into newco since they too are an equity holder. Everyone wins.
@@MakingBillionswithRyanMiller Regarding the 30% rollover, What does this usually translate to in terms of % of the new company? How is this calculated? Great content btw. Frameworks or rules are simple and easy to remember. Helps for quick calculations/approximations.
Thank you. I believe it was mentioned that each new partner that comes on has less and less of a percentage simply because the newco valuation increases after each acquisition. So the first guy took the biggest shot so they get the greatest percentage of newco.
@@MakingBillionswithRyanMiller I guess you would need to base the %tage on the projected future enterprise value of newco and make it worthwhile for the seller to roll his equity.
@@MakingBillionswithRyanMiller Thank you @dickieblench5001 for this post. This is exactly what I've been looking for. Thank You! I will also be purchasing Adams's books. Which one is the best starter?
Love this question. You hire a ceo. If I was in this situation, I’d incentivize the current CEO of existing companies to do what’s called an “earn out” where they have to stay on but can earn bonuses for their last few years if they hit milestones. One of them is to groom their successor. Otherwise, they continue to run that company.
You can get more than one SBA loan but you can’t exceed the borrowing limit of $5MM in total across all SBA loans being written, what’s the plan on that?
@@MakingBillionswithRyanMiller Absolutely, this is going great with the hours of M&A knowledge I have been #NEO Downloading into my psyche over last month... since not having a Job. Adam Coffey's Empire Building Books and of course your comment about being one of those having only #ONE #Zero in bank account. Technically it is 0.00 since life change most recently from working at a hospital to living in my father's house doing my best to jump into these markets. Thanks for asking. Adam looks like my Bossman where I worked Maintenance named Doug JR. from Hartman Rental's here in Collinsville, IL whom is taking over his father's business Doug Sr. - That also stood out to me.
Let's do the math on Adam's example; buy firm at $5m. 30% equity from seller or $1.5m. Thus, you need a loan = $3.5m. According to Adam, the debt to EBITDA coverage should not be more than 2:1. Adam's example EBITDA = $1m. Thus, we can pay max $500,000 per year. Loan = 10 years at 6% interest rate = $480,000 per year Conclusion: close to impossible IMHO to find a seller who agrees to the 30% AND to find a 10Y loan at 6%.
Perhaps. Not an easy task for sure. And for those that do get there possess a strong portfolio. Definitely a lot of work to buy companies with little to no money.
One lesson I've learnt from billionaires is to always put your money to work, and diversifying your investments. I'm planning to invest about $30k of my savings in stocks this year, and I hope I make profits....
You are right. The best approach I feel is to diversify investments- by spreading investments across different asset classes like bonds, real estate, and international stocks, they can reduce the impact of a market meltdown.
Watched a 2nd time to be sure I wasn’t tripping. So basically he’s saying sweat equity your way into ownership then use the SBA or loans to leverage the cash flow into your next deal. lol good luck with that. The SBA is useless so you had better find some rich friends who’ll help you learn how to do this the right way for free or you’ll be broke in no time. & expect this to be an 8-10yr min process. @42:30 “let’s say I buy 10 companies…” 😂😂😂 who tf with no money is buying ONE company, let alone 10?! Bro I appreciate the effort in doing the interview but here’s some feedback: find guests who are willing to teach finance 101 & maybe we’ll leave with some practical advice to move forward. Unless your audience is accredited investors or family offices, then ignore me & do your thing.
I won’t ignore you. I appreciate anyone looking to level up. Audience is anyone looking to do private deals and learn the concepts. Lots of family offices, emerging fund managers and of course folks looking to get started.
If seller is keeping 30% equity they will be personally guaranteeing SBA loan - not sure why a seller would be interested in doing so! Most seller I have encountered won’t.
Yeah. Great insight my man. Adam is suggesting that the incentive is to get paid 2x. Once from the acquisition (70% of current value that they are selling today) and a second time of the 30% of newco (which will be valued much, much higher after a few more acquisitions. Is that what you heard?
@@MakingBillionswithRyanMiller definitely seller equity vs seller debt. That point gave me a totally different perspective. I have his books, but haven't dived in, until today 😂
@@MakingBillionswithRyanMiller one question, is the 70% debt service coverage ratio loan expansion/acquistion or working capital with you and the owner forming a new corp? Thank you and great content!
Yes. That is what it appears Adam is saying. The loan is held by newco. Hence, the responsibility lies with all the shareholders to properly service the debt.
Why hate on a business owner selling and earning his retirement and keeping jobs for his employees? Retiring and closing the doors loses all the jobs .
Well said. If you build something, you should be rewarded for it and use it to retire and help those you love. Everyone seems to think this is a billionaire thing when in fact it’s a machine that helps people pass their business on to other business owners.
lol. It certainly helps. However, Adam did propose a strategy where you can begin building without capital. Very interesting strategy that he proposes. Also, thank YOU for the subscribe.
Step #2. Leave any ethics or morals at the door. Remember, they aren't real people with families; They are simply peasants you cruise past on your 80' yacht!!!
@brentfarvors192 Hmmm, can you help me understand how giving an entrepreneur a cash out for their business they are selling is NOT helpful? 38% of businesses fail due to lack of financing (investors). The average small business owner makes about $50k per year. An investor says hey man, I’ll buy/invest in your company but I want you to take some now and even more later. I know you’re making $50k, how about $5M. Would that help you retire and spend time with your kids? Better yet, let’s give you $4M now and $3M more in a few years. Not sure I’m seeing the harm you’re claiming.
Great question. I say ask him but if that’s not possible and I were there, I would look for equity and/or other additional lenders for private deals like this. What do you think?
@@MakingBillionswithRyanMiller I think funding the first $5 million with SBA is a good idea, and using conventional banks and or capital from PE limited partners for subsequent acquisitions might work. I'm guessing that's what he did?

35:08 great advice. The hard parts are finding a business owner who is willing to pledge his EBITDA toward the larger parent company vs selling his business in a "cash out" scenario. Youd have to convince him to stick around for 5 years until the parent company sells. The other hard part is getting the loan. It isn't so much "I don't have money" but rather "I don't have money *and* I don't have good enough credit to get a loan". If you habe great credit, then this works.
Thank you for your analysis. Definitely a few moving parts here.

10:00 how to buy a business
Thank you for the tag. My question for you is, when are you going to start?
Half a watermelon is bigger than a whole grape I'll take that!

What do you want to know?
As in, specifically, what did you want to know about selling your ML company?
There are lots of things that need to be put in place for a company to be ready for a sale. How does that change with an ml software company
Cash Flow.

@@MakingBillionswithRyanMiller How including an equity partner as the foundation, and using the funds of the equity partner to finance the SBA, which time could finance 50% of the initial consideration of target acquisition. That combined with transferred wealth, and no money down strategies.
Yeah. One of my favorite strategies that he outlined. Good catch. Now the question is: when will you be using this intel to bless your life?
So the entrepreneur that rolls over 30 percent in new co, what’s his equity in new company ?
The value of his equity divided by the total value (NPV) of NewCo
I’m so happy you’re here brother.
at 33:00 min, is he referring to
Seller financing?
Basically yes.
@@MakingBillionswithRyanMiller Thanks, but why would a seller do it?
Lots of reasons. Retirement is the most common reason.
Phenomenal!

Wealth building doesn't just have to happen through acquiring RE, but also buying businesses is another viable option@@MakingBillionswithRyanMiller
Yes. 100%. So when are we going to see you on Forbes?
Hahaha: Hey entrepreneur you don't want to be majority shareholder, roll-over your stock in my empty holding company where I'm majority owner.
Great salesman and very creative with the deal structure.
Lot's to learn
Yes. And they get paid 2x as a result. Once when the funding goes through and the second when the newco exits.
When you roll 30% worth 1.5M how do you know what %tage of the topco to give to the seller?
Typically based off the valuation or newco
@@MakingBillionswithRyanMiller I guess you would need to base the %tage on the projected future enterprise value of newco and make it worthwhile for the seller to roll his equity.

Personally. I would start with the private equity playbook.
This may be a silly question
Who operates all the businesses?
I'm 1 guy; how can I run 5, 10, or 20 7-fig businesses?
Thanks
Love this question. You hire a ceo. If I was in this situation, I’d incentivize the current CEO of existing companies to do what’s called an “earn out” where they have to stay on but can earn bonuses for their last few years if they hit milestones. One of them is to groom their successor. Otherwise, they continue to run that company.

Adam looks like my Bossman where I worked Maintenance named Doug JR. from Hartman Rental's here in Collinsville, IL whom is taking over his father's business Doug Sr. - That also stood out to me.
😮
Let's do the math on Adam's example; buy firm at $5m.
30% equity from seller or $1.5m.
Thus, you need a loan = $3.5m.
According to Adam, the debt to EBITDA coverage should not be more than 2:1.
Adam's example EBITDA = $1m.
Thus, we can pay max $500,000 per year.
Loan = 10 years at 6% interest rate = $480,000 per year
Conclusion: close to impossible IMHO to find a seller who agrees to the 30% AND to find a 10Y loan at 6%.

Step 1: don't have your mindset
@brentfarvors192 Hmmm, can you help me understand how giving an entrepreneur a cash out for their business they are selling is NOT helpful? 38% of businesses fail due to lack of financing (investors). The average small business owner makes about $50k per year. An investor says hey man, I’ll buy/invest in your company but I want you to take some now and even more later. I know you’re making $50k, how about $5M. Would that help you retire and spend time with your kids? Better yet, let’s give you $4M now and $3M more in a few years. Not sure I’m seeing the harm you’re claiming.
SBA only allows 5 million total loan across businesses. How does this guy get a SBA loan for his 2nd, 3rd...nth business acquisition?
Great question. I say ask him but if that’s not possible and I were there, I would look for equity and/or other additional lenders for private deals like this. What do you think?
