    If the buyer is a corporation and the seller is a person. Who should serve the N12 and when?

    What if the tenants refused to move out at closing ? Then what ?

      So your agent should never put you in this type of situation. You should always have a protective clause or condition in your agreement of purchase and sale. One that simply states the seller has the right for an extension if vacant possession can not be provided upon closing. This way you have enough time for a landlord and tenant board hearing. Tenant's in Ontario do have the right to a hearing so you need to be safe upon closing to make sure the buyer can not sue you. There are a few other things I do to protect the seller in this situation.
