    Elon Musk already regrets buying Twitter and it’s no wonder why. According to himself, Twitter’s valuation has over halved and public distaste for the platform is larger than ever. For most of you, this probably isn’t surprising but what may be surprising is that Elon is trying to sue the law firm that forced him to close the deal for Twitter. More specifically, Elon wants a refund on much of the $90 million that the law firm paid in order to help complete the acquisition. From Elon’s perspective, this $90 million is a ludicrous fee and he’s definitely right given that many of the invoices from the law firm didn’t even have correct billing hours and that much of the $90 million was a success fee that was never even initially agreed upon. Twitter’s own executive team was stunned by the bill before they handed over the company to Elon but they decided to pay it anyway likely to spite Elon. But, just because the $90 million may have been a ridiculous fee doesn’t mean that Elon will actually get a refund.       It wasn't so much a panic buying as it was a bragging buying. Elon Musk bragged that he could easily buy Twitter and his followers drooled at the thought alone and begged him to do it. That flattered Musk's gigantic ego and he made an offer that Twitter immediately accepted. That should have been a red light to any sane buyer, but I guess genius Musk's red light was broken that day, so the idiot signed the agreement Twitter immediately sent his way. And then some sanity returned and Musk realised what he'd done and he wanted to back out of the deal, but Twitter had the genius' signature under the agreement and held him to it.
      I guess you must be a true genius to be so stupid that instead of signing a preliminary agreement and do some research, Musk signed the final agreement and only then started to do some research.

    I work in services pricing. 400 hours per week means that 10 lawyers were working full time on a M&A case involving billions of dollars in assets over the time it was in negotiation. That is not unreasonable in the least. Furthermore, legal fees are often the burden of the losing party. Elon has NO case here, but it sure will be fun to watch these same people hand his ass to him 2 times in the span of a year.
    There’s a simple lesson here:
    Play stupid games, win stupid prizes.

      Elon made big mistake of slashing the staff which were working on key features. Problem was investors weren't focused on profitability, they wanted growth.
      When Elon slashed to focus on profitability it meant the company is just another media company with terrible profit margin which meant its valuation is lucky to even hit 10 bill if it went public..

      Exactly, a better way to look at this is:
      Lets say you have a company with $1500 in the bank. You hire your mate to represent the company, he agrees to work for an hourly fee.
      A week before the deal is finalized your friend invoices you for $150 for hours worked.
      Then 10 minutes before you hand the keys over to the new owner, you decide to pay your friend $900 as a bonus, thus leaving only $450 in the bank account instead of $1350
      This has no impact on shareholders, as the buyer was unaware of the $900 bonus - it was not part of the original agreement when you hired your friend. It does however impact the buyer as when you handed over the keys the bank account is part of that.
      It would be like selling someone a car, they take it for a test drive and right before you hand over the keys you remove the tyres, stereo and seats.
      My bet is the law firm will settle (ie it'll go in Musk's favour) but had the success fee been part of the original agreement. It would set a bad precedent for future acquisitions if a judge ruled in the law firm's favour - it'd open the door for every other law firm to do the same going forward.
      They got greedy just like the execs.

      Not really, the law firm decided on a price that was based on the value of the lawsuit.
      This is very common practice when dealing with large sums of money.
      If you pay a high hourly wage then the company can just scam you by working more hours than needed.
      If they had no clue about how much they had to pay then that is pure stupidity.
      Elon Musk was just dumb enough to get him self in to this mess in the first place.
      He shouldn't have been lying to the Twitter board like that.
      His idiocy comes with consequences.

    Hearing the words "Bad Faith" in relation to the execs just made me laugh. Every part of Musk's takeover and subsequent ruining of Twitter was bad faith.
    He was upset that a left-leaning corporation was successfully filtering out hate speech, conspiracy theories, and other far-right nonsense; and decided to leverage his wealth to destroy it.
    That's a textbook example of bad faith capitalism.

      The market price is what someone is willing to pay. The fact that Musk was being forced to pay $44bn doesn't mean the underlying value was $44bn, which is why he no longer wanted to buy at that price.
      He overpaid by 2x. You don't understand what the comment is trying to say.
      Without the offer the share price would have reduced. Elon being locked into a high price is why the share price was high.

It sounds expensive to outsiders: that's not the same thing. And 0,09 billion out of 44.00 billion is like half of a percent.

      @@SP-df1nm He did his DD it's why he first wanted to go back on the deal, number of users was fake, and on top of that you can hardly expect someone to keep doing DD every second of the transfer of value.
      The value that an item had when the deal was agreed to is the value that must be transfered, the old board has no rights to use up that value after the price has been agreed to.
      Look at it this way you buy a company that own 10 patents and 10min before the transfer of the ownership, the old board transfers all patents/value to someone else, it's not the company that you agreed to buy anymore it doesn't have the same value, there are not the same numbers of apples in the bag anymore.
      Imo he all the rights to get the value of what he bought when the deal vas agreed to, since the price was based on the value it has at that time, not 10min before the transfer, they changed the value of what he bought, they need to sit down and talk about what the new price is if he still wants to buy it after they devalued the product they sold him, it was up the the board to make sure what they sold is what they transfered and put a stop on all spendings to make sure it was.
      The product that they sold wasn't theirs to do with as they wanted as soon as they agreed to the sale, it was his, the only job they had was to make sure he got every cent of value transfered to him with nothing missing after the agreement.

    I have my doubts about the executives doing everything in the interest if the shareholders. If they cared that much about the shareholders, twitter would have been profitable long ago. Yet the company had so many useless employees, that Musk firing about half of them, actually caused the company to break even.

      @@marksilla8276 Twitter has barely grown at all. I'm pretty sure they had a staggered board system as well, meaning it would be very hard for the board to be fired prior to Elon's takeover. So they likely went about their own interests. Yeah, twitter is having its issues now, but there was still far too many employees there contributing barely anything before they were fired. Meta has always been really profitable and I don't think twitter ever did much to compete.

    I'm no expert, but 400/hrs per week don't seem that hard to justify to me. That's 10 lawyers at 40 hrs/week, OR 5 lawyers for 60 hrs/week paying overtime at a 2x multiple
