Correction: Goodwill is not the value of reputation or brand or anything like that. It's the difference between what you paid for an asset and what it is worth. If my company buys your shitty $10k car for $100k, the $90k is Goodwill in our balance sheet. And we write that down over time. The $90k doesn't really exist, it's just a pretend number we use to pretend we can get $100k value from your $10k car by being more awesome than you. It's rarely true, hence the write offs over time.
And Coffee didn't even include some of the most damning statements in that filing, like these: "The Company’s cash resources as of December 31, 2023, are not sufficient to fund its planned business operations over the next 12 months..." and "The Company’s future operations are dependent upon its ability to generate positive cash flows from operations and raise additional financing. For the year ended December 31, 2023, the Company had negative cash flows from operations..." and maybe most importantly, from the auditors: "... a material uncertainty exists that casts significant doubt on the Entity's ability to continue as a going concern..." which is auditor-speak for, this company is teetering on the edge of failure. There's almost no reason at all for a TH-camr to join an MCN now, they do nothing for the creator and take a large portion of their income, it's so sad to see people still falling into them
I imagine its just a matter of the false sense of security that they give off. I thought it might have actually been my speakers, but your channel seems to be the only one producing this noise and is repeatable at certain timestamps, for me at least. 12:40-12:42, 13:15-13:17, 15:24-15:26 are some examples. It would be interesting if there was a mandatory implementation of a standardized "financial health" rating which had to be transparently disclosed at the beginning of every company financial report, something that is easy to interpret so that those who lack some of the skills (or time) required to understand a company's financial health will still be able to understand exactly where the company stands. Perhaps something like one measure for 'company's current financial health', another measure for 'company financial health at this time in the PAST financial year', a third measure for '% difference in financial health between now and this point in time in the PAST financial year'.
Oddly enough, there is a company I'm a shareholder of who does this. They're pretty transparent and doing very well. They don't do everything perfect, but as far as corporations go both me and the customers are pretty happy.
Goodwill is basically the amount that you overpay for something. Like if a company is valued at $3 million but I buy it for $10 million, I've paid $7 million in goodwill, which has to be put on my balance sheet as a rapidly depreciating asset. It is literally useless and burns a hole in your balance sheet, so seeing a company with over twice as much goodwill as actual assets is scary.
I kinda feel guilty about how much I enjoy the void. Hard work and effort should definitely be rewarded, but I really am just as willing to watch these videos as the main channel videos.
This is why you should be very careful what agreements you sign and if a company is as delinquent in payment, lawyer up, look through your contract and see if you can sue.

I thought we'd moved past the days of these content puppeteers. Initially at the start of TH-cam, creators approached the site like TH-cam. This is highly evidenced by many feeling that the end goal was to get a TV show or a movie. Eventually, people realized that TH-cam is not the same as TV, and that's a very good thing. They realized that all the info they needed to run their channel was now online, usually for free, and they didn't need a management company. So, it confuses me how anyone would want to return back to those old days of having to dance in the palm of another company. Everyone is already beholden to TH-cam's oftentimes very awful policies, why add another layer on top of that?
Bring on the financial receipts! That email @ 9:35 really set all my old 'business banker' alarms off… aside from a "100/0 agreement" making zero sense for this business (since Omnia was supposedly delivering services to creators but receiving no fees or income for them?), the language in that email is very odd. I've never heard a financially-viable business that has fallen 3-4 mths behind in ‘business-as-usual’ payments talk about _“resolving payment delinquencies within the permitted cure period”_ - the only time you generally refer to "curing" is in legal correspondence addressing a default, bad debt or some kind of regulatory breach. But more to the point, it’s an odd way to answer a journalist asking about outstanding payments from 3 months ago… if you’re classifying December payments as “delinquent,” what about the creator’s subsequent Jan-April payments? That email combined with those financial statements ($105m in ‘goodwill’?!) is not painting a pretty picture. I looked at Faze Clan’s financial statements a while ago, out of interest for the numbers their esports teams were doing… and I’ve got to say, those intangible asset values for Omnia look as plucked-out-of-thin-air as Faze’s. The phrase "house of cards" comes to mind.

Definitely worth noting that wage theft is the number one source of all theft in the US, and many employees don't ever get compensated for their work. I've been in this so situation myself, it's a horrible feeling to work your butt off for a horrible exploitative wage just to have that wage robbed from you on the tail end too. Screwed in what you should be paid and what you're actually paid.

As a company that holds cash/payments for another party and bears none of the financial risks, this conpany would be seen as an "agent" and can therefore not recognize the payment they hold for others as revenue. As an agent you can only recognize the revenue of the cut you receive from the payment.

Hey Coffee, love your stuff! I think there might be some kind of squeaking noise being picked up or something. I thought it might have actually been my speakers, but your channel seems to be the only one producing this noise and is repeatable at certain timestamps, for me at least. 12:40-12:42, 13:15-13:17, 15:24-15:26 are some examples. It's very subtle and high pitch, but is definitely noticable to me throughout the video. Keep up the great content though!

I really never understood why YT thought it was a good idea to let random companys have tools that actually creators dont have, there must of been a friend to a high up at YT who wanted to start one of these companies back in the day....
It makes sense from their POV to, in theory, deal with 20 company reps and not 30 000 creators not accustomed to company/business speak. But in practice well, we know the results.

As someone who worked for a company and also got my payment delayed for months on end (didnt get my last paycheck until 2 months after i stopped working there) i cannot imagine the stress these yputubers have while also trying to pay other people under them. It would be interesting if there was a mandatory implementation of a standardized "financial health" rating which had to be transparently disclosed at the beginning of every company financial report, something that is easy to interpret so that those who lack some of the skills (or time) required to understand a company's financial health will still be able to understand exactly where the company stands. Perhaps something like one measure for 'company's current financial health', another measure for 'company financial health at this time in the PAST financial year', a third measure for '% difference in financial health between now and this point in time in the PAST financial year'.
Oddly enough, there is a company I'm a shareholder of who does this. They're pretty transparent and doing very well. They don't do everything perfect, but as far as corporations go both me and the customers are pretty happy.

Goodwill is basically the amount that you overpay for something. Like if a company is valued at $3 million but I buy it for $10 million, I've paid $7 million in goodwill, which has to be put on my balance sheet as a rapidly depreciating asset. It is literally useless and burns a hole in your balance sheet, so seeing a company with over twice as much goodwill as actual assets is scary.

This is why you should be very careful what agreements you sign and if a company is as delinquent in payment, lawyer up, look through your contract and see if you can sue.

I thought we'd moved past the days of these content puppeteers. Initially at the start of TH-cam, creators approached the site like TH-cam. This is highly evidenced by many feeling that the end goal was to get a TV show or a movie. Eventually, people realized that TH-cam is not the same as TV, and that's a very good thing. They realized that all the info they needed to run their channel was now online, usually for free, and they didn't need a management company.
So, it confuses me how anyone would want to return back to those old days of having to dance in the palm of another company. Everyone is already beholden to TH-cam's oftentimes very awful policies, why add another layer on top of that?
My last job made me realize the utility of threatening a law suit if i did get paid like i was told. Never sign a contract that delays payment

That email @ 9:35 really set all my old 'business banker' alarms off… aside from a "100/0 agreement" making zero sense for this business (since Omnia was supposedly delivering services to creators but receiving no fees or income for them?), the language in that email is very odd.
I've never heard a financially-viable business that has fallen 3-4 mths behind in ‘business-as-usual’ payments talk about _“resolving payment delinquencies within the permitted cure period”_ - the only time you generally refer to "curing" is in legal correspondence addressing a default, bad debt or some kind of regulatory breach.
But more to the point, it’s an odd way to answer a journalist asking about outstanding payments from 3 months ago… if you’re classifying December payments as “delinquent,” what about the creator’s subsequent Jan-April payments?
That email combined with those financial statements ($105m in ‘goodwill’?!) is not painting a pretty picture. I looked at Faze Clan’s financial statements a while ago, out of interest for the numbers their esports teams were doing… and I’ve got to say, those intangible asset values for Omnia look as plucked-out-of-thin-air as Faze’s.
The phrase "house of cards" comes to mind.
