    Is there any general rule regarding a husband and wife setting up an LLC? Specifically, we're in a community property state, so the capitalization for our hypothetical LLC would be coming from joint funds, savings and investments. Can that still be treated as a multi-member LLC, with each of us 50% owners, or does that get interpreted as single member?
    Thanks for these very informative videos, by the way. I don't remember exactly how I ran across your channel, but I really like the content. I'd even hire you to form an LLC if I lived in Colorado, but alas, I don't.

      +Insanity On A Bun the total cost depends completely on how much your lawyer charges and how the trademark office responds to the application. But I do tell my clients to prepare to pay around $2k or more in a worst-case scenario. However, many of them end up spending way less! Thanks for the great question!

    If I use my home/personal address as my L.L.C address wouldn't that be similar to comingiling funds since all of the bills have my name on them and have been getting paid from my personal account or could I use my home address and then just start paying the bills from my business account after starting my L.L.C? Another thing how about personal guaranteed business credit cards doesn't that tie your name to the business also?

    Hi! Thank you so much for this. My husband and I are in Chaffee County, CO and drafting OA for our single member businesses. Our biggest concern is if one of us ends up incapacitated or in death how we write the OA so that the "signer" in the bank account (we have at each other) can operate the business in the others absence and more importantly if the Owner is deceased that the business immediately transfers to the surviving spouse. My understanding is the "signer" looses their position once the Owner is deceased which would halt access to the business account. We are trying to make sure the language in the OA would make that transition seamless without having to go through probate or wait or do mountains of paperwork. We are addressing this in the transfer/liquidation/dissolution section. Is this correct. We are using a Colorado template and changing parts of it to submit to the bank to have on file. Is this acceptable and is there anywhere else this needs to be on file? Thank you for your response.

    What if the business does not have an address would a P.O. Box be sufficient? In my case, it will be a massage therapy business tailoring exclusively to in-home clientele.

    I have a question on what you've said about contributions. I've been putting some personal money into this for a few months, and just filed the paperwork with my secretary of state. I was planning on doing a member contribution to get started, and then likely do smaller member contributions over the next few months to fund the business until it's steady state. Now, with you saying I need to document the contributions, do I need to amend this agreement each time I make a member contribution?

    your 6th step on distribution, are you referring to how and when my employees and I will be paid? I assume so since you did not clarify on distribution of what.

      +DeathsAngel323 Distributions only refer to how you, as the owner, will take distributions. Your operating agreement can certainly include details about paying employees, as well, but that is not a term that is commonly included in the operating agreement.       You do not need to submit it anywhere if your state doesn't have a requirement for it. You would just keep it in your records until a need arises to revisit it.

    I am the Owner of a Single Member LLC. My three questions are:
    (1) How many pages should a single Member LLC have.
    (2) How many pages should a Multimember LLC have.
    (3) What TITLES should I use as the Sole Owner of my LLC:
    1. CEO
    2. President
    3. Founder
    4. Owner
    5. Member-Manager ect...
    I ask these questions to keep myself out of trouble encase sometime in the future business troubles come my way.
    In case you are wondering what kind of business mines is? My company is a "Retail Company" with NO employees.

      +Shawn Afshar I majored in Finance in undergrad and went to law school at the University of Denver. You are right that the market is saturated and very competitive, especially in California. If you are passionate about being a lawyer, then it is still a good investment. But if your goal is just to make a lot of money or something like that, then you may want to explore other career options. Being a lawyer can be very lucrative if you are successful in law school and can land great internships and big firm positions, but the majority of lawyers (myself included) have a much more modest lifestyle than people would expect.

      +Mya G. Good you can definitely talk with a CPA beforehand, and it's a great idea to do so! Much of starting a business is setting up the tax structure and it's great to have a tax advisor working with you from the get-go.

    Is there any chance we can get you to do a video on the steps involved in converting a sole proprietorship to an LLC? Also, if you do everything properly but elect to remain taxed as a sole proprietorship will this automatically "pierce the corporate veil"?
