Because Octopi don't have any physical structures even resembling what's necessary to grow a shell, and any mutations producing something only partway to a proper shell would be a hindrance to the octopus (i.e. likely to get the individual killed before it can breed). There isn't nearly as much selection pressure against octopi becoming smarter; in fact, it's probably a favorable trait for them.
