Role of the Board: Representation
The board often represents the interests of shareholders or stakeholders, balancing their needs with the organization’s objectives. A lot of talk about this area lately. Should the board be concerned with the current shareholders or be thinking in a more sustainable way about the shareholders of the future?
In the past corporations have focused entirely on making money for the shareholders in the short term and have given no consideration to how their actions have damaged the environment. Those days are coming to an end as it is the board’s role to think about the stakeholders of the future, not just today’s stakeholders.

    Exactly!! As a general rule: Never make a policy or law that you cannot or will not enforce.

    Organizations that have been in existence for many decades will find that their set of bylaws will be scattered, both literally and figuratively. Good practice in this situation is to do a complete review and rewrite of the bylaws to bring them up to date. In some cases, this could also include creating a special repository so that the bylaws are always available to the board.
