Sir,will exclusion from total no of directors u/s 152(6) also includes S.242 director appointed by tribunal or will they be included and counted as non rotational director?

Sec164(2) disqualification regarding financial statements or annual returns for a continuous period if 3 yrs here I have a doubt sir if anyone ( F/s or Annual returns ) should we have to consider or if they file fs for one year but not filed annual returns for 3 yrs , annual exam have filed for three years but they did not filed financial statements in this condition whether they qualified or not
