- At Transaction Advisors Institute's M&A conference at Wharton San Francisco, Hogan Lovells Partners, Richard Climan and Keith Flaum illustrated the give-and-take between buyers and sellers in negotiating key provisions in M&A deals.
Particular focus was given to pricing formulations in stock swaps and “earn-out” transactions as well as the growing tendency of M&A dealmakers to “negotiate by the numbers” - to rely (and perhaps over-rely) on widely proliferated market statistics in staking out their negotiating positions.
The Transaction Advisors Institute provides its members with a suite of programs and current information on M&A strategy, deal structuring, and integration best practices. www.TransactionAdvisors.com

this is all fine and dandy but can they get a reservation at dorsia?
I have 2questions (as a outsider), 1. Can you add philosophy into your deal(s)? 2. couldn’t this deal also be a undercover hostile takeover if the targeted company owner is coming into a deal wanting to lower your company “forts”? (If i need to specify more then please let me know)
