Saloman had a leather shop which was a sole proprietorship firm (unlimited liability), he know that his shop is in losses and have a lot of creditors to pay back and since it's unlimited liability so his personal assets can also be taken away from him. So he converted sole proprietorship firm into company (limited liability) and while converting he issued 20000 debentures (secured creditors) and 10000 shares to his sole proprietorship firm whereas he was supposed to issue 30000 shares to SP firm. The creditors only got ₹10000 at the time of liquidation of the company instead of ₹30000 which made them angry. But till then the doctrine of im was not made and so Saloman got away with this.
This case law works as an anti - example of Doctrine of Indoor Management.
