  • Shareholders own a corporation, but directors run it. This separate of ownership and control creates "agency problems." Shareholders want directors to be diligent fiduciaries, but directors may enrich themselves by self dealing or just being lazy. Corporate law handles this through the triumvirate of fiduciary duties of directors: the duty of care, the duty of oversight, and the duty of loyalty.     Shareholders do not own the corporation. Shareholders are not principals. Shareholders are shareholders who provide capital and have specific rights. The shareholder does not grant authority to directors as the directors sell shares in an IPO. The shareholders can't "appoint" the directors if they don't exist.
