      They are still banned on some exchanges, which is why lots of companies list on certain exchanges or in certain countries, because it lets them do this

      Dual Class stocks aren't really an issue, because investors should know not to buy non-voting shares. And once someone owns a voting share, the company can't just reduce that stock's share of the vote.
      As for stock buybacks, they're just a more tax-efficient alternative to dividends. Many investors just reinvest their dividends, but they're taxed upon receiving the dividend and upon selling the share they bought with the dividend. On the other hand, with buybacks, you're only taxed when you sell the share.
      Buybacks are the best way for highly profitable companies which don't grow very much, such as Apple, to give profits to investors.

      If public companies with quarterly shareholder pleasing incentives were able to compete in the fastmoving tech world you wouldn't have the issue. But they can't. The governance model sucks for anything fast and unpredictable. Imagine Zuckerberg having to ask Blackrock for permission to fire 1/ 3 of web developers and hire 10000 mobile developers when Instagram became popular crushing profits in the process.

    Aswath Damodaran put it best when he said that this is basically the tale of the benevolent dicator. You have no say in the company but you hope that popular person x will be rich and successfull and will let you part take in it.

    Yes, I was aware of this issue, though I didn't know it was an issue. However I knew of it under the name of common and preferred stock, common stock receiving dividends right and preferred stock receiving voting rights. Thank you for a wonderful explanation.

      This is not the definition of common vs preferred shares. Preferred shares are an in between of equity and a bond.

    The good thing about this, is that they can tell the asset management companies like Blackrock, to fuck off if they try to dictate any policies. Those companies have huge power over most corporations and the world in general. The average retail investor doesn’t really care about voting and probably don’t even realise if they’re buying non voting stocks. They just want the greater fool to buy the stocks from them at a higher price someday.

    It's not bad to want total control over your company. After all, it's yours. Giving investors voting power would be like trying to make a pure form of democracy, that would be chaos. So I don't see anything bad in founders having total power over their companies. If I worked from scratch for decades to build a conglomerate, I will definitely want to be the captain of the ship and will never give over control to people who at the slightest sway of emotions will wreck everything I worked for.

      That makes sense, but there's a solution for that. When you go public, just retain X% control of the company. You don't have to put 100% of the company on the market. Or, if you really want private ownership just keep the company private.

      Except you would not have been able to build the company to what it was, if not for the other investors. So I think it's fair that some ownership is sacrificed. It's up to them how much they want to sacrifice. When they sell shares in order to liquidate, this is a decision they made as well. You can hardly expect Bill Gates to still own Microsoft after selling all but 1% of their stock.

    Can't believe people don't know about this. I guess I do because I went to business school. Not only can there be classes of common stock, there's also preferred stock which has better and priority dividends, and other features that make those shares sort of like a bond. But the only problem I see is people not doing their due diligence and knowing what they are buying. Caveat emptor.

    Different classes of shares is common in Europe. It’s why I always buy the voting ones when they cost practically the same, like Alphabet A.
    Just waiting for that power play for company control to make me a millionaire :)

    another great video. i learned this with an investment in a small local company, you just assume that investing money means you have a say in the strategic direction a company takes, but no. with mine i have 1 vote per share, but the founders have like thousands of votes, which means i may as well have no vote at all. glad i learned that lesson with an early investment that wont make or break me, and glad youre warning other people to watch out for this practice

    Great explanation. Wouldn’t necessarily stop me investing in one of these companies, but I’d need to take a serious look at the people with the controlling stock. Oddly enough, I’d probably avoid metaless Meta.

    What about really good founder run companies like the Rochschilds and the makers of coca colla? What about Ferrari ane most designer brands? What about the hundreds of companies that faded into obscurity despite not being founder run rather because of the incompetence of the board? The problem isn't founders or boards. The problem is ability. One man can more brain power than a team of people and the other way around is also true. My point is that there is no correlation or relation behind who runs a company or not

    Basically only the companies you mention...
    The other 1,000,000+ startup founders don't have this leverage...

    Logically Answered, I don't agree with your portrayal of dual class stocks as a morally dubious thing. You do an IPO at a stock exchange to get money and public recognition as a company. But it is also extremely threatening to your business and your employees alike because your shareholders can sue you if you don't become a sociopath hell bent on maximizing revenue at the expense of both consumers and your staff. You also risk losing control of your company as a whole if some corporate raider can persuade your shareholders that he can do a better job than you and buys them out.
    So it's only logical to protect yourself and your life's work in some capacity against raiders and public pressure. If people won't like what you're doing they can still sell their stock or try to manipulate public opinion so it causes a massive run on the value of your company. Not a big deal. If Zucc flops on his big metaverse dick, then Facebook as a whole will be punished for misinvestment anyway.
    That being said, things like stock buyback should obviously be illegal. Profits should be distributed primarily to employees and not used to reward shareholders. Their reward is the price of the stock itself and the ability to trade it.

      What you said mostly made sense until the last paragraph. Saying the employees should get profits and not the shareholders, doesn't make any sense at all. The employees get paid wages, which is taken from revenue. The profits are given to shareholders afterwards, as dividends. That's the whole point of them investing in the first place. Without dividends being distributed, it all just becomes a big ponzi scheme. It mostly has become that, but it's definitely not something to promote. We might as well be throwing money into a bucket and hoping someone else throws more in for us.

    people are throwing money at meme cryptocurrencies and magic gifs of monkeys, i think we're over the issue of multiple-class shares. anyway, at least a lot of expensive lawyers on both sides argued over this crap for a very long time to make these sorts of agreements, rather than a marketer hiring a celebrity to tell a bunch of lies in a superbowl commercial to sell a modern ponzi scheme.

    I recently learned about this due to Vince McMahon and WWE, how he was able to crawl back into the company after "retiring" last year because of the allegations, despite the board of directors not wanting him back, because at the end of the day he still had higher voting power because of his stock.

    I personally have no problem with this if it was implemented ok.
    Like what if, 10x voting power, = one tenth of the profits? You have to give up on your money if you want that control.

      Not good idea. You will abuse power with that for yourself. Example I will make my company win the contract like use my personal catering company etc so the money will transfer to my self. Voting power x10 is already been format before you buy that company so you know what you got before

    I think the problem is availability . You can create a type of stock that doesn't need to be in the market. Lets say you want to sell 30% of your company. Here you can have only those stocks that doesn't have any voting rights. If it was like you need to sell 30% of A, 30% of B and 30% of C then there would not be any issues.

    I'm not really familiar with the whole stock exchange but i was wondering if a majority of shareholders want a different direction of the company, that would not necessary mean that that is best thing to do in the long run. How many shareholders really know anything about running a company anyway? Most shareholders are in it for the 💲besides, the companies you named are doing great. Great video though
