1996年5月登場。この世代からエンジン、ドライブトレインのみならず、フレームとサスペンションもタコマ / ハイラックスサーフと共用になる。
エンジンはガソリンが3RZ-FE型 直列4気筒 2.7Lと、5VZ-FE型 V型6気筒 3.4L、ディーゼルは、5L型 3.0Lと、1KZ-TE型直列4気筒3.0Lディーゼルターボ（国内ディーゼルは1KZ-TEのみ）。サスペンションとスプリングの形式は前がダブルウイッシュボーン+コイルスプリングの独立懸架、後ろは5リンクのリジッドアクスル+コイルスプリングである。3ドア車のみ、日本国外向け同様の縦基調ラジエターグリルと丸型ヘッドランプを採用した。
1996年4月、日本国内向けに3RZ-FE型 直列4気筒 2.7Lガソリンエンジンが追加。最量販グレードを中心に拡大採用される。
1998年1月、一部改良。全車にUVカットウインドーガラスと3列目シートのヘッドレストを標準装備。バニティミラーやプライバシーガラスなどを採用しインテリアにおいてさらに充実。ボディカラーに新色を追加。
1999年6月、マイナーチェンジ。3.0リッター直4のディーゼルターボエンジンを改良してパワーアップ。エクステリアではフロントグリルとフロントバンパーのデザインを変更、法改正に伴いバンパー内にフォグランプが装備される。横基調のデザインを強調して安定感をアピール。インテリアではメーターパネルに高級感のあるオプティトロンメーターを採用。機能面では安全走行をサポートする4輪TRC（トラクションコントロール）、VSC（ビークルスタビリティコントロール）を導入した。また、3ドア車は横基調ラジエターグリル+異型ヘッドランプに変更。
2000年7月、一部改良に伴い、ディーゼルエンジンを3.0L DOHC 直噴 電子制御コモンレール式の1KD-FTV型へ変更。車両盗難等を予防するイモビライザーも新採用。
2001年8月、特別仕様車「TXリミテッド」を設定。8人乗りのTXをベースに、ルーフレール、リヤアンダーミラー、木目調パネル、アームレスト付リヤコンソールボックス、オプティトロンメーター、寒冷地仕様（含むリヤヒーター）などを装着。
2002年9月[3]、生産終了。在庫対応分のみの販売となる。
2002年10月、3代目と入れ替わって販売終了。

Introduced in May 1996. From this generation, not only the engine and drivetrain, but also the frame and suspension will be shared with the Tacoma / Hilux Surf. The engine is 3RZ-FE type in-line 4-cylinder 2.7L and 5VZ-FE type V-type 6-cylinder 3.4L, diesel is 5L type 3.0L, and 1KZ-TE type in-line 4-cylinder 3.0L diesel turbo (domestic diesel is 1KZ-TE only). The suspension and spring types are double wishbone + coil spring independent suspension in the front and 5-link rigid axle + coil spring in the back. Only the 3-door model uses the same vertical radiator grille and round headlamps for overseas markets. In April 1996, a 3RZ-FE in-line 4-cylinder 2.7L gasoline engine was added for the domestic market. Expanded and adopted mainly for the highest sales grade. Partially improved in January 1998. All models are equipped with UV-cut window glass and headrests for the third row seats as standard equipment. Vanity mirrors and privacy glass are used to further enhance the interior. A new color has been added to the body color.
Minor change in June 1999. The 3.0-liter in-line 4 diesel turbo engine has been improved and powered up. In the exterior, the design of the front grille and front bumper has been changed, and fog lamps will be installed inside the bumper due to the revision of the law. Emphasizes the horizontal design to emphasize the sense of stability. In the interior, a high-class Optitron meter is used for the meter panel. In terms of functionality, we have introduced 4-wheel TRC (traction control) and VSC (vehicle stability control) that support safe driving. In addition, the 3-door car has been changed to a horizontal radiator grille + atypical headlamps. In July 2000, the diesel engine was changed to the 3.0L DOHC direct injection electronically controlled common rail type 1KD-FTV type due to some improvements. An immobilizer to prevent vehicle theft is also newly adopted. In August 2001, a special specification car "TX Limited" was set up. Based on the 8-seater TX, roof rail, rear under mirror, wood grain panel, rear console box with armrests, Optitron meter, cold climate specifications (including rear heater)
Etc. are installed. September 2002 [3], discontinued. Only the stock will be sold. In October 2002, it was replaced with the 3rd generation and was discontinued.
