Now you are asking me 1 crore for 1% of your company, so that means if I buy your whole company, then I have to give you 100 crore, right? So this 100 crore is the valuation of the company. If I’m giving you an offer of 1 crore for 1.5% of your company, then that means to buy 100% equity. Now I have to pay only 75 crore, so this is how the valuation increases or decreases with respect to changes in ask or counter offers! I hope this helps!

@@Osnsisbsyes it depends on growth trajectory of that company. Suppose a company have a good technology and patents but don't have a huge sale number then also valuation can be high because of the unique idea and Technology.
He was very confident in his business and building his business with great profits and he rejected the deal. No harm in it but to scale the business with sharks will be much better. I feel he should have negotiated for 4%.
The founder should have taken the 5% offer. It takes a lot of management skills to scale a business like that, and he didn't have that. Anupam and Aman's experience would have helped him a lot.

valuation means how big a company would be after 3 to 4 years . that is how investors set the company's valuation according to their analysis.
