They've interpreted "irrespective of delivery" in Section 55(2) as "no delivery"... While in Section 55(1), where the words "irrespective of delivery" are not even there, they've given that it applies "irrespective of delivery" i.e. whether or not there is delivery... Which is RIGHT... BUT, why have they interpreted the express words "irrespective of delivery" as "no delivery" in Section 55(2) ?? We know that passing of property in goods is not always co-extensive with delivery... Buyer may already be in possession as hirer or whatever, and the property may pass later.... The confusion is further increased because of an English case law on the next page which also says the same that the provision corresponding section 55(2) in English law, requires that delivery should have not been made... Both English and Indian provision is worded in the same way... I will read the preceding sections again, and hope I will understand... But will appreciate if this section is broken down to make it simpler, keeping preceding sections in mind...
The problem is that because of the conditions under both the subsections of Section 55, there arises a situation, as in "Stein Forbes & Co. v County Tailoring Company", where the situation neither falls in 55(1) nor 55(2) despite the fact that the seller has done what he was required to do, and yet not be entitled to sue for price !! In the said case, despite the fact that in a C.I.F contract it is fairly certain at what point payment has to be made, and 55(2) says "irrespective of delivery" they did not give relief under 55(2) (i.e. under the corresponding section under their law)...
