Appointing and removing a company director

  • Company directors can be appointed at any point during or after company formation. Likewise, they can resign or be removed at any time. However, like most things in life, there is a process that must be followed, and certain rules to be adhered to - most notably the Companies Act 2006.
    In this episode of Whiteboard Thursday, our resident company guru Nick Campion, shares his best advice on how to appoint and remove a company director, and keep on the right side of the good folks at Companies House.

    Fantastic video once again nick. What is your advise for people wishing to act as alternate directors?

      Thanks for your great question, Precious. Alternate directors are used as proxies by directors who cannot attend board meetings. They cannot be appointed or removed as they are only 'acting' on behalf of the real director. I hope this is helpful.

      You can now fill out the RP07 form online using the government guidance. This can be found through the following links:

    What if you notify them of new appointments after 14 days?

      Thanks for your message, Lala. In general terms, whilst Companies House to not have powers to prosecute or fine directors for late notifications, the GOV.UK website does advise that late filings can affect your company's credit score/rating, as this is considered one of the indicators of your company's reliability.

      Thanks for the question! Directors' service contracts are private contracts between the company and that director, as an employee of the company. you must ensure before resigning a director that you follow employment law - as you may be taken to employment tribunal if you change the job role of an employee without following the proper redundancy / dismissal / consent procedures.     How can I withdraw my termination after it is accepted my Companies House

      Hi there! Directors do not vote in the general meetings, only shareholders do. If the director is also a shareholder, they are still allowed to vote, yes. I hope this helps!

      @@1stformations No. I was dealing with a company said up "limited by guarantee" by leaseholders in a case study and i was wondering if the director can vote if there was a vote to remove him and i guess the answer was the director cannot vote unless he is also a guarantor.       Thank you for your question, Richard. There is no limit to the amount of companies you can be a director of, legally speaking.
      The case of Barbara Kahan is a well known one in company law circles - we believe that person was selling a service to companies via a nominee directorship. In practice, nominee directorship is risky from a legal standpoint, as the nominee director (in that case, Barbara Kahan) would be legally responsible for the director's duties of the companies, but would not be in control of the actual directors' actions, opening them up to possible malfeasance claims should the actual directors' be negligent or carrying out wrongful acts.
